In no event shall any interest be due and payable by Manager to Contractor or any subcontractor or any other party on any sums retained by Manager pursuant to this Agreement. Final payment by Manager shall not release or excuse any defecrive or inadequate performance by Contractor,whether luiown or unknown. 7. If required by Manager, Contractor shall obtain,and thereafter at all tnnes during the performance of the Work maintain, a performance bond and a labor and material payment bond (collecrively the "Perfoimance Bond"), each in fonn and substance satisfactory to Manager and executed by a surety or sureries sarisfactory to Manager. 8. In the event no Perfonnance Bond is reguired under this Agreement, should Contractor at any tune refuse or neglect to supply sufficient properly skilled workers or materials of proper quality, or fail in any respect to prosecute the Work with promptness or diligence, or fail in the performance of the agreements herein contained, Manager shall have the right but not 8ie obligation, after seven(7) days'written notice to Contractor, to provide any such]abor or materials and to deduct the oost thereof from any money then due or thereafter to become due to Contractor. 9. Any payments fo Contractor pucsuant to this Agreement may be withheld by ' Manager by reason of(1) defective work not remedied, (2) claims threatened or filed, (3) failure of Contractor to make payments properly to subcontractors or for labor, materials or equipment, (4) damage to Manager, (5) failure to carry out the Work in accordance with this Agreement, (6) default by Contractor or Owner under any provision of the Ageement and/or reasonable doubt the Work can be completed for the unpaid balance of the Contract Sum all in accordance with the Construcfion Documents. 1 Q. Contractor shall promptly correct any Work rejected by Manager as defective or as failing to conform to the requirements of flus Agreement whether or not fabricated, installed or completed, and shall irrunediately correct any Work found to be defective or nonconforming within a period of one (1) year from the date of completion of the Work or within such longer period of time as may be prescribed by law. The provisions of this paragraph 10 apply to portions of the Work done by subcontractors as well as to portions of the Work done by duect etnployees of Contractor. 11. Contractor shall be responsible to Manager and Owner for the acts azid omissions of its employees, subcontractors and their agents and employees and other persons performing any aspect of the Work under a contract with or onbehalf of Contractor. In perfoiming its obligations hereunder, Contractor shall be deemed an independent contractor and not an agent or employee of Manager or Owner. 13. In the event the Covtractor encounters asbestos' on the site, the Contractor shall abate the asbestos, as necessary and by agreeinent of the Owner and Contractor, in comptiance with and give notices required by, all laws, ordinances, nzles, regulations and lawful orders of public authoriries bearing upon performance of the work,including,but not limited to: • United States Environmental Protection Agency (USEPA) Regulations for Asbestos, 40.CFR Part 61, Subpart M National Emissions Standazds for Hazazdous Air Pollutants(NESHAP) • USEPA Regulations for Asbestos, Asbestos Abateme�it Projects, 40 CFR Part 763, Subpart G • United States Department of Labor, Occupational Safety and Health Administiation(OSHA)Asbestos Regulations,29 CFR Part 1910, 1001 • M.G.L. c.149 Section 6A et seq. • Such other and furtherprovisions of Massachusetts law including any regularions thereto.
