CONSTRUCTION CONTRACT
This Construction Contract("Ageement")made ttus 18'�`day of October 2016,by and
between Rmf:Jack New EnQland("Contractor"),and Princeton Properties Management,Inc.
("Manager"),as management agent and independent contractor for Princetoa C�•ossinQ,L.P.
("Owner").
WITNESSETH:
That Manager and Contractor, for the consideration hereinafter set fordi, hereby agree as
follows:
l. The Contractor agrees to furnish and pay for all labor;materials,supplies,
equipment,tools, appliances,temporary facilities,transportation and other items necessary to
complete the following work("Work") as more fully described in Exhibit A:Retainirzp Wall ,
- Renair located on the following described property(the"Premises"):Princeton Crossin�
Apar7n:ents,Salene.MA such Work,including any shop drawings and detail drawings,to be
performed in accordance with auy fiuther described informarion or construction documents
enumerated in E�chibit"A"attached hereto and made a part hereof(hereinafter referred to as the
"Construction Documents").
By execution of this Agreement,Contractor represents that it has visited the Premises and is
familiaz with the local condi6ons under which the Work is to be performed and acknowledged that
the Contractor has sufficient information, documentarion and resources to complete the Work as
agreed,for the contract price.
The Contractor hereby warrants that all materials and equipment incorporated in the Work
wili be new. Contractor shall cause all materials, equipment and other parts of the Work to be
readily available as and when required or needed for or in connection with tUe construcflon,
fiirnishing and equipping of the improvements to be constructed pursuant to this Agreement in
order to insure the Work will be performed and completed in a rimely manner.
' 2. Contractor agrees to protect the Work, all materials which are to be or have been
incorporated therein and any and all actions of the Contractor, its principals, employees, agents and
subconhactors necessary to fully perfom� all aspects of the Work. The Contractor hereby
aclmowledges and agrees on behalf of itself, iYs subcontracfors, officers, directors, employees,
agents, affiliates, subsidiaries, partners, and their successors and assigns (collecrively
"Contractor") to indemnify, hold harniless and defend Princeton Properties Management, lnc.
and Princeton Crossing, L.P. and each of their officers, directors, managers, members,
shareholders, partners, agents, employees, affiliates, subsidiaries, and their successors and
assigns(collectively"Owner") from all ciaims, damages,injuries,losses,judgments, settlements,
expenses (including but not limited to attorney's fees) and/or liabilities of any kind arising out of
any injury(including death) or damage to person or property causecl by the acts and omissions of

the Contractor. The party being defended pursuanY to this indemnification shall have the right to
choose their own counsel to be paid for by the Contractor.
In furtherance of the Contractor's obligation to indeirurify the Owners as set fortli ui the
previous pazagraph the Contractor shall provide insurance acceptable to Manager, including
without limitarion, General Liabiliry insurance, Autoinobile Liability insurance and Worker's
Compensarion insurance n� accordance with state and federal laws and in a�nounts satisfactory to
Manager and Owner and shall provide certificates of such insurance to Manager prior to
commencement of the Work,nawing the Owner as an additional insured.
In the event that any claun, damage, demand, cost, loss, expenses or injury arises or is
made; asserted or threatened against Manager and/or Owner, Manager, related to the Contractor's
performance of the Work, the Owner shall have the right to withhold from any payments due or to
become due to the Contractor an a�nount sufficient in its judge�nent to pmtect, indemnify, hold
harmless and defend Princeton Properties Management, Ina and Princeton Crossing L.P. and
each of their officers, directors, members, managers, shareholders, partners, agents, employees,
affiliates, subsidiaries, and their successors and assigns (collecrively "Owner") from all clauns,
damages, injuries, losses, judgments, settlements, expenses (including but not limited fo
attorney's fees) and/or liabilities of any kind arising out of any injury (including death) or
damage to person or property caused by the acts and omissions of the Contractor, and/or tl�e
Manager and/or Owner in their discretion, may require Contractor to furnish a surety bond
satisfactory to Manager and Owner guaranteeing such protection,whicli bond shall be furnished by
Contractor within five(5)days after written demand has been made therefor.
3. Contractor shall cause the Work to be conshucted in full compliance with flie (i)
Construction Documents, (ii) all applicable environmental, zoning subdivision, building and use
laws, rules, regulations, ordinances, codes and requirements imposed by any govemmental
authority, (iu) applicable laws, ordinances, rules, regulations and orders of any public authority
relaring to the safety of persons and their property and (iv) any and all wvenants, conditions or
restrictions affecting the Premises or any part thereof or interest therein.
4. Contractar shall promptly remedy all damage or loss to any property caused in
whole or in part by the Contractor, any subcontractor, any sub-subcontractor, suppliers, or anyone
duectly or indirectly employed by any of them,or anyone forwhose acts any of them may be liable.
5. The Work to be perfonned under this Agreement shall be commenced on or before
Mondav, October 17. 2016, and compieted by Fridnv. Nove�i:ber 18, 20I6 ("Contract Time").
Contractor acknowledges that 6me is of the essence of this Agreement.
6. Manager agrees to pay Contractor for the performance of the Work the total sum of
Not-to-Exceed Sirtee�: Thousm�d Four Hundred Fifiv Dollars and Zero Cents($16.450.001 (The
"Contract Sum") pursuant to the requirements of E�chibit "B" (Progress Payments).
Notwithstanding anything to the contrary in this Agreement and/or the Eachibits attached hereto,
Contractor hereby acknowledges that Manager shall retain ten percent (10%) of each paytnent
becoming due to Contractor until the expiration of tbirty(30) days after complefion by Contractor

and acceptance by Managei of die Work, or such longer period as shall be required in order for
Manager to satisfy itself that no liens or claims have been filed by artisans, mechanics,
materialmen,laborers or otherwise in connecrion writh the Work.
The Contractor's compensation shall be reduced at the rate of One Hundred Dollars
and Zero Cents ($100.00) per day, for each and every calendaz day after the Contract Time for
which work remains incomplete.
In no event shall any interest be due and payable by Manager to Contractor or any
subcontractor or any other party on any sums retained by Manager pursuant to this Agreement.
Final payment by Manager shall not release or excuse any defecrive or inadequate performance by
Contractor,whether luiown or unknown.
7. If required by Manager, Contractor shall obtain,and thereafter at all tnnes during the
performance of the Work maintain, a performance bond and a labor and material payment bond
(collecrively the "Perfoimance Bond"), each in fonn and substance satisfactory to Manager and
executed by a surety or sureries sarisfactory to Manager.
8. In the event no Perfonnance Bond is reguired under this Agreement, should
Contractor at any tune refuse or neglect to supply sufficient properly skilled workers or materials of
proper quality, or fail in any respect to prosecute the Work with promptness or diligence, or fail in
the performance of the agreements herein contained, Manager shall have the right but not 8ie
obligation, after seven(7) days'written notice to Contractor, to provide any such]abor or materials
and to deduct the oost thereof from any money then due or thereafter to become due to Contractor.
9. Any payments fo Contractor pucsuant to this Agreement may be withheld by
' Manager by reason of(1) defective work not remedied, (2) claims threatened or filed, (3) failure of
Contractor to make payments properly to subcontractors or for labor, materials or equipment, (4)
damage to Manager, (5) failure to carry out the Work in accordance with this Agreement, (6)
default by Contractor or Owner under any provision of the Ageement and/or reasonable doubt the
Work can be completed for the unpaid balance of the Contract Sum all in accordance with the
Construcfion Documents.
1 Q. Contractor shall promptly correct any Work rejected by Manager as defective or as
failing to conform to the requirements of flus Agreement whether or not fabricated, installed or
completed, and shall irrunediately correct any Work found to be defective or nonconforming within
a period of one (1) year from the date of completion of the Work or within such longer period of
time as may be prescribed by law. The provisions of this paragraph 10 apply to portions of the
Work done by subcontractors as well as to portions of the Work done by duect etnployees of
Contractor.
11. Contractor shall be responsible to Manager and Owner for the acts azid omissions of
its employees, subcontractors and their agents and employees and other persons performing any
aspect of the Work under a contract with or onbehalf of Contractor. It shall also be responsible for

the coordination of its Work and die work of all subcontractors, including, but not limited to, all
suppliers and materialmen.
Contractor shall fumish to Manager from time to time, upon five (5) days prior written
request, (i) a cunent list of all of its subcontractors contauiing such information as Owner may
request and (ii) true and wrrect copies of all executed subconhactors, amoimts due or previously
paid under those subcontractors and any informarion regarding any mechanic's lien claims_
Contractor agrees to pursue claims against all subcontractors, inoluding all persons directly
or indirectly employed by them, for damages due to breach of contract or for any negligence
incurred in connection with the Work.
12. In perfoiming its obligations hereunder, Contractor shall be deemed an independent
contractor and not an agent or employee of Manager or Owner.
13. In the event the Covtractor encounters asbestos' on the site, the Contractor shall
abate the asbestos, as necessary and by agreeinent of the Owner and Contractor, in
comptiance with and give notices required by, all laws, ordinances, nzles,
regulations and lawful orders of public authoriries bearing upon performance of the
work,including,but not limited to:
• United States Environmental Protection Agency (USEPA) Regulations
for Asbestos, 40.CFR Part 61, Subpart M National Emissions Standazds
for Hazazdous Air Pollutants(NESHAP)
• USEPA Regulations for Asbestos, Asbestos Abateme�it Projects, 40
CFR Part 763, Subpart G
• United States Department of Labor, Occupational Safety and Health
Administiation(OSHA)Asbestos Regulations,29 CFR Part 1910, 1001
• M.G.L. c.149 Section 6A et seq.
• Such other and furtherprovisions of Massachusetts law including any
regularions thereto.
Pnor to the commencement of any such Asbestos abatement, the Contractor shall provide
proof of evidence to the Owner that the Contractor is fully certified,licensed and trained to perform
such Work.
At the discrefion of the Owner,the Contractor shall obtain adequate liability insurance from
an "A" or "B" rated insurance company, which policy shall name the Owner as an additional

In the event the Conhactor encounters on the site matedal reasonably believed to be
asbestos which has not been rendered harmless, the Contractor shall immediately stop work in the
affected area and report the condition to the Owner and Manager. The Work in the affected area
sliall not thereafter be resumed except by agreement of the Owner and Contractor if, in fact the
inateiial is asbestos and has not been rendered harmiess by agreement of the Owner and Contractor.
14. Contractor represents and warrants:
(a) That it is financially solvent, able to pay its debts as they mature, and possessed of
sufficient worldug capital to complete dus Agreement; that it is able to fiunish tools, materials,
supplies, equipment aud labor, and is experienced in and competent to perform the Work; a�zd that
it is qualified to do the Work and is authorized to do business in the state where the premises is
located.
(b) That it holds all licenses, pennits or other special licenses to perform the services
included in the Agreement as required by law.
15. (a) Contractor shall not voluntarily pernut any laborer's, materialmen's,
mechanids or other similaz lien to be filed or otherwise imposed on any part of the Work or Uie
Premises. If any such lien or claim therefor is filed or otherwise imposed, then, in such event,
Conh�actor shall, at the request of Manager, arrange to cause such lien to be released and otherwise
discharged. lf any such lien or claim therefor is filed and if Conh�actor does not cause such lien to
be released and discharged forthwitl�,then Manager shall have the right to pay all sums necessary to
obtain such release and discharge and deduct all amounfs so paid from the Contract Sum and ury
ensuing Progress Payments.
Contractor shall indemnify and hold hannless Owner and Manager from all claims;
losses, demands, cause of action or suits of whatever nature arising out of any such lien or claim
therefor or that part of the Work covered thereby.
(b) No payment made to Contractor shall operate to release Contractor from any
obligation under this Agreement, including, but not limited to, Contractor's liability to replace
and/or repair and/or remedy any defects in materials or worlananship and Contractor's obligations
contained in this paragraph 14.
16. Contractor warrants and guazantees that title to ali Work covered by a Progress
Payment will pass to Owner upon the receipt of such paymentby Contractor, free and clear of al]
liens, claims, security interest or encwnbrances and that no Work covered by any Progress Payment
will have been acquired by Contractor, or by any other person performing the Work, subject to an
a�eement under whi�h an interest therein or an encumbrance thereon is retained by a seller or
otherwise imposed by or against Contractor or such other pecson. Contractor shall submit to
Manager such evidence as Manager may require that Owner and Manager aze fuily protected
against any clairns of their pazties conceming such Work.

17. Contractor shall have no right to assign tlus Agreement without the prior written
consent of Manager.
18. No alterations or changes shall be made in the Work except upon written order of '
Manager: The amount to be paid by Manager or allowed by Contractor by virtue of any such
change or aiteration shall be stated in such written arder.
19. No consent or waiver,express or unplied,by Manager to or of any breach or default
by Contractor or any subcontractor in the perfonnance of a��y obligarion hereunder,shali be deemed
to be construed as a consent to or waivet of any other breach or default by Contractor hereunder.
20. Tlus Ageement constitutes the entire agreement between the pazties hereto with
respect t0 the performance by Contractor of the Work for Manager. This Agreement can be
modified or amended only by a document duly executed on behalf of the parties hereto.

PROGRESSPAYMENTS
(1) On or before the 24th day of each month during the pecformance of the Work;
Contractor shall submit to Manager for his review and approval, a request for payment ("Request
for Payment") in form and snbstance satisfactory to Manager. Each Request for Payment shall be
for a sum equal to that portion of the Contract Sum incuired during the preceding month.
(2) In each Request for Pa}nnent, including the final Request for Payment, Contractor
shall certify that such Request for Payruent represents a just estimate of costs reimbursable to
Contractor hereunder the shall also certify as follows"
"There are no lmown mechanic's or material man's liens outstanding at the date of
this Request for Payment, and all due and payable bills with respect to the Work have been paid to
date or aze included in the amount requested in the Request for Payment, and except for such bills ,
not paid but so included,there is no known basis for filing of any mechanic's or materialmen's lieus
for or relaring to the Work, and waivers from all subcontractors, mechanics and materialmen have
been obtained in sudi fonn as to constitute an effecrive waiver of lien under the laws of the
Commonwealth of Massachusetts."
(3) If requested by Manager in writing, Contractor shall submit copies of invoices, and
other appropriate documentation to substantiate each Request for Payment by the twentieth (20th)
day of the month following each Request for Payment.
(4) Manager shall pay the amount due under each Request for Payment within tkiirty
(30) days after the compliance wifli all conditions herein applicable to such Request for Payment,
including final Request for Payment:
The Contractor a�ees that ten percent (10%) of the amount due under this Ageement and
under each subcontract shall be retained by Manager until the final Request for Payment has been
approved for payment.
The final Request for Pa}nnent sl�all not be paid until Contractor delivers to Manager a
complete waiver and release of all liens arising hereunder substantially in the form of E�ibit"C"to
the Contract and, if required by Manager or Owner, an affidavit that, so faz as Contractor has
knowledge or information, the release includes and covers all materials and services for which a
lien could be filed; but Contractor may, if any subcontractor or suppiier refuses to fumish a waiver
and release in full, fumish a bond satisfactory to Manager or Owner to indemnify Manager and

(5) In no event shall any interest be due and payable by Manager to Contractor, any
subcontractor or any other party on any of the sum retained by manager pursuant to any of the tenns

(6) Any provision herein to the contrary notwithstanding, Manager shall not be
obligated to make any payment to Contractor hereunder if any one of the following conditions
exists:
(a) Contractor has failed to perform any of .its obligarions hereunder or II
otherwise is in default under the Ageement. �,
(b) Any part of such payment is attributable to Work which is defective or not �
perfonned in accordance with the Construction Documents; provided, however, I
such payment shall be made as to the part thereof attributable to Work which is
performed in accardance with the Conshuction Documents and is not defective;
(c} Contractor has failed to make payments promptly to Contractoi's
subcontractors or for material or labor used in the Work;or
(d) ff Manager, in its judgement, determines that the portion of the Contract �,

En and, (hereinafter ealled °Contractor"), and Princetou Properties Mana¢ement, I�ic., (hereinafter
called "Manager") as independent confractor and managing agent for Princetou Crossine, L.P.

Manager, Owner, or Contractor, or against the premises arising out of said labor, services and
