My opinion follows. It appears that the premises in question have been used as a business location for most of this century. Prior to the present tenant, the prior tenant had been a psychiatric office which vacated on or about December 31, 1990. Donald Koleman as agent for the owner of the property, that is Cambridge Realty Trust, undertook to lease the property through the former Joyce Cook Agency. The broker that was handling this matter was Walter H. Cook. I have reviewed Mr. Cook's affidavit and it appears that from January 1990 until the end of the year 1994 much activity centered around the possibility of a professional tenant moving into the property. It was obvious that the agent, on behalf of Donald Koleman, was actively trying to fill the space as professional offices. There was a response to correspondence from you on January 9, 1996. At that time you indicated that the non-conforming use had been abandoned for over a two year period and that the property had reverted to a two family status. Mr. Leo Tremblay Page Two May 31, 1996 One of the enclosures with the letter from Mr. Driscoll was the case of Derby Refining Co. vs Chelsea, 407 Mass. 703 (1990). This case was very thorough in it's analysis of the factual circumstances surrounding this matter. The court did state that the discontinuance of a non-conforming use must result from the occurrence of two factors; one the intent to abandon and two voluntary conduct whether affirmative or negative which carries the implication of abandonment. Mere non use or sale of property does not buy itself constitute an abandonment. In this instance it seems clear that the discontinuance did not show an intent to abandon the property, if anything it shows the opposite, that is, an active attempt on the part of Mr. Koleman to lease the property. All things being taken into consideration, it is my opinion that the property is still a valid non-conforming use as a professional office. Very truly yours, OBE A. Ledoux, Esquire 314 Essex Street Salem, Massachusetts 01970 RE: One Cambridge Street, Salem Dear Attorney Ledoux: As you know, I am the current primary tenant at One Cambridge Street Salem, Massachusetts, having occupied that space since on or about January 1995 for professional office use in connection with my maintaining my office as a sole or general practitioner of law. I :am writing specifically in response to correspondence from Leo E. Tremblay, Inspector of Buildings, dated January 9, 1996 originally forwarded to the owner of record of the premises to the attention of Donald Koleman as its agent. In that correspondence, Mr. . Tremblay asserted that the property at 1 Cambridce Street, Salem, Massachusetts, "was at one time a legal grandfathered property for the use of Medical Services . The non conforming use of the structure has been abandoned for a period of over two (2) years therefore the property legally reverts back to a legal two (2) family dwelling, and can not be used for office space. " Mr. Tremblay' s cc-respondence concedes the non conforming use of the premises for professional office space, but asserts that that use has been abandoned by the current owner for more than two years . It is important to note that although Mr. Tremblay refers to the grandfathering for "medical services, " it is submitted that medical services is not separately defined in the Salem Zoning Ordinance and, in essence, is a professional office space use of the premises as that term is contemplated by the current zoning statute. If anything, the closest definition of "medical services" found in the statute is "clinical, medical or dental, " as a building having "facilities for diagnoses and minor treatment of humans . . .buildings may have doctor' s offices, ; x-ray rooms, laboratories, operating room for minor surgery,. io 1 Robert A. Ledoux, Esquire May 20, 1996 Page 2 kitchen and diet kitchen facilities. The building will primarily be used for "outpatients -or ambulatory patients and not for convalescent patients. However, not more than ten (10) beds may be provided for patients under diagnoses, for occupancy not to exceed four (4) days" . (See Ordinance article II, Section 2=2) It is submitted that the historic non conforming use of the premises for professional office space has been for something far less than use of same for "clinical, medical or dental, " which is a use far more extensive in character as well as degree than the historic use of the building and the current use of same. As you know, the current use of the property is for professional office space, used by myself since I took occupation in January 1995, having entered into an agreement to occupy the premises in December 1994 . My current occupancy of the premises carries forward what I understood to be the previous arrangement that Donald Koleman, the agent of Cambridge Realty Trust, had with the prior tenant of the property to the effect that my occupation is subject to the reserved right of Mr. Koleman to use the conference room in the building on an as-needed basis for client conferences and business meetings, on mutually agreeable dates . The current level of occupation by myself and one full-time and occasional part-time support staff, is, if anything, less extensive than the previous primary tenant, Bos=on North Shore Associates, who occupied the premises for a number of years through the end of December 1990 with at least two o:orking therapists, various support staff and other clerical perscnnel . Mr. Tremblay in his correspondence of January 9, 1996 goes on to state in conclusooy terms that the protected use of the premises has been "abandoned for a period of over two years . " Nothing further by way of factual information is offered to support that conclusion. In contrast I have enclosed accompanying Affidavits of Donald Koleman, the agent for Cambridge Realty Trust; Walter H. Cook, an area real estate broker; , and my own, which clearly outline : 1) that neither the owner nor its agents have ever abandoned the non conforming use of the premises; and 2) at no time have the premises not been used for the protected use for more than two years since the current owner' s ownership in 1972 . . For abandonment to take place there needs to be a "concurrence" of the intent to abandon and the voluntary conduct of the owner or its agents which carries the implications of abandonment. See Derby Refining Co. vs. City of Chelsea (1990) 407 Mass . 703, citing Caae Resort Hotels, Inc. vs . Alcoholic Licensing Board of Falmouth (1982) 385 Mass . 305. Robert A. Ledoux, Esquire May 20, 1996 Page 3 As stated in the Affidavit of Mr. Koleman, the premises were used by Boston North Shore Associates for professional office use and were, on occasion, used by Mr. Koleman during their tenancy for his own professional use, in particular the conference room area of . the building. After Boston North Shore Associates vacated the premises on or about December 31, 1990, the premises remained in use by Mr. Koleman, were fully furnished, heated, cleaned, and utilities remained in place from on or about December 1990 through December 1994 . In addition to Mr. Koleman' s occasional professional use of the building, the premises were continuously marketed, advertised and shown to prespective professional office use tenants by Walter H. Cook, who notes in his Affidavit that the premises were shown with working utilities (including heat) and were fully furnished from 1991 through 1994 . At no time can the conclusion be drawn that the owner demonstrated a voluntary intent to abandon the protected use, or given the activities recited in the accompanying Affidavits, can it be implied that the non conforming use was abandoned or extinguished following the departure of the former prime tenant, Boston North Shore Associates, at the end of 1990, as there is no conduct by either the owner or the agents, either affirmative or negative, that supports such a conclusion. See Derby supra at 704 . The second assertion in Mr. "remblay' s correspondence of January 9, 1996 refers to a two-year period, which is more completely recited in the Salem Zcning Ordinance which derives itself from similar language in the enabling statute, MGLA Ch. 40A, Sec. 6. Mr. Tremblay asserts that the use of the premises has been abandoned for more than two years . Again, as is set forth in detail in the accompanying affidavits, no reasonable person could draw the conclusion that the non conforming use has been abandoned by the current owner at any time prior to or since the current tenant' s use of the property for professional office space. Though the building has been continually used for professional office space, even if it could be construed that Mr. Koleman' s use of the building does not constitute "occupation" of the premises, the actual vacancy of the building being -without prime tenant does not in and of itself support a conclusion of abandonment. See Paul vs . Selectman of Scituate, 301 Mass . 365 (1938) . Moreover, Mr. Tremblay does not assert that the use has been discontinued or that the protected non conforming use has "not been used" for two years or more. (See Article 8, Sec. 8-5 of the Ordinance) , only that same has been abandoned for the two-year period. Robert A. Ledoux, Esquire May 20, 1996 Page 4 Even if one were to invoke the non-use criteria of the ordinance independent of the abandonment claim, - it is asserted that the building has not only been painted, cleaned, heated, provided with other utilities and marketed continuously since the departure of the next previous prime tenant; but it also has been used by Mr. Koleman as per his Affidavit for his professional office space since prior to 1990 and since 1990 and throughout the years leading up to my occupation of the building from January 1995 to the current date . Simply stated, at no time since the current owner took ownership of the premises in 1972 and especially from 1990 through December 1994 have the premises not in fact been used for the protected purposes for a minimum of two years or more . See Bartlett vs. Board of Appeals of Lakeville, 23 Mass . Appeals Court 664 (1987) . Because the implied assertion of non use or discontinued use has been unequivocally rebutted, it is submitted that no extinguishment nor abandonment of the non conforming historic use of the premises has taken place prior to my present occupation of the building for professional office use. We maintain that the factual information and case law (please see enclosed) will clarify the issue for both the city, the owner and myself, obviating the expenditure of further time and expense in bringing all concerned to a determination of the present use of One Cambridge Street as a protected non conforming use neither factually nor legally abandoned or extinguished. Please accept my apologies for not providing you with this material sooner. Any delay has been occasioned by my schedule and no adverse inference nor indifference by the owner nor myself should be perceived by that delay.
