CUSTOMER AUTHORIZATION
AUTHORIZATION TO PROCEED WITH ABOVE CONTRACT - I, the undersigned, an owner/authorized representative/tenant of
the premises at which the work mentioned above is to be done in the amount of $28,860.00. I hereby authorize you to
perform contracted scope, and to use such labor and materials as you deem advisable. A monthly service charge of 1-1/2%
will be added on all unpaid balances after thirty (30) days. I agree to pay reasonable attorney's fees and court costs in the
event of legal action. I have read this contract, including the terms and conditions Terms and Conditions attached hereof and
agree to be bound by all the terms contained herein. I have received a copy of this contract. All parts will be removed from
premises and discarded unless otherwise specified herein.

TERMS & CONDITIONS
PAYMENT TERMS:
1- 40%………… Two weeks prior to installation, sign proposal, confirm schedule & order material.
2- 50%.............. Second day of installation
3- 10%…………. Last day on job, start up and test fixtures & equipment, plus any open balances due upon completion.
4- Final payment is required prior to final inspection.

WARRANTY
128 Plumbing & Heating, Inc. (128 PHCE) offers a standard warranty of all labor and material for 1 year from the start date of
installation.
The manufacturer may offer an additional limited warranty for the equipment installed. This is separate from 128 PHCE.
128 PHCE Three Year Warranty - 128 PHCE offers a Three Year Warranty plan in accordance with prepaid service plans on
selected equipment only valid if stated eligibility within the proposal. Homeowners must obtain yearly consecutive maintenance from
128 PHCE and purchase a service plan in advance. Please see Three Year Warranty information in detail. Not valid if the
homeowner makes any changes to the equipment without authorization of 128 PHCE.
MAINTENANCE
Manufacturers recommend that equipment be maintained on a yearly basis. 128 PHCE also follows this principle. If you haven't
already, please ask to see our maintenance plans to further maintain your investment. Maintenance is an essential part of a
properly functioning system. As a reminder all warranty plans require maintenance on a consecutive yearly basis. Factors outside of
the new equipment such as water quality, air quality, fuel source, etc. can introduce variables that can cause harm to any appliance.
NATIONAL GRID / EVERSOURCE/ MASS SAVE / GAS NETWORKS
- Rebates are sent directly to the owner's home by GasNetworks/Mass Save. The rebate process will not begin until the
invoice from 128 PHCE is paid in full.
- Rebates and credits from participating programs are not issued by 128 PHCE. 128 PHCE will help to facilitate and advise but
is not responsible for issuing such incentives.
- National Grid / EVERSOURCE/ Mass Save / Gas Networks /t programs terms and conditions are subject to change without
notice.
- MassSave finances the quoted price less the total rebate amount. Homeowners are responsible for paying the entire balance
before any rebate may be processed. Failure to do so will not hold 128 responsible for any loss of rebates.
- 128 PHCE does not provide any utilities to the home. All gas lines, billings, coordination must be had is the responsibility of
the homeowner and utility company.
DEFINITIONS
A. The term “CONTRACTOR” herein refers to 128 Plumbing, Heating, Cooling & Electric.
B. The term “CUSTOMER” herein refers to person/agent whom the CONTRACTOR is rendering its services.
C.Property: The term PROPERTY herein refers to the property, home, apartment, Condo, etc. in which 128 PHCE is
rendering its services
SITE CONDITIONS
A. If CONTRACTOR must obtain access to other properties in the course of work, CUSTOMER shall secure permission for such
and hold harmless and indemnify CONTRACTOR and its employees and agents against all actions and consequences arising or
relating to the use of said properties, including but not limited to damage done in the normal course of work, excluding negligence,
and for securing said property and its contents during and after work.
B. CUSTOMER shall secure, remove and protect all property, and its contents, including but not limited to adults, children, animals,
cabinets, fixtures flooring, walls, tiling, carpets, drapes, furniture, and vegetation during and upon completion of work, and shall hold
harmless and indemnify CONTRACTOR, its employees and agents against all claims arising out of CUSTOMER’S failure to do so.
C.PROJECT(S) that require custom work by CONTRACTOR included but not limited to remodeling, design, large
relocation (boiler, HVAC system, radiators, etc.,) coordinating with other sub-contractors will require the CUSTOMER to
hire a general contractor or certified designer at CUSTOMER’S cost. Plans must be submitted to CONTRACTOR before a
quote is given. Any change to said plans will be subject to a change order at additional expense to CUSTOMER. If
CUSTOMER is managing their own project, CUSTOMER must submit a plan to CONTRACTOR as stated above. Any
change(s) to the plans are the sole responsibility of CUSTOMER and CUSTOMER will be responsible for the additional
costs.
LIMITED WARRANTY
A. CONTRACTOR warrants its materials and workmanship to be free from defects for one year after performance, unless otherwise
specified in writing. This warranty does not cover faults caused by misuse; negligence; or damage caused by acts of God including,
but not limited to earthquake. In the event that a manufacturer offers a warranty, said warranty shall negate and supersede
CONTRACTOR’S warranty. This warranty is the only warranty by CONTRACT to CUSTOMER, and is in lieu of all other warranties,
expressed or implied.
B. CUSTOMER shall telephone CONTRACTOR within twenty four (24) hours of discovery of any warranty claim. CONTRACTOR
will respond with reasonable promptness between the hours of 8:30 a.m. to 4:30 p.m. Monday through Friday, excluding holidays.
C. CONTRACTOR shall not be liable for electrical or other damages relating to drywall, stucco, roof, carpet, tile, floor, windows,
fixtures, plumbing, furniture and personal property from any defect or delay in responding to said warranty. CUSTOMER must take
reasonable steps to mitigate damages.
D. CONTRACTOR shall not be liable for lost profits, incidental, special, exemplary, indirect or consequential damages resulting from
any work performed, or any problem, whether or not covered by this limited warranty.
E.CONTRACTOR is not responsible for any and all cyber security hacks. CUSTOMER takes full risk and responsibility in
purchasing any Smart Home Products including those installed by CONTRACTOR, sub-contractor, third party, or
CUSTOMER.
CONTRACTOR is not responsible for any high energy costs or reimbursements for high energy costs.
CONTRACTOR is not responsible for any sensitivities of CUSTOMER relating to services rendered and products bought
including but not limited to smell, noise, appearance of said product(s). CUSTOMER is fully responsible to perform their
due diligence when purchasing new product(s) that may initially produce an odor and/or noise or may not appeal in
appearance to CUSTOMER including but not limited to radiators, heaters, boilers, pipes, ETC.. CONTRACTOR will not
reimburse CUSTOMER for exchange of said product(s) and CUSTOMER is responsible for all services rendered in addition
to additional costs related to any services rendered to remove/replace said product. CONTRACTOR will not pay for hotel
costs if CUSTOMER’S sensitivities require them to leave the property while such product is removed/replaced.
UNFORESEEN CONDITIONS
A. If conditions and/or circumstances are encountered at the job site which are concealed physical conditions, or unknown
physical conditions of an unusual nature, which differ materially from that which is visually ascertained, CUSTOMER agrees to
accept responsibility for such conditions and those circumstances outside the control of CONTRACTOR and further agrees to
accept responsibility for such conditions and those circumstances outside the control of CONTRACTOR and further agrees to pay
for any labor or materials, including repair to damaged equipment of CONTRACTOR caused by such conditions and/or
circumstances.
B. It is in the intent of this provision to make CUSTOMER responsible for all (1) unforeseen and concealed conditions, and (2) for
that which CONTRACTOR cannot control. Accordingly, CUSTOMER further agrees to hold CONTRACTOR harmless and shall
indemnify and defend CONTRACTOR and all its agents and employees from and against all claims, damages, losses and
expenses, including but not limited to attorney fees, consequential damages, arising out or as a result from the performance of
CONTRACTOR'S work involving, affecting, or relating to such unforeseen or concealed conditions regardless of whether such
damages are caused in part by CONTRACTOR.
C. Asbestos or other Hazardous Materials Remediation Work - CONTRACTOR has no information whatsoever with respect to
asbestos or other hazardous materials or substances in any portion of the CUSTOMER’S property and has not conducted any
investigation in connection herewith. CONTRACTOR does not perform asbestos or other hazardous materials or substance removal
and CONTRACTOR shall have no responsibility whatsoever and CUSTOMER expressly released CONTRACTOR from any liability
whatsoever and for any claims arising out of its presence, release, remediation or removal and for any costs, losses, or damages
CUSTOMER may suffer or sustain if it is found to exist on the CUSTOMER’S property. In the event that asbestos or other hazardous
materials or substances are found to exist on the CUSTOMER’S property or if, in order to obtain a building permit for the work to be
performed by CONTRACTOR as set forth herein, any remediation action or work, including investigation is required to be performed
on the CUSTOMER’S property concerning asbestos or the other hazardous materials or substances, all work by CONTRACTOR will
cease until such time as CUSTOMER has, at CUSTOMER’S sole expense, caused said asbestos or other hazardous materials or
substances to be removed in compliance with all applicable laws relation thereto. Visible or concealed asbestos.
D. Mold or Mold Spores - CONTRACTOR recommends that customers hire a professional water damage restoration company to
clean and treat an area that has water damage or as a result of work performed. CONTRACTOR is not responsible for any damage
or ill health caused by mold, CUSTOMER agrees to waive all claims against CONTRACTOR that may be related to such work.
Visible or concealed.
E. If for any reason, a maintenance visit is not performed either because of the contractor or because of the maintenance
agreement customer, the monetary value does not exceed the cost of the maintenance agreement.
F. Chimney Liner - CONTRACTOR is not responsible for the cost of a new chimney liner or any changes to a chimney liner if
necessary. CUSTOMER is responsible for hiring a chimney professional and any payments towards the service or installation.
SOLUTION NOT PERFORMED
If suggested options are not chosen by the CUSTOMER and a failure is experienced, the CONTRACTOR is held harmless.
LICENSE, PERMITS, AND FEES
A. CUSTOMER shall furnish and pay for, at their own expense, all taxes, permits, and license fees required to legally perform the
repair work in accordance with this Agreement, this is all included in your proposed work. Unless stated in the contract.
**CONTRACTOR will inform CUSTOMER of what permits and/or licenses need to be obtained in order to perform the
contract.
B. Access to the property for an agent of administrative authority must be provided within a reasonable time. Should reasonable
access not be provided, it may result in additional charges to the CUSTOMER.
C. If at any time the administrative authority asks for additional works not related to our original contract, the work is the
responsibility of the CUSTOMER. CONTRACTOR will provide an additional UPFRONT PRICE for that work.
D. All notices related to work performed by the CONTRACTOR which are sent to the property owner must be forwarded to the
CONTRACTOR within 24 hours of time in order to process.
E.CONTRACTOR is not responsible for bringing PROPERTY up to code for violations outside of CONTRACTOR’S services
including but not limited to building code violations, electrical code violations, etc.. CUSTOMER is responsible for
bringing PROPERTY up to code for any violations outside of CONTRACTOR’S services. CONTRACTOR will not perform
any services until PROPERTY is brought up to code.
PAYMENT
A. Payment for the work described herein this Agreement shall be immediately due upon completion of the work, unless otherwise
specified in writing.
B. No deduction shall be made from payments due CONTRACTOR on account of penalty, liquidated damages, back charges for
alleged defective work, or other sums withheld from payments to other CONTRACTORS, or on account of the cost of charges or
defects in the work. Furthermore, CUSTOMER agrees and recognizes that payment for services rendered by CONTRACTOR when
due is an express condition precedent to CONTRACTOR continuing work as herein described in this Agreement. CUSTOMER
recognizes that the failure to pay for services when due shall entitle CONTRACTOR to terminate work immediately. In the event that
CONTRACTOR terminates work for non-payment as herein described, CONTRACTOR shall be entitled to all of its reasonable
expenses including, but not limited to, cost of labor, materials, a reasonable allowance for overhead and profit, and all other
compensation as allowed by law. All warranties will be void.
SERVICES NOT COVERED
CONTRACTOR will not perform any other work or trade than that which is specified herein, including but not limited to carpentry,
plaster/wall work, tile work, landscaping, masonry, flooring, roofing, paving, etc., unless specified in writing. Unless otherwise stated,
paint, plaster, stucco, and landscaping is the responsibility of CUSTOMER.
SCOPE OF AGREEMENT
This agreement represents the entire and integrated agreement between CUSTOMER and CONTRACTOR and supersedes all
prior negotiations, representations or agreements, either oral or written. This agreement may be amended only by written instrument
offered by CONTRACTOR and accepted by CUSTOMER.
NOTICE OF CANCELLATION
You may cancel this transaction, without any penalty or obligation, within three business days from the accepted date.
If you cancel, any property traded in, any payments made by you under the agreement, and any negotiable instrument executed by
you will be returned within ten business days following receipt by the seller of your cancellation notice, and any security interest
arising out of the transaction will be cancelled.
Please note, acceptance of this transaction may lead to costs including but not limited to material, labor, permits, previous repairs
and prefabricated equipment.
