The Contractor warrants that it has the expertise to determine what safety procedures are required to protect workers,residents,or others during the perfommance of the contract,and that it will comply with,and assure its employees comply with,all safety requirements that are required by law,are standard in the industry,or would be employed by a prudent person in performing the work at band. 11) BONDING AND INSURANCE. Contractor agrees to secure and maintain all appropriate insurance, including workers compensation,general liability and property damage insurance. The Contractor agrees to carry liability insurance in adherence with the Vendor Requirements Sheet attached to this Agreement. Contractor agrees to provide Owner with proof of such insurance upon request(schedule of in>surari me type, coverage, limits and carriers). Contractor's coverage shall be primary to any insurance maintained by Owner and/or Owner's independent contractor. All Certificates of Insurance for coverage must show the Owner and the independent contractor as listed in the Management Agreement as additional insureds, and must include a waiver of subrogation for all coverages in favor of the Owner and the independent contractor. 12) LIEN WAIVERS. Contractor agrees to sign appropriate lien waivers as payments are made hereunder for services performed and materials provided hereunder and to obtain appropriate lien waivers from its subcontractors and materialmenn to the extent required by the independent contractor. 13) INDEMNITY. Contractor agrees to indemnify,defend,and save Owner and its agents harmless from and against anv and all claims,losses,costs and liabilities arising out of damage to property,or injury to,or death of persons occasioned by or in connexion with Contractor's or Contractor's agent's work. The contractor agrees to indemnify the Owner and/or Owner's Agent against same arising from its perfonmannce of work under the contract,including liability for injuries to its employees,dangerous conditions created while the work is being performed,and dangerous conditions resulting from improper completion of the contract. 4 14) ASSIGNMENT. This Agreement may not be assigned by Contractor without the prior written consent of the Owner or Owner's independent contractor. Subject to the provisions herein,all of the covenants,conditions and obligations contained in this Agreement shall be binding upon and imue to the benefit of the respective successors and assigns of the Owner and Contractor to the same extent as if each successor and assignee were in each case named as a party to this Agreement. 15) SEVERABILITY. If any term or provision of the Agreement or the application thereof to any person or circumstances shall,to any extent,be invalid or unenforceable,the remainder of this Agreement,shall not be affected,and each term and provision of this Agreement shall be valid and enforced to the fullest extent permitted by law. 16) APPLICABLE LAW. A one inch electrical metallic tubing protruding on the floor in the material room, shall be mechanically protected . Article 300-4. Parker Brothers -2- f. There was evidence of chemicals being sprayed in the resin room. If the material is classified as explosion proof ma- terial , the resin room under such classification will come under Class One Division/Article 500-4; 516-2B 1 & 2 . The wiring method_. will haves to-be changed and properly sealed . g . Extention chords in the dark room were noted . Being a trip hazard and therefore , not accepted as an approved wiring method under Article 300. h. Abandoned equipment is presently being stored in front of the transformer banks on the first and second floor levels . Article 110- 16A provides for a three foot working clearance. i . Open conductors were running over metal duct work , feeding electrical equipment on a temporary basis . Article 305-B- 305-2C , temporary means 90 days . Also , open conductors shall have the proper mechanical protection . Activities and Uses Inconsistent with the AUL Opinion. Activities and uses which are inconsistent with the objectives of this Notice of Activity and Use Limitation, and which, if implemented at the Property, may result in a significant risk of harm to health, safety, public welfare or the environment or in a substantial hazard, are as follows: (i.) Use of the property as a setting for single-family or duplex residences, school, kindergarten, child day care center, recreation area, or playground; (ii.) Excavation which may result in direct contact with, disturbance, or relocation of contaminated soils located at 8 ft. and greater below currently existing surface grades in AUL Sub-Area 1, at 10 ft. and greater below currently existing surface grades in AUL Sub-Area 2, and at 2 ft. and greater below currently existing surface grades in AUL Sub-Area 4, is prohibited without the prior development and implementation of a Health and Safety Plan and a Soil Management Plan conducted in accordance with Obligations of this Notice of AUL; (iii.) Relocation of the contaminated soils from AUL Sub-Area 1, AUL Sub-Area 2, and AUL Sub-Area 4, to a shallower depth within the designated AUL Sub- Area is also prohibited unless an LSP Opinion is rendered which attests that a condition of No Significant Risk is maintained, consistent with the provisions of the MCP; 6K 1594P PC, 150 (iv.) Any subsurface activity or excavation which may result in direct contact with. disturbance, or relocation of site soils (outside of or above AUL Sub-Area 1, AUL Sub-Area 2, or AUL Sub-Area 4) which is not conducted in accordance with Obligations of this Notice of AUL; (v.) Construction of enclosed, inhabited structures in AUL Sub-Area 1, AUL Sub- Area 2, or AUL Sub-Area 4 without appropriate protection from residual subsurface contamination in soil or groundwater that may volatize into the structure, is prohibited. (vi.) Installation of groundwater wells on the property for any purpose other than testing; and, (vii.) Use of on-site soils for cultivation of fruits and vegetables destined for human consumption. 3. Obligations and Conditions Set Forth in the AUL Opinion. If applicable, obligations and/or conditions to be undertaken and/or maintained at the Property to maintain a condition of No Significant Risk as set forth in the AUL Opinion shall include the following: (1) Prior to the performance of any intrusive activities within the AUL Sub-Areas, including, but not limited to, excavation to depths of greater than 8 ft. below currently existing surface grades in AUL Sub-Area 1, greater than 10 ft. below currently existing surface grades in AUL Sub-Area 2, and greater than 2 ft. below currently existing grades in AUL Sub-Area 4, a written Health and Safety Plan and a Soil Management Plan must be developed and implemented in accordance with the following guidelines: (a) The Health and Safety Plan must be prepared by a Certified Industrial Hygienist or other qualified professional familiar with worker health and safety procedures and requirements. The level of personal protection and engineering controls, dust mitigation procedures, and perimeter monitoring necessary, to prevent worker receptor exposures to contaminated soil located at depths of 8 ft. and greater below current site grading in AUL Sub-Area 1, 10 ft. and greater below current site grading in AUL Sub-Area 2, and 2 ft. and greater below current site grading in AUL Sub-Area 4, must be specified. In addition, the level of personal protection required to prevent utility worker exposures to groundwater in AUL Sub-Area 1 must also be specified. The Health and Safety Plan must also detail the type of protective clothing (i.e., gloves, Tyvek clothing, etc.), respiratory protection, environmental monitoring, and mechanical equipment necessary to prevent exposures to VOCs and petroleum products via inhalation, ingestion and/or direct dermal contact. Workers must be informed of the requirements of the Health and Safety Plan and the plan must be available on-site throughout the course of the project. (b) The Soil Management Plan must be prepared by a Licensed Site Professional and must describe soil excavation, handling, storage, on-site reuse, transport, and disposal procedures. Soils excavated from depths below surface grades of 8 ft. and greater in AUL Sub-Area 1, 10 ft. and greater in AUL Sub-Area 2, and 2ft. and greater in AUL Sub-Area 4, must either be reused within the designated AUL Sub-Area at the same depths or greater below final grades, or must be transported off-site for appropriate treatment and disposal. The Soil Management Plan must also include a description of the engineering control and air monitoring procedures necessary at the site to ensure that receptors in the vicinity of the site are not impacted by VOCs, fugitive dust, particulates, or exposures to contaminated soil via inhalation, dermal contact and/or ingestion. (2) Maintenance of appropriate protection for buildings constructed over all or portions of AUL Sub-Area No.1, AUL Sub-Area 2, and AUL Sub-Area 4, such as a subslab vapor barrier or venting system, to protect building occupants from residual subsurface contaminants which may volatilize, is required by this AUL. (3) Contaminated soil must remain at depths of 8 ft. and greater below currently existing surface grades in AUL Sub-Area 1, at depths of 10 ft. and greater in AUL Sub-Area 2, and at depths of 2 ft. and greater in AUL Sub-Area 4, and may not be relocated to more accessible locations, unless such activity is first appropriately evaluated by an LSP who renders an Opinion which attests that a condition of No Significant Risk is maintained, consistent with the provisions of the MCP. (4) Prior to the performance of any major intrusive activities across the entire property outside of or above that restricted herein for AUL Sub-Area 1, AUL Sub-Area 2, and AUL Sub-Area 4, including but not limited to, earthwork activities which result in the excavation and/or relocation of soils on or off the property, a written Soil Management Plan must be developed to ensure that good soil management practices are adhered to, pursuant to 310 CMR 40.0030. At a minimum, the development and implementation of the excavation management plan should be coordinated with the City of Salem Department of Public Works and the City of Salem Fire Department. 4. Proposed Chanties in Activities and Uses. Any proposed changes in activities and uses at the Property which may result in higher levels of exposure to oil and/or hazardous material than currently exist shall be evaluated by an LSP who shall render an Opinion, in accordance with 310 CMR 40.1080 et seq., as to whether the proposed changes will present a significant risk of harm to health, safety, public welfare or the environment. Any and all requirements set forth in the Opinion to meet the objective of this Notice shall be satisfied before any such activity or use is commenced. 5. Violation of a Response Action Outcome. The activities, uses and/or exposures upon which this Notice is based shall not change at any time to cause a significant risk of harm to health, safety, public welfare, or the environment or to create substantial hazards due to exposure to oil and/or hazardous material without the prior evaluation by an LSP in accordance with 310 CMR 40.1080 et seq., and without additional response actions, if necessary, to achieve or maintain a condition of No Significant Risk or to eliminate substantial hazards. The subject property comprises approximately 14.7 acres and is zoned for industrial use. SITE SETTING AND HISTORY Sanborn maps and other references indicate that numerous parties have occupied various portions of the property, including garages, service stations, oil companies, a machine company, a welding company, a state military garage, and a toy and board game manufacturer. The generally level property is bounded on the north by the Boston & Maine Railroad tracks/commuter rail line and the North River; on the east by Howard Street Extension, several residential dwellings, and a furniture stripping operation; on the south across Bridge Street by residential dwellings, the former Salem Jail,'and a cemetery; and to the west by railroad tracks and a former retail shop. The buildings on the property were demolished in the fall of 1996. The property is currently undeveloped with building demolition debris and paved areas remaining and is enclosed by a locked, chain-link fence. There is no current use of groundwater at the property; groundwater is classified as GW-3. DISPOSAL SITE DESCRIPTION The site is comprised of historic fill material within the property boundaries and four separately addressed release areas. Phase II - Comprehensive Site Assessment activities conducted during the late summer and fall of 1997 have determined the nature and extent of contamination of the releases initially reported to DEP under RTN 3-10900 and RTN 3-14411. RTN 3-10900 was attributed to releases to and in the vicinity of a previously existing Catch Basin and is identified as Area 1. RTN 3-14411 was attributed to releases beneath a previously existing building (Building k10) associated with petroleum underground storage tanks (identified as Area 2). Supplemental studies conducted in the summer and fall of 1998 have determined the nature and extent of contamination of the releases initially reported to DEP under RTN 3-17564. RTN 3-17564 has been attributed to poor quality near-surface fill materials encountered beneath previously existing Building #8 (identified as Area 3) and a release from a former City of Salem Department of Public Works (DPW) gasoline underground storage tank (identified as Area 4). In addition, poor quality fill materials 1 5K 1 P 1 f? encountered beneath a portion of the former Building #10 and reported to DEP under RTN 3-17564 are herein considered part of Area 2. The Area 1, Area 2, Area 3, and Area 4 disposal sites are the result of past, discontinued activities and releases. All the reported releases have been joined together under the designation RTN 3-10900 for the purposes of investigation and remediation under the MCP. RTN 3-10900 is a Tier II Disposal Site. REASON FOR AND SCOPE OF ACTIVITY AND USE LIMITATION There are three reasons for the AUL: (1) oil and hazardous material ("OHM") has been detected in fill and groundwater across the property; (2) the Risk Characterization did not evaluate and makes no conclusions about certain future uses of the property; and (3) there are three localized sub-areas of the property which pose special concerns. These localized areas are identified as AUL Sub-Area 1 (Former Catch Basin Area), AUL Sub-Area 2 (Former Building #10 Area), and AUL Sub-Area 4 (Former Salem DPW Area). These risks posed by conditions in these sub-areas attributable to the presence of residual VOCs and petroleum products in soil and groundwater, can be managed with activity and use limitations designed to prevent uncontrolled exposures. Therefore, the AUL addresses engineering controls that would be utilized beneath future buildings to mitigate volatilization of chemical constituents to indoor air (in AUL Sub-Area 1, AUL Sub-Area 2, and AUL Sub-Area 4) and limits utility worker activities (in the localized area of AUL Sub-Area 1). In addition to the limitations imposed on those localized sub-areas (AUL Sub-Area 1, AUL Sub-Area 2, and AUL Sub-Area 4), because OHM have been detected in fill and groundwater across the site, conditions have been included in this AUL to provide for prudent construction and soils management practices across the entire property, including management of the excavation of soils and restrictions on the installation of groundwater wells on the property for any purpose other than testing. The AUL also restricts groundwater wells for purposes other than monitoring groundwater quality. - The Risk Characterization did not evaluate the growing of fruits and vegetables anywhere on the site and therefore assumes that such growing will be prohibited by activity and use limitations. Based on the understanding that the site would be used for commercial and multi-family purposes, the Risk Characterization also did not evaluate uses related to single-family residences, day care facilities, school facilities or other activities that would result in similar exposure to children, and therefore, this AUL also restricts certain residential use and uses where children would be expected to be routinely present. In order to maintain a level of No Significant Risk, an Activity and Use Limitation is necessary to record the assumptions and limitations of the Method 3 Risk Characterization regarding future site activities and uses. The stated assumptions and limitations of the Method 3 Risk Characterization also become obligations and conditions of the AUL. A Method 3 Risk Characterization was conducted to characterize risks posed by the residual levels of VOCs and petroleum products in soil and groundwater at the property. Six exposure scenarios were hypothesized to represent current and reasonably foreseeable future uses of the site: 2 BK 15448 PO 174 ❑ ingestion of shallow and deep soils, dermal contact with shallow and deep soils, and inhalation of fugitive dust by nearby resident/trespassers under current and future conditions; ❑ ingestion and dermal contact with shallow and deep soils and groundwater, and inhalation of fugitive dust by adult utility workers under current and future conditions; ❑ ingestion of shallow and deep soils, dermal contact with shallow and deep soils, and inhalation of fugitive dust by adult excavation and construction workers under future conditions; ❑ ingestion of shallow and deep soils, dermal contact with shallow and deep soils, and inhalation of indoor air and fugitive dust by adult commercial workers under future conditions; ❑ ingestion of shallow and deep soils, dermal contact with shallow and deep soils, and inhalation of indoor air and fugitive dust by adults and children residing in multi-family apartment buildings under future conditions; and, ❑ ingestion of shallow and deep soils, dermal contact with shallow and deep soils, and inhalation of fugitive dust by adult landscapers under future conditions. Soils containing residual volatile organic compounds (VOCs) and/or petroleum products are present at locations depicted on Exhibit B. These contaminants are found at depths of approximately 8-12 ft. below ground surface in Sub-Area 1, at approximately 10-12 ft. below ground surface in Sub-Area 2, and at approximately 2-4 ft. below ground surface in Sub-Area 4. Area 3 is not depicted on Exhibit B, because near-surface contamination was removed during Release Abatement Measure (RAM) activities conducted in December 1998. Although no buildings exist on the property at this time, foreseeable site uses associated with planned redevelopment of the property include: building and subsurface utility construction and maintenance; landscaping and grounds keeping; and'restricted commercial and multi- family residential apartment uses. The Risk Characterization concluded that "No Significant Risk" to human health exists for current conditions (i.e. trespasser and utility worker scenarios). The Risk Characterization further concluded that "No Significant Risk" to human health exists for future foreseeable site use by a landscape worker, construction worker, or trespasser, and that property conditions present a condition of "No Significant Risk" of harm to public welfare, safety, or the environment. However, due to the presence of residual VOCs and petroleum hydrocarbons in soil and groundwater in localized areas of the property, a level of"No Significant Risk" has not been achieved for foreseeable site uses involving potential indoor air exposures to a future apartment resident or building occupant, or potential future utility worker exposures to groundwater. PERMITTED SITE ACTIVITIES AND USES This AUL Opinion provides that a condition of No Significant Risk to health, safety, public welfare or the environment exists for any foreseeable period of time (pursuant to 310 CMR 40.000) so long as any of the following activities and uses occur on the property. 3 R j • d en -. Any activities and uses consistent with the use of the property for commercial, industrial, hotel, office, or multi-family residential apartment (which does not include duplexes) purposes is permitted by this AUL provided that contaminated soil in AUL Sub-Area 1 at depths of 8 ft. and greater below currently existing surface grades, remain inaccessible; contaminated soil in AUL Sub-Area 2 at depths of 10 ft. and greater below currently existing surface grades, remain inaccessible; and, contaminated soil in AUL Sub-Area 4 at depths of 2 ft. and greater below currently existing surface grades, remain inaccessible. (ii.) Subsurface activities and/or construction including, but not limited to excavation associated with future construction of buildings and other improvements to support permitted uses on the property which may disturb contaminated soils currently located below currently existing surface grades, provided that such work is conducted in accordance with a Soil Management Plan developed in accordance with Obligation 1(b). (iii.) Landscaping and grounds keeping activities, including but not limited to planting of trees and shrubs, installation of irrigation systems, installation of lawns, grassy areas, signs and fence posts, maintenance of landscaping such,as annual planting of plants and plant bulbs and cutting and raking grassy areas, and maintenance and resurfacing of parking lots, sidewalks, and driveways is permitted; (iv.) Future subsurface utility construction and maintenance in AUL Sub-Area 1 is permitted, provided that it not be undertaken without the prior development and implementation of a Health and Safety Plan in accordance with the obligations set forth below. (v.) Activities and uses which are not prohibited by this Notice of AUL; and, (vi.) Such other activities or uses which, in the Opinion of an LSP, shall present no greater risk of harm to health, safety, public welfare or the environment than the activities set forth in this paragraph. PROHIBITED OR RESTRICTED SITE ACTIVITIES AND USES Activities and uses which are inconsistent with the objectives of this Notice of Activity and Use Limitation, and which, if implemented at the Property may result in a significant risk of harm to health,, safety, public welfare or environment or in a substantial hazard, are as follows: (i.) Use of the property as a setting for single-family or duplex residences, school, kindergarten, child day care center, recreation area, or playground; (ii.) Excavation which may result in direct contact with disturbance, or relocation of contaminated soils located at 8 ft. and greater below currently existing surface grades in AUL Sub-Area No.1, at 10 ft. and greater below currently existing surface grades in AUL Sub-Area 2, and at 2 ft. and greater below currently existing surface grades in AUL Sub-Area 4, is prohibited without the prior development and implementation of a Health and Safety Plan and a Soil Management Plan conducted in accordance with Obligations of this Notice of AUL; 4 (iii.) Relocation of the contaminated soils from AUL Sub-Area 1, AUL Sub-Area 2, and AUL Sub- Area 4, to a shallower depth within the designated AUL sub-area is also prohibited unless an LSP Opinion is rendered which attests that a condition of No Significant Risk is maintained, consistent with the provisions of the MCP; (iv.) Any subsurface activity or excavation which may result in direct contact with, disturbance, or relocation of site soils (outside of or above AUL Sub-Area 1, AUL Sub-Area 2, or AUL Sub- Area 4) which is not conducted in accordance with Obligations of this Notice of AUL; (v.) Construction of enclosed, inhabited structures in AUL Sub-Area 1, AUL Sub-Area 2, or AUL Sub-Area 4 without appropriate protection from residual subsurface contamination in soil or groundwater that may volatize into the structure, is prohibited. (vi.) Installation of groundwater wells on the property for any purpose other than testing; and, (vii.) Use of on-site soils for cultivation of fruits and vegetables destined for human consumption. OBLIGATIONS AND CONDITIONS SET FORTH IN THE AUL OPINION (1) Prior to the performance of any intrusive activities within the AUL sub-areas, including, but not limited to, excavation to depths of greater than 8 ft. below currently existing surface grades in AUL Sub-Area 1, greater than 10 ft. below currently existing surface grades in AUL Sub- Area 2, and greater than 2 ft. below currently existing grades in AUL Sub-Area 4, a written Health and Safety Plan and a Soil Management Plan must be developed and implemented in accordance with the following guidelines: (a) The Health and Safety Plan must be prepared by a Certified Industrial Hygienist or other qualified professional familiar with worker health and safety procedures and requirements. The level of personal protection and engineering controls, dust mitigation procedures, and perimeter monitoring necessary to prevent worker receptor exposures to contaminated soil located at depths of 8 ft. and greater below current site grading in AUL Sub-Area 1, 10 ft. and greater below current site grading in AUL Sub- Area 2, and 2 ft. and greater below current site grading in AUL Sub-Area 4, must be specified. In addition, the level of personal protection required to prevent utility worker exposures to groundwater in AUL Sub-Area 1, must also be specified. The Health and Safety Plan must also detail the type of protective clothing (i.e., gloves, Tyvek clothing, etc.), respiratory protection, environmental monitoring, and mechanical equipment necessary to prevent exposures to VOCs and petroleum products 5 ~' 5K 15548 FG via inhalation, ingestion and/or direct dermal contact. Workers must be informed of the requirements of the Health and Safety Plan and the plan must be available on-site throughout the course of the project. (b) The Soil Management Plan must be prepared by a Licensed Site Professional and must describe soil excavation, handling, storage, on-site reuse, transport, and disposal procedures. Soils excavated from depths below surface grades of 8 ft. and greater in AUL Sub-Area 1, 10 ft. and greater in AUL Sub-Area 2, and 2ft. and greater in AUL Sub-Area 4, must either be reused within the designated AUL Sub-Area at the same depths or greater below final grades, or must be transported off-site for appropriate treatment and disposal. The Soil Management Plan must also include a description of the engineering control and air monitoring procedures necessary at the site to ensure that receptors in the vicinity of the site are not impacted by VOCs, fugitive dust, particulates, or exposures to contaminated soil via inhalation, dermal contact and/or ingestion. (2) Maintenance of appropriate protection for buildings constructed over all or portions of AUL Sub-Area No.1, AUL Sub-Area 2, and AUL Sub-Area 4, such as a subslab vapor barrier or venting system, to protect building occupants from residual subsurface contaminants which may volatilize, is required by this AUL. (3) Contaminated soil must remain at depths of 8 ft. and greater below currently existing surface grades in AUL Sub-Area 1, at depths of 10 ft. and greater in AUL Sub-Area 2, and at depths of 2 ft. and greater in AUL Sub-Area 4, and may not be relocated to more accessible locations, unless such activity is first appropriately evaluated by an LSP who renders an Opinion which attests that a condition of No Significant Risk is maintained, consistent with the provisions of the MCP. (4) Prior to the performance of any major intrusive activities across the entire property outside of or above that restricted herein for AUL Sub-Area 1, AUL Sub-Area 2, and AUL Sub-Area 4, including but not limited to, earthwork activities which result in the excavation and/or relocation of soils on or off the property, a written Soil Management Plan must be developed to ensure that good soil management practices are adhered to, pursuant to 310 CMR 40.0030. (5) For any excavations or invasive activities on the property, it is recommended that an excavation management plan be prepared which includes provisions for odors and guidance for the monitoring, control, and management of volatile organic compounds and odors that may be released during such activities.
