Said AUL Opinion explains that the implementation of the following proposed changes in Site Activities and Uses at the Property will maintain a condition of No Significant Risk at the Property, and that no additional response actions are necessary; NOW THEREFORE, in accordance with M.G.L. c. 21E and the MCP, the undersigned Salem Station LLC, of Delaware, being the owner of the Property pursuant to a deed recorded with the Southern Essex District Registry of Deeds in Book 21290, Page 568, and Certificate of Title No. 76213, issued by the Land Registration Office of the Southern Essex Registry District, hereby amends said Notice as follows: Paragraph 1, "Permitted Uses and Activities Set Forth in the AUL Opinion", is amended to read as follows: 1. Permitted Activities and Uses Set forth in the AUL minion. A condition of No Significant Risk to health, safety, public welfare or the environment exists for any foreseeable period of time so long as any of the following activities and uses occur on the Property: (i.) Any activities and uses consistent with the use of the Property for commercial, industrial, hotel, office, or multi-family residential apartment and rental townhouse (which does not include duplexes) purposes, including but not limited to recreational use of public walkways and landscaped areas for walking, bicycling, strolling, picnicking, and sitting;provided that contaminated soil in AUL Sub-Area I, as depicted on the Recorded Plan (as defined in the 2003 Amendment and Ratification of the Notification of Activity and Use Limitation), at depths of 8 feet and greater below currently existing surface grades, remains inaccessible; contaminated soil in AUL Sub-Area 2, as depicted on the Recorded Plan, at depths of 10 feet and greater below currently existing surface grades, remains inaccessible; and contaminated soil in AUL Sub-Area 3, as described in the attached Exhibit A-I and shown in the attached Exhibit C-1, and depicted on the AUL Sub-Area 3 Layout Plan recorded with the Southern Essex District Registry of Deeds in Plan Book 439 Plan 9, at depths of 3 feet and greater below grade where a current soil cover is present or 1 foot below grade where future asphalt or concrete is present, remains inaccessible; (ii.) Construction of enclosed, occupied structures so long as a passive sub-slab venting system is installed under the supervision of a Licensed Site Professional (LSP) and an evaluation of the indoor air exposure pathway is completed by an LSP following installation to ensure that such system is effective in controlling the vapor intrusion pathway; Form 1082B- Final 8-19-13.docx Page 2 of 8 (iii.) Subsurface activities and/or construction, including but not limited to excavation associated with future construction of buildings and other improvements to support permitted uses on the Property, provided that, except for excavation necessary for emergency utility repairs or response to fire or flood, and landscaping and grounds keeping activities described below, such work is conducted in accordance with a Soil Management Plan developed in accordance with Obligation (i)(b) set forth below; (iv.) Landscaping and grounds keeping activities, including but not limited to planting of trees and shrubs, installation of irrigation systems, installation of lawns, grassy areas, signs and fence posts, maintenance of landscaping such as annual planting of plants and plant bulbs and cutting and raking grassy areas, and maintenance and resurfacing of parking lots, sidewalks, and driveways. Within AUL Sub-Area 3, these activities are limited to within 3 feet below grade where a current soil cover is present or I foot below grade where future asphalt or concrete is present; (v.) Future subsurface utility construction and maintenance in AUL Sub-Area 1, AUL Sub-Area 2, and AUL Sub-Area 3, provided that, except for emergency utility repairs, it not be undertaken without the prior development and implementation of a Soil Management Plan and a Health and Safety Plan as noted in the Obligations set forth below; (vi.) Activities and uses which are not prohibited by this Notice of AUL;and (vii.) Such other activities or uses which, in the Opinion of an LSP, shall present no greater risk of harm to health, safety, public welfare or the environment than the activities set forth in this paragraph. Paragraph 2, "Activities and Uses Inconsistent with the AUL Opinion", is amended to read as follows: 2. Activities and Uses Inconsistent with the AUL Opinion. The following activities and uses, if implemented on the Property, may result in a Significant Risk of harm to health, safety, public welfare or the environment, and are prohibited: (i.) Use of the Property as a setting for single-family or duplex residences, schools, kindergartens, child daycare centers, playing fields, or playgrounds; (ii.) Excavation which may result in direct contact with, disturbance, or relocation of contaminated soils located at 8 feet and greater below currently existing surface grades in AUL Sub-Area I, at 10 feet and greater below currently existing surface grades in AUL Sub-Area 2, and at depths of 3 feet and greater below currently existing grade where a current soil cover is present or 1 foot below grade where future asphalt or concrete is present in AUL Sub-Area 3, without the prior development and implementation of a Health and Safety Plan and a Soil Management Plan prepared in accordance with the Obligations of this Notice of Form 10828-Final 8-19-13.docx Page 3 of 8 AUL. Excavation necessary for emergency utility repairs or response to a fire or flood is exempted from this restriction; (iii.) Except for emergency excavation described in (ii.) above, relocation of the contaminated soils from described depths (8 feet and greater below currently existing surface grades in AUL Sub-Area 1, 10 feet and greater below currently existing surface grades in AUL Sub-Area 2, and at depths of 3 feet and greater below currently existing grade where a current soil cover is present or I foot below grade where future asphalt or concrete is present in AUL Sub-Area 3) to a shallower depth within the designated AUL Sub-Area or elsewhere on the Property, unless an LSP Opinion is rendered which attests that a condition of No Significant Risk is maintained, consistent with the provisions of 310 CMR 40.0000; (iv.) Any subsurface activity or excavation which may result in direct contact with, disturbance, or relocation of site soils outside of designated AUL Sub-Areas, or above designated depths of contaminated soil in AUL Sub-Area I, AUL Sub-Area 2, and AUL Sub-Area 3, which is not conducted in accordance with the Obligations of this Notice of AUL; (v.) Construction of any enclosed, occupied structures, without the installation, under supervision of LSP, of passive sub-slab venting system to protect from intrusion of vapors from residual subsurface contamination into the structure, and evaluation by an LSP of the indoor air exposure pathway after such installation to ensure that such system is effective; (vi.) Installation of groundwater wells on the Property for any purpose other than testing; and (vii.) Use of on-site soils for cultivation of fruits and vegetables intended for human consumption. Paragraph 3, "Obligations and Conditions Set Forth in the AUL Opinion", is amended to read as follows: 3. Obligations and Conditions. The following obligations and/or conditions must be maintained on the Property in order to maintain a condition of No Significant Risk: (i.) Prior to the performance of any intrusive activities within the AUL Sub-Areas, including, but not limited to, excavation to depths of greater than 8 feet below currently existing surface grades in AUL Sub-Area I, greater than 10 feet below currently existing surface grades in AUL Sub-Area 2, and at depths of 3 feet and greater below grade where a current soil cover is present or 1 foot below grade where future asphalt or concrete is present in AUL Sub-Area 3 (except for excavation necessary for emergency utility repairs or response to a fire or flood), a written Health and Safety Plan and a Soil Management Plan must be developed and implemented in accordance with the following guidelines: Form 10828 - Final 8-19-I3.docx Page 4 of a) The Health and Safety Plan must be prepared by a Certified Industrial Hygienist or other qualified professional familiar with worker health and safety procedures and requirements. The level of personal protection and engineering controls, dust mitigation procedures, and perimeter monitoring necessary to prevent worker receptor exposures to contaminated soil located at depths of 8 feet and greater below currently existing surface grades in AUL Sub-Area 1, 10 feet and greater below currently existing surface grades in AUL Sub-Area 2, and 3 feet and greater below grade where a current soil cover is present or I tbot below grade where future asphalt or concrete is present in AUL Sub-Area 3 must be specified. The level of personal protection and/or engineering controls required to prevent utility worker exposures to groundwater in AUL Sub-Area I must also be specified. The Health and Safety Plan must also detail the type of protective clothing (i.e., gloves, Tyvek clothing, etc.), respiratory protection, environmental monitoring, and/or mechanical equipment necessary to prevent exposures to volatile organic compounds and petroleum products via inhalation, ingestion and/or direct dermal contact. Workers must be informed of the requirements of the Health and Safety Pian and the plan must be available on-site throughout the course of the project. b) The Soil Management Plan must be prepared by a Licensed Site Professional and must describe soil excavation, handling, storage, on-site reuse, transport, and/or disposal procedures. Soils excavated from depths below surface grades of 8 feet and greater in AUL Sub-Area 1, 10 feet and greater in AUL Sub-Area 2, and greater than 3 feet below grade where a current soil cover is present or 1 foot below grade where future asphalt or concrete is present in AUL Sub-Area 3, must either be reused within the designated AUL Sub-Area at the same depths or greater below final grades, or must be transported off-site for appropriate treatment and/or disposal. The Soil Management Plan must also include a description of the engineering controls and air monitoring procedures necessary at the site to monitor and ensure that receptors in the vicinity of the site are not impacted by VOCs, fugitive dust, particulates, nuisance odors, or exposures to contaminated soil via inhalation, dermal contact and/or ingestion. (ii.) Passive sub-slab venting systems must be maintained for occupied buildings to protect building occupants from residual subsurface contaminants that may volatilize. (iii.) The surficial cover preventing direct contact with impacted soil in AUL Sub-Area 3 must be maintained to ensure that erosion or other damage to the cover is not taking place. The cover currently consists of three feet of soil cover underlain by a geofabric material. In the future, the current soil cover may be replaced with a building foundation or asphalt, concrete or other pavement installed with base Form 10823- Final 8-19-13.docx Page 5 of 8 course material, together totaling a minimum thickness of I foot, and which in the opinion of an LSP will restrict access to impacted soils. (iv.) Except for excavation necessary for emergency utility repairs or response to a fire or flood, contaminated soil at depths below surface grade of 8 feet and greater in AUL Sub-Area 1, 10 feet and greater in AUL Sub-Area 2, and greater than 3 feet below grade where a current soil cover is present or 1 foot below grade where future asphalt or concrete is present in AUL Sub-Area 3, may not be relocated to areas outside of the AUL Sub-Areas, or within the AUL Sub-Areas to shallower locations above the specified depths, unless such activity is first appropriately evaluated by an LSV who renders an Opinion attesting that a condition of No Significant Risk is maintained, consistent with the provisions of the MCP. (v.) Prior to the performance of any intrusive activities (beyond those allowed under the "Permitted Activities and Uses" section of the AUL) across the entire Property, outside of designated AUL Sub-Areas, or above designated depths of contaminated soil in AUL Sub-Area I, AUL Sub-Area 2, and AUL Sub-Area 3, including but not limited to, earthwork activities that result in the excavation and/or relocation of soils on or off the Property, a written Soil Management Plan must be developed as described above in Obligation (i)(b) to ensure that good soil management practices are adhered to, pursuant to 310 CMR 40.0030. Includes provisions and guidance for the monitoring, control, and management of volatile organic compounds and odors that may be released during such activities. As required, the development and implementation of the Excavation Management Plan should be coordinated with the City of Salem Department of Public Works and the City of Salem Fire Department. In all other respects the provisions of said Notice remain unchanged. Subsurface activities and/or construction, including but not limited to excavation associated with future construction of buildings and other improvements to support permitted uses on the Property, provided that, except for excavation necessary for emergency utility repairs or response to fire or flood, and landscaping and grounds keeping activities described below, such work is conducted in accordance with a Soil Management Plan developed in accordance with Obligation (i)(b)set forth below; (iv) Landscaping and grounds keeping activities, including but not limited to planting of trees and shrubs, installation of irrigation systems, installation of lawns, grassy areas, signs and fence posts, maintenance of landscaping such as annual planting of plants and plant bulbs and cutting and raking grassy areas, and maintenance and resurfacing of parking lots, sidewalks, and driveways. Within AUL Sub-Area 3,these activities are limited to within 3 feet below grade where a current soil cover is present or 1 foot below grade where future asphalt or concrete is present,- (v.) Future subsurface utility construction and maintenance in AUL Sub-Area 1, AUL Sub-Area 2, and AUL Sub-Area 3, provided that, except for emergency utility repairs, it not be undertaken without the prior development and implementation of a Soil Management Plan and a Health and Safety Plan as noted in the Obligations set forth below; (vi.) Activities and uses which are not prohibited by this Notice of AUL;and, (vii.) Such other activities or uses which, in the Opinion of an LSP, shall present no greater risk of harm to health, safety, public welfare or the environment than the activities set forth in this paragraph. Activities and Uses Inconsistent with the AUL Activities and Uses Inconsistent with the AUL Opinion. The following activities and uses, if implemented on the Property, may result in a Significant Risk of harm to health, safety, public welfare or the environment, and are prohibited: (i.) Use of the Property as a setting for single-family or duplex residences, schools, kindergartens, child daycare centers, playing fields, or playgrounds; (i i.) Excavation which may result in direct contact with, disturbance, or relocation of contaminated soils located at 8 feet and greater below currently existing surface grades in AUL Sub-Area 1, at 10 feet and greater below currently existing surface grades in AUL Sub-Area 2, and at depths of 3 feet and greater below currently existing grade where a current soil cover is present or I foot below grade where future asphalt or concrete is present in AUL Sub-Area 3, without the prior development and implementation of a Health and Safety Plan and a Soil Management Plan prepared in accordance with the Obligations of this Notice of AUL. Excavation necessary for emergency utility repairs or response to a fire or flood is exempted from this restriction; August 19,2013 Pap 4 of7 LSP Opinion-Final-8-19-13.dmx conducted sampling of surficial soil in the northeast corner of the Property in 2011 and identified similar contaminants, at levels higher than had been historically detected elsewhere on the Property. Based upon these findings, U.S. EPA requested and Salem Station LLC agreed to remove the top three feet of soil in a small impacted portion of the northeast corner of the Property adjacent to the off-Site impacted parcels. This soil excavation, with off-Site disposal and subsequent replacement with three feet of clean fill, was conducted in 2012. Subsequent assessment of deeper soils and groundwater by Cardno ATC has identified elevated levels of various compounds, including metals, PAHs, and cyanide, at concentrations greater than had been observed elsewhere on the Property. In addition, some coal tar-saturated soil, interpreted by MassDEP staff as NAPL, was observed, which MassDEP required Salem Station LLC to report as a 72-hour Reportable Condition in September 2012. MassDEP assigned RTN 3-31129 to this Reportable Condition, which is related to the historical operations of the MGP Site adjacent to the northeast of the Property. MCP Response Actions continue for this RTN. Reason for Second Amendment of Activity and Use Limitation The reasons an AUL is needed at the Site were previously discussed in the AUL Opinions of the original 1999 AUL and the Amended 2003 AUL. This Second Amendment to the AUL is intended to meet two additional objectives: 1) Expand the requirements for vapor intrusion mitigation engineering controls to include maintenance of the controls at all existing occupied buildings and installation of passive sub-slab venting systems under all future occupied buildings at the Property. 2) Add a new AUL Sub-Area(new Sub-Area 3) as an area with certain restrictions and obligations, in order to prevent direct contact with contaminants and preclude disturbance of NAPL-like material. AUL Sub-Area 3 is located in the northeast corner of the Property where MGP-related contaminants associated with RTN 3-31129 are located. The Amended AUL applies to the entire Property. Permitted activities and uses, restricted activities and uses, and obligations and conditions imposed on the owner of the site, as amended, are described below. Permitted Activities and Uses Permitted Activities and Uses. A condition of No Significant Risk to health, safety, public welfare or the environment exists for any foreseeable period of time so long as any of the following activities and uses occur on the Property: (i.) Any activities and uses consistent with the use of the Property for commercial, industrial, hotel, office, or multi-family residential apartment and rental townhouse (which does not include duplexes) purposes, including but not limited to recreational use of public walkways and landscaped areas for walking, bicycling, strolling, picnicking, and sitting; provided that contaminated soil in AUL Sub-Area 1, as depicted on the Recorded Plan (as defined in the 2003 Amendment and Ratification of the Notification of Activity and Use Limitation), at depths of 8 feet and greater below currently existing surface grades, remains inaccessible; contaminated soil in AUL Sub-Area 2, as depicted on the Recorded Plan, at depths of 10 feet and greater below currently existing surface grades, remains inaccessible; and contaminated soil in AUL Sub-Area 3, as described in the attached Exhibit A-1 and shown in the attached Exhibit C-1, and depicted on the AUL Sub-Area 3 Layout Plan recorded with the Southern Essex District Registry of Deeds August 19,2013 Pagc 3 of USP Opinion-Final-8-19-11docs underground storage tank beneath a former building and poor quality fill materials. Area 3 was attributed to poor quality near-surface fill material beneath a former building. Area 4 was related to a release from a former gasoline underground storage tank. Reported releases associated with these areas were originally listed with MassDEP under Release Tracking Numbers (RTNs) 3-10900, 3-14411, or 3-17564, and were subsequently linked under RTN 3-10900. Areas I, 2 and 4 were treated as"AUL Sub-Areas' in the original 1999 AUL, while the risk associated with Area 3 was not significant enough to require a unique AUI, Sub- Area. A Class A-3 Response Action Outcome Statement and Release Abatement Measure Completion Report was filed for the site in September 1999, The RAO concluded a condition of No Significant Risk for the site with the implementation of the original 1999 AUL. During construction of the apartment complex in 2001-2002, various additional subsurface structures were identified, along with some impacted soil and groundwater. The structures were removed and the impacted soil and groundwater were remediated under the existing RTN 3-10900, with approval of MassDEP. A sudden release of oily water from a discovered petroleum UST was reported to MassDEP and assigned RTN 3-20637.The release was subsequently remediated. Remediation of impacted soil in AUL Sub-Area 4 was conducted in August 2001, eliminating the need for the special conditions implemented for this area in the original 1999 AUL. The elimination of AUL Sub- Area 4, along with minor corrections, was addressed with the First "Amendment and Ratification" of AUL, recorded in March 2003. The Massachusetts Highway Department acquired a portion of the Property by eminent domain in 2001, specifically the parcels that now make up the Bridge Street Extension right-of-way. The majority of AUL, Sub-Area 1 is now located within the Bridge Street Extension right-of-way. Construction of Bridge Street Extension was conducted between 2006 and 2009. A Revised Class A-3 Response Action Outcome Statement (Revised RAO) was filed in July 2003. 'Che Revised RAO included original RTN 3-10900, as well as the newer RTN 3-20637. The RAO concluded that a condition of No Significant Risk existed for the site with the implementation of the Amended AUL. MassDEP issued a Notice of Audit Findings/Notice of Noncompliance (NAF/NON) on May 28, 2008. The NON retracted the 2003 Revised RAO, citing concerns related to the release of chlorinated volatile organic compounds (VOCs)to soil and groundwater around AUL Sub-Area I and the potential for impact to indoor air. Subsequently, Salem Station LLC reported potential vapor intrusion at the Site, to which MassDEP assigned RTN 3-27869. To address the NAF/NON, multiple rounds of indoor air sampling and other site assessments were performed at the apartment buildings. Based on multiple lines of evidence,Cardno ATC concluded that vapor intrusion was not occurring. Therefore, no Imminent Hazard or Critical Exposure Pathway (CEP) existed. These conclusions were reported to the MassDEP in various MCP documents for RTN 3.27869, including Immediate Response Action (IRA) documents and Comprehensive Response Action documents (Phase I Initial Site Investigation submitted August 30, 2010, Phase 11 Comprehensive Site Assessment submitted April 1,2011,and Phase Ill Remedial Action Plan submitted August 30,2012). Contamination associated with a historical Manufactured Gas Plant (MGP) site that operated in the late I800s has been identified adjacent to the northeast of the Property. The contamination detected included polycyclic aromatic hydrocarbons (PAHs) and metals in near-surface soil. The U.S. Environmental Protection Agency(EPA)conducted assessment and removal actions in 2011 on adjacent parcels of land, including the removal of three feet of soil and replacement with clean fill material. The U.S. EPA August 19,2013 Page 2 ot'7 LSP Opinion-Final-8-19-13.docx EXHIBIT B SECOND AMENDMENT TO ACTIVITY AND USE LIMITATION (AUL)OPINION St. Peters Street 190 Bridge Street Salem, Massachusetts Release Tracking Numbers(RTNs): 3-10900,3-27869, and 3-31129 In accordance with the requirements of 310 CMR 40.1081, this Second Amendment to the Activity and Use Limitation (AUL) Opinion has been prepared in accordance with the Massachusetts Contingency Plan (MCP, 2009). This AUL Opinion provides the following information: • Applicability of the AUL to achieve/maintain a condition of"No Significant Risk"; • Permitted activities and uses for the Property(Amended); • Restricted activities and uses for the Property(Amended); and • Obligations and conditions necessary to meet the objectives of the Notice of AUL (Amended). The Jefferson at Salem Station apartment complex (the "Property") is located at 190 Bridge Street near downtown Salem, Massachusetts. The entire Property consists of approximately 14.69 acres of land. The Bridge Street Extension was completed in 2008 as a public road that runs through the Property, dividing the Property into two portions. The majority of the Property is covered with buildings, roadways, or parking lots. The Property was formerly the location of various industrial and commercial buildings. The Property was subsequently redeveloped as a residential rental apartment complex that was completed in 2003 by the prior owner. Jefferson at Salem, L.P. As of the date of this Amended AUL Opinion, the Property use remains residential. There are currently nine buildings at the Property, of which five are five-story rental residential apartment buildings (Buildings I through 5) and four are two-story townhouse style apartment buildings (Buildings 6 through 9). There are approximately 266 apartments in the nine buildings. Building 4 contains ground floor public common areas and retail space. All current occupied buildings have slab-on-grade foundations that incorporate a polyethylene vapor barrier and a passive sub-slab ventilation system that have been evaluated and found to be effective. Disposal Site History A toy and game manufacturer and its predecessors/subsidiaries formerly occupied the western portion of the Property. The eastern portion of the Property was historically owned by the Salem Department of Public Works (DPW) and used for various purposes including vehicle maintenance, storage, fueling, material storage, and offices. An estimated 15 buildings formerly existed at the Property, which were demolished in 1996. Redevelopment of the Property as a residential apartment complex was initiated in 2001. A Phase II Comprehensive Site Assessment conducted in 1997 and supplemental studies completed in 1998 identified the nature and extent of contamination at the Property and concluded it consisted of historical fill material within the Property boundaries and four separate localized release areas. Area I was associated with releases of solvents to a former catch basin. AUL SUMMARY COMPLIANCE REVIEW Chapter 206 of the Acts of 1998 (The Brownfields Act)requires that the Department conduct an audit of all sites with AULs. In carrying out this mandate, the Department has established special procedures for reviewing AULs recorded on or before October 29, 1999, including the AUL submitted as part of the RAO for your site. Please note that these procedures do not apply to AULs recorded on or after, ctober 30, 1999, and this Summary of AUL Compliance Review should not be relied upon to predict audit results for such.AULs. Applying the procedures described above, the Department has identified an error in the AUL that requires correction. Specifically: • The AUL does not adequately define what uses and activities are permitted at the site, what uses and activities are restricted, or what obligations and conditions must be maintained at the site. The AUL prohibits construction of enclosed, inhabited structures in the AUL Sub-Areas without"appropriate protection from residual subsurface contamination in soil or groundwater that may volatize into the structure". It is unclear what would qualify as"appropriate protection". Though the obligation paragraph indicates that any appropriate protection must be maintained,such as a subslab vapor barrier or venting system, the AUL must be more specific in this regard. Without specific identification of what"appropriate protection" entails, the maintenance of this protection is difficult. Additionally, LSP oversight isnot required by the AUL in determining what qualifies as "appropriate protection". As a result of conversations with Amy McElroy of Vertex Engineering Services, the Department acknowledges that the property underwent re-development,which included the construction of buildings. The Department also acknowledges that a public access walkway is planned within a portion of the property. Please note that a revised risk characterization would be necessary to permit recreational use within the public access walkway, as such use was not specifically evaluated in the existing Method 3 risk characterization. Any necessary alterations to the AUL language pertaining to these changes in use may be made in conjunction with correcting the error identified above. This would eliminate any need to file an Amendment of Notice of Activity and Use Limitation using Form 1084B,pertaining to changes in use. Salem,RTN 3-10900 3 To correct this error, two Amendment and Ratification of Notices of Activity and Use Limitation must be implemented within 180 days of the date of this Notice,using the enclosed form and instructions. One Amendment and Ratification must be implemented by Jefferson at Salem, LP, as the current owner of the property. Another Amendment and Ratification must be implemented by Mass Highway,pertaining to the portion of the property subject to a taking by eminent domain. Since the error identified pertains to the language of the AUL, no metes and bounds descriptions need to be attached to the Amendment and Ratifications. The Property subject to the Original AUL and affected by this Amendment is hereinafter referred to as"the II AUL Area."The AUL Area as referred to herein excludes the property now owned by the Massachusetts S a Highway Department as a result of the Order of Taking. The AUL describes activities and uses that are permitted within the AUL Area, and defines obligations and conditions that must be maintained within the Q AUL Area. The AUL also describes uses and activities which, if carred out within the AUL Area, could result in Significant Risk to health, safety, public welfare or the environment due to potential exposure to residual contamination; and WHEREAS,the following Amendments to the Original AUL are necessary to ensure that a condition of No Significant Risk is maintained at the Disposal Site. NOW,THEREFORE,Owner hereby amends the Original AUL as follows: AUL Area The AUL Area is bounded and described in Exhibit A, attached hereto and made a part hereof. Exhibit A replaces and supercedes any descriptions of the AUL Area contained or referenced in the Original AUL for purposes of determining the activities and uses permitted on, the obligations of Owner regarding, and the conditions to be maintained on, the Property pursuant to the AUL. The AUL Area is shown on a survey plan recorded in the Essex County (Southern District) Registry of Deeds as Instrument No. 1553 of March 3, 2003 ("the Recorded Plan"), a copy of which is attached hereto as Exhibit A-1 and incorporated herein by reference. Said Recorded Plan replaces and supercedes any plan of the AUL Area contained or referenced in the Original AUL for purposes of determining the activities and uses permitted on, the obligations of Owner regarding, and the conditions to be maintained on,the Property pursuant to the AUL. AUL Opinion The basis of the Original AUL, as amended herein, is an Activity and Use Limitation Opinion ("AUL Opinion"),prepared by a Licensed Site Professional and attached hereto as Exhibit B. Said AUL Opinion replaces and supercedes any AUL Opinion contained or referenced in the Original AUL. Site Activities and Uses The following descriptions of Permitted Activities and Uses,Activities and Uses Inconsistent with the AUL Opinion,and Obligations and Conditions replace and supercede those contained in the Original AUL. G 1. Permitted Activities and Uses. A condition of No Significant Risk to health, safety,public welfare or the environment exists for any foreseeable period of time so long as any of the following activities and uses occur within the AUL Area: (i.) Any activities and uses consistent with the use of the property for commercial, industrial, hotel, office, or multi-family residential apartment and rental townhouse (which does not include duplexes) purposes, including but not limited to recreational use of public walkways and landscaped areas for walking, bicycling, strolling, picnicking, and sitting, are permitted by this AUL; provided that contaminated soil in AUL Sub-Area 1, as depicted on the Recorded Plan'("AUL Sub-Area 1"), at depths of 8 ft. and greater below currently existing surface grades, remain inaccessible; and contaminated soil in AUL Sub-Area 2, as depicted on the Recorded Plan ("AUL Sub-Area 2"), at depths of 10 ft.and greater below currently existing surface grades,remain inaccessible; (ii.) Construction of enclosed,inhabited structures within AUL Sub-Area 1 and AUL Sub-Area 2,so long as a passive sub-slab venting system is installed under the supervision of a Licensed Site Professional and an evaluation of the indoor air pathway is completed by an LSP following installation to ensure that such system is effective; (iii.) Subsurface activities and/or construction,including but not limited to excavation associated with future construction of buildings and other improvements to support permitted uses on the property which may disturb contaminated soils currently located below currently existing surface grades, provided that,except for excavation necessary for emergency utility repairs or response to fire or flood,such work is conducted in accordance with a Soil Management Plan developed in accordance with Obligation l(b); (iv.)Landscaping and grounds keeping activities,including but not limited to planting of trees and shrubs,installation of irrigation systems,installation of lawns,grassy areas,signs and fence posts, . maintenance of landscaping such as annual planting of plants and plant bulbs and cutting and raking grassy areas, and maintenance and resurfacing of parking lots,sidewalks,and driveways; (v.) Future subsurface utility construction and maintenance in AUL Sub-Area I and AUL Sub-Area 2 is permitted,provided that,except for emergency utility repairs,it not be undertaken without the prior development and implementation of a Health and Safety Plan in accordance with the obligations set forth below; (vi.) Activities and uses which are not prohibited by this Notice of AUL; and, (vii.) Such other activities or uses which,in the Opinion of an LSP,shall present no greater risk of harm to health,safety,public welfare or the environment than the activities set forth in this paragraph. 2. Activities and Uses Inconsistent with the AUL Opinion. The following activities and uses, if implemented within the AUL Area, may result in a Significant Risk of harm to health, safety, public welfare or the environment: (i.) Use of the property as a setting for single-family or duplex residences, school, kindergarten, child day care center,or playground; (ii.)Excavation which may result in direct contact with, disturbance,or relocation of contaminated soils located at 8 ft.and greater below currently existing surface grades in AUL Sub-Area I and at 10 ft. and greater below currently existing surface grades in AUL Sub-Area 2 is prohibited(except for excavation necessary for emergency utility repairs or response to a fire or flood),without the prior development and implementation of a Health and Safety Plan and a Soil Management Plan conducted in accordance with Obligations of this Notice of AUL; _ (iii.) Except for emergency excavation as described in(ii.)above,relocation of the contaminated soils from AUL Sub-Area 1 and AUL Sub-Area 2 to a shallower depth within the designated AUL Sub-- Area is also prohibited unless an LSP Opinion is rendered which attests that a condition of No Significant Risk is maintained,consistent with the provisions of 310 CMR 40.000; (iv.) Any subsurface activity or excavation which may result in direct contact with,disturbance,or relocation of site soils(outside of or above AUL Sub-Area 1 and AUL Sub-Area 2)which is not conducted in accordance with Obligations of this Notice of AUL; (v.) Construction of any enclosed,inhabited structures in AUL Sub-Area 1 and AUL Sub-Area 2, without the installation under supervision of a Licensed Site Professional of a passive sub-slab venting system and evaluation by an LSP of the indoor air pathway after such installation to protect from intrusion of vapors from residual subsurface contamination in soil or groundwater into the structure,is prohibited; - (vi.)Installation of groundwater wells on the property for any purpose other than testing; and, (vii.)Use of on-site soils for cultivation of fruits and vegetables destined for human consumption. 3. Obligations and Conditions. The following obligations and/or conditions must be maintained within the AUL Area in order to maintain a condition of No Significant Risk: (1) Prior to the performance of any intrusive activities within the AUL Sub-Areas,including,but not limited to,excavation to depths of greater than 8 ft.below currently existing surface grades in AUL Sub-Area 1 and greater than 10 ft.below currently existing surface grades in AUL Sub-Area 2 (except for excavation necessary for emergency utility repairs or response to a fire of flood), a written Health and Safety Plan and a Soil Management Plan must be developed and implemented in accordance with the following guidelines: (a)The Health and Safety Planmust be prepared by a Certified Industrial Hygienist or other qualified professional familiar with worker health and safety procedures and requirements.The level of personal protection and engineering controls,dust mitigation procedures,and perimeter monitoring necessary to prevent worker receptor exposures to contaminated soil located at depths of 8 ft. and greater below current site grading in AUL Sub-Area 1 and 10 ft. and greater below current site grading in AUL Sub-Area 2,must be specified.In addition,the level of personal protection required to prevent utility worker exposures to groundwater in AUL Sub-Area 1 must also be specified. The Health and Safety Plan must also detail the type of protective clothing(i.e.,gloves,Tyvek clothing,etc.),respiratory protection,environmental monitoring,and mechanical equipment necessary to prevent exposures to VOCs and petroleum products via inhalation, ingestion and/or direct dermal contact. Workers must be informed of the requirements of the Health and Safety Plan and the plan must be available on-site throughout the course of the project. (b)The Soil Management Plan must be prepared by a1icensed Site Professional and must describe soil excavation,handling,storage,on-site reuse, transport,and disposal procedures. Soils excavated from depths below surface grades of 8 ft. and greater in AUL Sub-Area I and 10 ft. and greater in AUL Sub-Area 2,must either be reused within the designated AUL Sub-Area at the same depths or greater below final grades,or must be transported off-site for appropriate treatment and disposal.The Soil Management Plan must also include a description of the engineering control and air monitoring procedures necessary at the site to ensure that receptors in the vicinity of the site are not impacted by VOCs,fugitive dust,particulates,or exposures to contaminated soil via inhalation,dermal contact and/or ingestion. (2) Maintenance of a passive sub-slab venting system for buildings constructed overall or portions of AUL Sub-Area 1 and AUL Sub-Area 2 to protect building occupants from residual subsurface contaminants which may volatilize,is required by this AUL. (3) Except for emergency excavation as described in(1)above,contaminated soil must remain,at depths of 8 ft. and greater below currently existing surface grades in AUL Sub-Area 1 and at depths of 10 ft. and greater in AUL Sub-Area 2,and may not be relocated to more accessible locations,unless such activity is first appropriately evaluated by an LSP who renders an Opinion which attests that a condition of No Significant Risk is maintained,consistent with the provisions of the MCP. (4) Prior to the performance of any major intrusive activities across the entire property outside of or above that restricted herein for AUL Sub-Area 1 and AUL Sub-Area 2,including but not limited to, earthwork activities which result in the excavation and/or relocation of soils on or off the property,a written Soil Management Plan must be developed to ensure that good soil management practices are adhered to,pursuant to 310 CMR 40.0030. For any excavations or invasive activities on the property,it is recommended that an excavation management plan be prepared which includes provisions for odors and guidance for the monitoring,control,and management of volatile organic compounds and odors that may be released during such activities.At a minimum,the development and implementation of the, excavation management plan should be coordinated with the City of Salem Department of Public Works and the City of Salem Fire Department. Except as expressly amended herein,the Original AUL is hereby ratified and confirmed. As of the date of this Amendment and Ratification of Notice of Activity and Use Limitation Opinion, the property is zoned Industrial, and is eligible for treatment as a Planned Unit Development permitting multi-family residential dwellings among other uses. The property is currently improved with a residential apartment complex. SITE HISTORY The property historically has been occupied by garages, service stations, oil companies, a machine company, a welding company, a state military garage, and a toy and board game manufacturer from the early 1900s to approximately 1996. The buildings on the property were demolished in the fall of 1996. In the spring of 2001, re-development of the site as a residential apartment complex was commenced. The site is comprised of historic fill material within the property boundaries and four separately addressed release areas. Phase II - Comprehensive Site Assessment activities conducted during the late summer and fall of 1997 by Haley and Aldrich determined the nature and extent of impacted soil and groundwater identified as Release Tracking Numbers(RTN) 3-10900 and RTN 3-14411. RTN 3-10900 was attributed to releases to and in the vicinity of a previously existing Catch Basin and is identified as AUL Sub Area 1. RTN 3-14411 was attributed to releases beneath a previously existing building(Building#10) associated with petroleum underground storage tanks (identified as AUL Sub Area 2). Supplemental studies conducted in the summer and fall of 1998 by Haley and Aldrich determined the nature and extent of contamination of the releases initially reported to DEP under RTN 3-17564. RTN 3-17564 was attributed to poor quality near-surface fill materials encountered beneath previously existing Building#8 (identified as AUL Sub-Area 3) and a release from a former City of Salem Department of Public Works (DPW) gasoline underground storage tank (identified as AUL Sub-Area 4). In addition, poor quality fill materials encountered beneath a portion of the former Building#10 and reported to DEP under RTN 3-17564 are herein considered part of AUL Sub-Area 2. The Sub-Areas 1, 2, 3, and 4 disposal sites were the result of past, discontinued activities and releases. All the reported releases were joined together under the designation RTN 3-10900 for the .purposes of investigation and remediation under the MCP. RTN 3-10900 was designated as a Tier I1 disposal site. A Class A-3 Response Action Outcome (RAO) Statement and Release Abatement Measure (RAM) Completion Report for the referenced site was prepared by Haley and Aldrich, Inc. of Boston, Massachusetts in September 1999. The RAO finding of"No Significant Risk"was based on an Activity and Use Limitation (AUL) that was recorded in the Essex County(Southern District) Registry of Deeds on September 22, 1999 as Instrument 247, Book 15948, Page 147, and filed with the Essex County Southern Registry District of the Land Court as Registered Document No. 362215. The RAO report was filed with the Massachusetts Department of Environmental Protection (MADEP)Northeast Regional Office. The purpose of this LSP Opinion is to address language vagueness noted by the MADEP in its September 9, 2002 RAO Screening Review AUL Summary Compliance Review letter and the further remediation and re-development of the property as a residential apartment complex with public access walkways. REASON FOR AMENDMENT AND RATIFICATION OF ACTIVITY AND USE LIMITATION An amendment and ratification to the initial AUL is necessary to correct vagueness in the language and to permit a change in the permitted uses of the site. A review of the 1999 Haley and Aldrich Method 3 Risk Characterization was conducted in August 2000, and subsequently risk analysis for the analytical data generated as part of the remediation of AUL Sub-Area 4 was conducted in August 2001, to evaluate current and future site use of the property for commercial, industrial, hotel, office, or multi-family residential apartment and rental townhouse(not including duplexes), including but not limited to recreational use of public walkways and landscaped areas for walking, bicycling, strolling, picnicking, and sitting. Remediation of impacted soil located in AUL Sub-Area 4 was completed as part of a Post-RAO Release Abatement Measure(RAM) in August 2001, eliminating the special conditions set forth in the initial AUL for Sub-Area 4. Based on the Method 3 Risk Characterization which was completed in order to characterize risks posed by the residual levels of volatile organic compounds (VOCs) and petroleum products in soil and groundwater at the property,the proposed changes in site use are allowed as long as the conditions set forth are followed. Soils containing residual VOCs and/or petroleum products are present at locations depicted as Sub-Areas on a survey plan recorded in the Essex County (Southern District) Registry of Deeds as Instrument No. 1553 of March 3, 2003 (the Recorded Plan). These contaminants are found at depths of approximately 8-12 ft. below ground surface in Sub-Area 1 and at approximately 10-12 ft. below ground surface in Sub-Area 2. Areas 3 and 4 do not contain residual VOCs and/or petroleum products, because near-surface contamination was removed during Release Abatement Measure (RAM) activities conducted in December 1998 and August 2001. 2 The Risk Characterization concluded that "No Significant Risk" to human health exists for current conditions. The Risk Characterization further concluded that "No Significant Risk" to human health exists for future foreseeable site use by a landscape worker, construction worker, recreational user, or trespasser, and that property conditions present a condition of"No Significant Risk" of harm to public welfare, safety, or the environment. However, due to the presence of residual VOCs and petroleum hydrocarbons in soil and groundwater in localized areas of the property, a level of"No Significant Risk" has not been achieved for foreseeable site uses involving potential indoor air exposures to a future apartment resident or building occupant without installation of a passive sub-slab venting system, or potential future utility worker exposures to groundwater. PERMITTED SITE ACTIVITIES AND USES This AUL Opinion provides that a condition of No Significant Risk to health, safety, public welfare or the environment exists for any foreseeable period of time(pursuant to 310 CMR 40.000) so long as any of the following activities and uses occur on the property. (i.) Any activities and uses consistent with the use of the property for commercial, industrial, hotel, office, or multi-family residential apartment and rental townhouse (which does not include duplexes) purposes, including but not limited to recreational use of public walkways and landscaped areas for walking, bicycling, strolling, picnicking, and sitting, are permitted by this AUL; provided that contaminated soil in AUL Sub-Area 1, as depicted on the Recorded Plan, at depths of 8 ft. and greater below currently existing surface grades, remain inaccessible; and contaminated soil in AUL Sub-Area 2, as depicted on the Recorded Plan, at depths of 10 ft. and greater below currently existing surface grades, remain inaccessible; (ii.) Construction of enclosed, inhabited structures within AUL Sub-Area 1 and AUL Sub- Area 2, so long as a passive sub-slab venting system is installed under the supervision of a Licensed Site Professional and an evaluation of the indoor air pathway is completed by an LSP following installation to ensure that such system is effective; (iii.) Subsurface activities and/or construction, including but not limited to excavation associated with future construction of buildings and other improvements to support permitted uses on the property which may disturb contaminated soils currently located below currently existing surface grades, provided that, except for excavation necessary for emergency utility line repairs or response to a fire or flood, such work is conducted in accordance with a Soil Management Plan developed in accordance with Obligation 1(b); (iv.) Landscaping and grounds keeping activities, including but not limited to planting of trees and shrubs, installation of irrigation systems, installation of lawns, grassy,areas, signs and fence posts, maintenance of landscaping such as annual planting ofplants and plant bulbs and cutting and raking grassy areas, and maintenance and resurfacing of parking lots, sidewalks, and driveways; 3 (v.) Future subsurface utility construction and maintenance in AUL Sub-Area 1 and AUL Sub-Area 2 is permitted, provided that, except for emergency utility repairs, it,not be undertaken without the prior development and implementation of a Health and.Safety Plan in accordance with the obligations set forth below; (vi.) Activities and uses which are not prohibited by this Notice of AUL; and, (vii.) Such other activities or uses which, in the Opinion of an LSP, shall present no greater risk of harm to health, safety, public welfare or the environment than the activities set forth in this paragraph. PROHIBITED OR RESTRICTED SITE ACTIVITIES AND USES Activities and uses which are inconsistent with the objectives of this Notice of Amendment and Ratification of an Activity and Use Limitation, and which, if implemented at the Property may result in a significant risk of harm to health, safety, public welfare or environment or in a substantial hazard, are as follows: (i.) Use of the property as a setting for single-family or duplex residences, school, kindergarten, child day care center, or playground; (ii.) Excavation which may result in direct contact with, disturbance, or relocation of contaminated soils located at 8 ft. and greater below currently existing surface grades in AUL Sub-Area I and at 10 ft. and greater below currently existing surface grades in AUL Sub-Area 2 is prohibited (except for excavation necessary for emergency utility repairs or response to a fire or flood)without the prior development and implementation of a Health and Safety Plan and a Soil Management Plan conducted in accordance with Obligations of this Notice of AUL; (iii.) Except for emergency excavation as described in (ii.) above, relocation of the contaminated soils from AUL Sub-Area 1 and AUL Sub-Area 2 to a shallower depth within the designated AUL Sub-Area is also prohibited unless an LSP Opinion is rendered which attests that a condition of No Significant Pisk is maintained, consistent with the provisions of 310 CMR 40.000; (iv.) Any subsurface activity or excavation which may result in direct contact with, disturbance, or relocation of site soils (outside of or above AUL Sub-Area 1 and AUL Sub-Area 2) which is not conducted in accordance with Obligations of this Notice of AUL; (v.) Construction of any enclosed, inhabited structures in AUL Sub-Area 1 and AUL Sub-Area 2, without the installation under the supervision of a Licensed Site Professional of a passive sub-slab venting system and evaluation by an LSP of the indoor air pathway after such installation to protect from intrusion of vapors from residual subsurface contamination in soil or groundwater into the structure, is prohibited; 4 (vi.) Installation of groundwater wells on the property for any purpose other than testing; and (vii.) Use of on-site soils for cultivation of fruits and vegetables destined for human consumption. OBLIGATIONS AND CONDITIONS SET FORTH IN THE AUL OPINION (1) Prior to the performance of any intrusive activities within the AUL Sub-Areas, including, but not limited to, excavation to depths of greater than 8 ft. below currently existing surface grades in AUL Sub-Area 1 and greater than 10 ft. below currently existing surface grades in AUL Sub-Area 2, a written Health and Safety Plan and a Soil Management Plan must be developed and implemented in accordance with the following guidelines: (a)The Health and Safety Plan must be prepared by a Certified Industrial Hygienist or other qualified professional familiar with worker health and safety procedures and requirements. The level of personal protection and engineering controls, dust mitigation procedures, and perimeter monitoring necessary to prevent worker receptor exposures to contaminated soil located at depths of 8 ft. and greater below current site grading in AUL Sub-Area 1 and 10 ft. and greater below current site grading in AUL Sub-Area 2 (except for excavation necessary for emergency utility repairs or response to a fire or flood),must be specified. In addition, the level of personal protection required to prevent utility worker exposures to groundwater in AUL Sub-Area 1 must also be specified. The Health and Safety Plan must also detail the type of protective clothing (i.e., gloves, Tyvek clothing, etc.), respiratory protection, environmental monitoring„and mechanical equipment necessary to prevent exposures to VOCs and petroleum products via inhalation, ingestion and/or direct dermal contact. Workers must be informed of the requirements of the Health and Safety Plan and the plan must be available on-site throughout the course of the project. (b)The Soil Management Plan must be prepared by a Licensed Site Professional and must describe soil excavation,handling, storage, on-site reuse, transport, and disposal procedures. Soils excavated from depths below surface grades of 8 ft. and greater in AUL Sub-Area 1 and 10 ft. and greater in AUL Sub-Area 2, must either be reused within the designated AUL Sub-Area at the same depths or greater below final grades, or must be transported off-site for appropriate treatment and disposal. The Soil Management Plan must also include a description of the engineering control and air monitoring procedures necessary at the site to ensure that receptors in the vicinity of the site are not impacted by VOCs, fugitive dust, particulates, or exposures to contaminated soil via inhalation, dermal contact and/or ingestion. 5 (2) Maintenance of a passive sub-slab venting system for buildings constructed over all:or portions of AUL Sub-Area I and AUL Sub-Area 2 to protect building occupants frm residual subsurface contaminants which may volatilize, is required by this AUL. (3) Except for emergency excavation as described in (1) above, contaminated soil must remain at depths of 8 ft. and greater below currently existing surface grades in AUL Sub-Area 1 and at depths of 10 ft. and greater in AUL Sub-Area 2, and may not be relocated to more accessible locations,unless such activity is first appropriately evaluated by an LSP who renders an Opinion which attests that a condition of No Significant Risk is maintained, consistent with the provisions of the MCP. (4) Prior to the performance of any major intrusive activities across the entire property outside of or above that restricted herein for AUL Sub-Area 1 and AUL Sub-Area 2, including but not limited to, earthwork activities which result in the excavation and/or relocation of soils on or off the property, a written Soil Management Plan must be developed to ensure that good soil management practices are adhered to, pursuant to 310 CMR 40.0030. For any excavations or invasive activities on the property, it is recommended that an excavation management plan be prepared which includes provisions for odors and guidance for the monitoring, control, and management of volatile organic compounds and odors that may be released during such activities. At a minimum, the development and implementation of the excavation management plan should be coordinated with the!City of Salem Department of Public Works and the City of Salem Fire Department. LSP OPINION In the opinion of James B. O'Brien, LSP, a condition of No Significant Risk to health, safety, public welfare or the environment exists at the site for any foreseeable period of time, as defined at 310 CMR 40.1005, provided that the above requirements are met and maintained.
