Dear Mr. Harris:
Please be advised that I have examined various documentation
relative to the use of 107 Boston Street as a two family
residential plus commercial building and 107R Boston Street as a
single family dwelling. I have examined a letter from the City
Assessor's Office, various census documentation and a narrative
from Attorney Theodore C. Regnante.
Based on my review of the documentation, it is my opinion
that 107 Boston Street was a lawful two family residence plus
commercial use and 107R Boston Street was a lawful single family
dwelling prior to the adoption of the City Zoning Ordinance in
1965. It is my opinion that these buildings should be afforded
the protection of Section VIII (E) of the aforementioned Ordinance
relative to non-conforming uses and the current use of these
buildings is permissible.

Dear Mr. Harris:
Please be advised that I represent Jadwin Properties, Inc. , a
Massachusetts corporation duly organized by law and having a usual place of
business at 28 State Street, Boston, Massachusetts (hereinafter "Jadwin") .
Jadwin is the owner of a property located at 107 and 107R Boston Street,
Salem, Massachusetts; title having been acquired as a result of a
Foreclosure Deed dated July 24, 1991 and recorded with the Essex South
District Registry of Deeds at Book 10913, Page 377. (See copy of Deed
attached hereto as Exhibit "A") .
Jadwin is a Massachusetts corporation wholly owned and controlled by
the Federal Deposit Insurance Corporation, as Receiver of the assets of the
former Bank of New England, which bank was the mortgage holder of the above
premises. RECOLL Management Corporation is the Attorney-in-Fact for the
Federal Deposit Insurance Corporation and is under contract with the
Federal Deposit Insurance Corporation to manage the assets of the former
Bank of New England. It is the intent of Jadwin to market and sell the
subject property as soon as possible and marketing efforts are presently
ongoing.
There has been some question raised relative to current zoning status
of the property, and this letter is written to you to request a review by
the City Solicitor's office of the issues raised hereunder.

The subject property is located in a B-2 district and residential uses
in a B-2 district are prohibited under Article V, Section 5-2(e) (1) . At
the time of foreclosure of the property in July of 1991, the premises at
107 and 107R Boston Street were used as follows:
The first floor of the premises located at 107 Boston Street was used
for business purposes; the most current being a retail lamp store and the
second and third floors of the property were dedicated for residential use
as two (2) separate apartments. The premises at 107R Boston Street were
used as a single family residence. Both properties were vacated at the
time of foreclosure on or about July 24, 1991 .
It is the opinion of the undersigned that the residential uses at 107
and 107R Boston Street are valid, non-conforming uses of said properties
and that such residential uses may continue notwithstanding the provisions
of Article V, Section 5-2(e) (1) . Our conclusion is based upon the
following facts:
1. The Assessor's records of the City of Salem indicate that the
property at 107 Boston Street (Assessor's Map, Parcel 15-209) has been
listed in their office as a single family house in the rear and a
two-family house plus commercial in the front since 1973. There were no
records available prior to 1973. See letter attached hereto and marked
Exhibit "B".
2. We examined the City Directory for the year 1965 and such
directory indicated that Walter P. and Catherine Curran occupied one unit
at 107 Boston Street and Cleo J. Cormier, Ivette M. Cormier and Carol
Cormier occupied a second unit at 107 Boston Street. The 1965 City
Directory also indicated that the property at 107R Boston Street was
occupied by John M. and Florence J. Konopnicki . A copy of those records
are attached hereto as Exhibit "C".
The Zoning Ordinance was adopted on August 27, 1965 and, therefore, the
residential use of such properties were non-conforming at the time of the
adoption of the Zoning By-Law and continued to be so through the date of
foreclosure in July of 1991. Section 8-4(6) provides that "any
non-conforming use of land or structure and any non-conforming structures
shall lose whatever rights might otherwise exist to its continuation under
this section if said use or structure shall be abandoned or not used for a
period of two years or more". The subject property has been utilized for
such residential purposes continuously through July 24, 1991 and therefore,
there has been no abandonment of such residential use. It is, therefore,

the opinion of the undersigned that the use of this property may continue
for residential purposes on the second and third floor of the premises at
107 Boston Street, Salem, MA and, similarly, for the single family
residence at 107R Boston Street, Salem, MA. The use of the first floor for
business use is a permitted use in the B-2 district and such use is not an
issue.
Would you please have this letter reviewed by the Legal Department and
advise the undersigned of whether the Legal Department agrees with this
opinion. I would be happy to meet with you or a representative of the
Legal Department if further clarification or information is necessary.

Legal Remedies for Tenants of
Residential Housing
The following Is a brief summary of some of the legal remedies tenants may use In order to get housing code violations
corrected:
I. Rent Withholding(Massachusetts General Laws,Chapter 239,section 8A):If Code Violations Are Not Being Corrected you
may be entitled to hold back your rent payments.You can do this without being evicted if:
A. You can prove that your dwelling unit or common areas contain code violations which are serious enough to endanger
or materially impair your health or safety and that your landlord knew about the violations before you were behind in
yourrent
B. You did not cause the violations and they can be repaired while you continue to live in the building.
C. You are prepared to pay any portion of the rent into court if a judge orders you to pay it. (For this,it is best to put the
rent money aside in a safe place.)
2. Repair and Deduct.(Massachusetts General Laws,.Chapter.111,section,127L)>The lawsometimes allows.you to use you[cMt„
money to make the repairs yourself.If your local code enforcement agency certifies that there are code violations which
endanger or materially impair your health,safety,or well-being,and your landlord has received written notice of the violations,
you may be able to use this remedy.If the owner fails to begin necessary repairs(or to enter into a written contract to have them
made)within five days after notice or to complete repairs within 14 days after notice,you can use up to four months'rent in any
year to make the repairs.
3. Retaliatory Rent Increases or Evictions Prohibited(Massachusetts General Laws,Chapter 186, section 18,and Chapter 239,
section 2A): The owner may not increase your rent or evict you in retaliation for making a complaint to your local code
enforcement agency about code violations.If the owner raises your rent to tries to evict within six months after you have made
the complaint, he or she.will:have.to-show.a good reason for the increase or eviction which is unrelated to your complaint. You
may be able to sue the landlord for damages of he or she tries this.
4. Rent Receivership(Massachusetts General Laws,Chapter 11, section 127 C-H):The occupants and/or the Board of Health may
petition the District or Superior Court to allow rent to be paid into court rather than to the owner. The court may then appoint a
"receiver" who may spend as much of the rent money as is needed to correct the violation.The receiver is not subject to a
spending limitation of four months'rent.
5. Breach of Warranty of Habitability: You may be entitled to sue your landlord to have all or some of your rent returned if your
dwelling unit does not meet minimum standards of habitability.
6. unfair and Deceptive Practices(Massachusetts General Laws,Chapter 93A): Renting an apartment with code violations is a
violation of the consumer protection act and regulations, for which you may sue an owner.

An inspection of the above referenced property was conducted and the
following violations were noted:
The boiler is not a direct vent type boiler and it must be replaced
with a direct type boiler with air forced combustion supplied from the
outside atmosphere. The same shall apply to the water heater.
According to Massachusetts State Law Section 248CMR no boiler or water
heater may be installed in a bathroom or bedroom or adjacent to these
rooms.
Please contact my office as soon as these violations have been
rectified. I thank you for your anticipated cooperation and prompt
