A regular meeting of the Salem Affordable Housing Trust Fund was held on Monday, January 12, 2009
at 8:30 a.m. in Room 313 at 120 Washington Street.
Members present were Lynn Goonin Duncan, Lucy Corchado, Mary Dennesen, Mary Lauby, Andrew
Meegan, Jennifer Raitt, and Leonette Strout. Also present was Jennifer Kolodziej, City of Salem
Housing Coordinator.
Members absent were Mayor Driscoll, Councillor Jean Pelletier, Aaron Allen, Kathleen Burke, Chad
Colarusso, and Councillor Matthew A. Veno.
Approval of Minutes
The minutes of the Salem Affordable Housing Trust Fund Board meeting held on November 3, 2008
were presented for approval. Mary Lauby moved to approve the draft minutes with one amendment (to
add the word "education"to line 8 of page 2), seconded by Lucy Corchado and approved (7-0).
Affordable Housing Summit
The Affordable Housing Summit is scheduled for February 3, 2009. Jenny Raitt gave a brief report from
the Affordable Housing Summit Subcommittee. Jenny reviewed a thumbnail sketch of the Board's
previous meeting regarding the decision to focus on education and advocacy of affordable housing. She
reported that the Affordable Housing Summit's Subcommittee has met with the Mayor, who has agreed
to be a panelist at the Summit. Also, the subcommittee has lined-up three other speakers: Sam Cleaves,
Regional Planner from Metropolitan Area Planning Council who will speak to regional housing issues
and responses; Aaron Gornstein, Executive Director of Citizen's Housing and Planning Association,
who will discuss the state and federal housing policy issues and responses to the housing crisis; and
David Kres, President of the North Shore Association of REALTORSO, who will talk about the local
real estate picture in our area. The members reviewed the final agenda. Jenny noted that the agenda for
the Summit came out of the previous monthly board meeting and the meeting with the Mayor. The
agenda and invitation to attend the Summit will be sent via email to City Councillors, Planning Board
members, Redevelopment Authority, Housing Authority, Chamber of Commerce, local lenders, non-
profits, social service agencies, real estate agents, and housing developers as well as Salem Access
Television, the Salem News and Salem Gazette. Jennifer Kolodziej will circulate to members a
distribution list via email so that the trustees may make additions to the list. Mary Lauby moved to
approve the Summit agenda, seconded by Lucy Corchado and approved (7-0).
Audit and Community Reinvestment Act
At the board meeting in November, Lynn Goonin Duncan asked Jennifer Kolodziej to look in whether
or not the audit of the Trust Fund was covered under the city's general audit or if the Board would need
to hire its own auditor for the annual audit of the fund. Jennifer reported to the Board that the Trust
Fund's audit is covered under the city's general audit. The city's 2008 audit is not yet complete, but it is
expected to be finished within the next few weeks.
Also in November, Mary Lauby and Andrew Meegan asked about the Community Reinvestment Act
(CRA) and what projects the local banks are funding in order to meet their CRA requirements to find out
if this could be a possible source of funds for the Trust. Jennifer presented research on what Eastern
Bank was doing to meet its CRA requirements. The Eastern Bank Charitable Foundation 2007 Annual
Report showed that 6% of its donations go toward affordable housing and that in 2007 Citizens for
Adequate Housing, Inc. and Salem Harbor Community Development Corporation received small

donations of approximately$1,000. In addition to small community donations, Eastern Bank gives
grants between $10,000 and $50,000. Submission deadlines are March I"and September I"of each
year. The foundation does not make multi-year commitments and the applicant must be a non-profit
organization. Jennifer explained that in order to receive grant funds, a specific project needs to be
identified and the project needs to meet the objectives of the fund's focus. Mary Lauby requested that
Jennifer gather more of this type of information on Beverly Cooperative Bank's foundation.
Meetinp_ Schedule
The Board members discussed a change in the meeting date of the Board. Mary Dennesen voiced that
she would like to meet at a later start date. Members reached a consensus that meeting at 9:00 am on
Fridays instead of 8:30 am on Mondays would be more convenient for everyone. Mary Dennesen
motioned to change the date and time of the monthly meetings to the second Friday of every month at
9:00 am, seconded by Andrew Meegan and approved (7-0). Jennifer Kolodziej will confirm with the
absent members that they do not have conflicts with this new meeting day and time.

There being no further business a motion was made by Leonette Strout to adjourn the meeting, seconded
by Jenny Raitt and approved(7-0).

Planning for Future Meetin s
Aaron, Jenny, and Jennifer developed the following questions for developers that attend future Trust
meetings:
• What projects are you currently working on?
• Have you worked with an affordable housing trust fund before? If so,please explain.
• If the Affordable Housing Trust Fund had more money, how would you want to see the funds
allocated?
• Other than affordable housing production, what other activities would be most helpful to you?
For example, would you like to see a focus on more advocating for rental vouchers, preservation
of affordable units, homelessness, tenant rights, homeownership, workforce housing,
foreclosures etc.?
They also discussed recent issues with the Massachusetts rental voucher program. Aaron volunteered to
review the information that Jennifer will send him on the issue. The Trust could consider drafting a
letter to the state Senate to advocate for more rental vouchers across the state.

A Planning Subcommittee meeting of the Salem Affordable Housing Trust Fund was held on Friday,
July 10, 2009 at 9:00 a.m. in Room 313 at 120 Washington Street.

Planning for Future Meetings
September:
Jennifer Kolodziej and Jenny Raitt explained to the group the new Massachusetts Foreclosed Properties
Initiative managed by Citizens' Housing and Planning Association (CHAPA). CHAPA will serve as a
foreclosed properties clearinghouse by connecting banks that own foreclosed properties with approved
local organizations—called "qualified purchasers"-which will purchase the properties and upgrade
these homes for low- and moderate-income families. The goal is to get the properties back on the
market and re-occupied as affordable homes as soon as possible.
Jennifer Kolodziej informed the subcommittee that CHAPA has approved five organizations as qualified
purchasers of foreclosed properties in Salem: Beverly Affordable Housing Coalition, Citizens for
Adequate Housing, Harborlight, Salem Harbor Community Development Corporation, and the Planning
Office for Urban Affairs. Since there are multiple qualified organizations, the City will be responsible
for distributing the properties from CHAPA's database to one organization at a time and will need to
draft a protocol for this distribution. The subcommittee discussed inviting the qualified purchasers to
attend the Trust Fund's September meeting to discuss the type, size, and location of housing each
organization is interested in acquiring. Also, this will be an opportunity for the Trust to establish a
relationship with these organizations and to learn more about their goals and current projects. Jennifer
will invite representatives from each organization to the Trust's September meeting.
October:
For the October meeting, members explored two topics: distribution of funds and education. Jenny Raitt
thought that making small contributions of the Trust's funds to different community organizations for
affordable housing projects would further the Trust's goals and make the Trust more visible and active
in the community. The rest of the members agreed and decided that at the October meeting the board as
a whole will discuss and decide on its funding priorities, the maximum amount of assistance per award,
and other guidelines for how the funds will be distributed. Jennifer Kolodziej can circulate an example
application for funding assistance to the board via email before the meeting.
Also, the Trust Fund has been awarded a small grant from the Metropolitan Area Planning Council
(MAPC) for affordable housing education and outreach. The funds will be used to hire a consultant who
will update MAPC's home@last public awareness campaign materials and make them specific to Salem.
These materials will get the message out to the community about the benefits of affordable housing, why
it should be supported, and dispel any myths associated with affordable housing. Jennifer will send a
link to the home@last website to all the board members and will move forward with working with the
consultant. The board as a whole can review the materials at the October meeting as well as brainstorm
about future outreach using the updated home@last materials.

Salem's 5-Year Consolidated Plan process.
November:
The board will be updated on any possible Neighborhood Stabilization Program funds that are available.
December:
At the December meeting, the board will review any applications for funding that have been received.

Approval of Meeting Minutes
Leonette Strout motioned to approve the meeting minutes from January 12th, May 8th, and July 1 Otn
without amendment, seconded by Andrew 1VMeegan and approved (6-0).
Discussion with Non-Profit Affordable Housinp_Developers
Jenny Raitt explained that the purpose of today's meeting is to gain more information from non-profit
affordable housing developers in our area about their current work and plans concerning foreclosed
properties.
Jenny Raitt further explained to the group some background on the new Massachusetts Foreclosed

approved local organizations—called"qualified purchasers"- which will purchase the properties and
upgrade these homes for low- and moderate-income families. The goal is to get the properties back on
the market and re-occupied as affordable homes as soon as possible. CHAPA has approved five
organizations as qualified purchasers of foreclosed properties in Salem: Beverly Affordable Housing
Coalition, Citizens for Adequate Housing, Harborlight Community Partners, Salem Harbor Community
Development Corporation, and the Planning Office for Urban Affairs (POUA). Three of those
organizations were represented at the meeting today. Jenny later noted that POUA was no longer
interested in purchasing properties in Salem as part of this initiative.
Andrew DeFranza, Executive Director of Harborlight Community Partners, boiled down the process.
He explained that Salem, Lynn, and Peabody with subsets inside of each community were eligible for
the program. CHAPA has data on individual properties that become bank-owned. CHAPA would give
notice that these properties are for sale as a "first look" opportunity to the approved purchasers.
Conceptually,Neighborhood Stabilization Program (NSP) funds would assist with the purchase of these
properties.
Leonette Strout asked if outreach to homeowners or realtors fits into the process. Nancy Crowder,
Executive Director of Citizens for Adequate Housing, relayed that logistically the city notifies the four
organizations. The organizations do not act as mediaries to help homeowners purchase properties.

Nancy Crowder went back to further explain the CHAPA clearinghouse process. Lynn Goonin Duncan
noted that the city has been able to help several families to purchase foreclosed properties through the
city's first-time homebuyer downpayment assistance programs.
Also, Nancy Crowder stated that there are only a handful of banks that are involved in the program.
Andrew DeFranza commented that many banks do not care to be involved in the clearinghouse because
in this current market the houses will sell regardless.
Andrew Meegan added that he has seen many properties linger on the market especially those owned by
Deutsche Bank. Mike Whelan, Executive Director of Salem Harbor Community Development
Corporation, noted that 35 Palmer Street in the Salem Point neighborhood is a good example of this.
Andrew Meegan then asked how many properties each organization is looking to acquire. Andrew
DeFranza responded that Harborlight would take as many as they can handle if the NSP funding was
available to use for acquisition and rehabilitation of the properties. He expressed doubt that the program
will work if the qualified purchasers do not have access to NSP funds. Without NSP funding, the
organizations would be forced to front the funds by gaining a line of credit, then deal with title and
rehabilitation issues. Fronting the funds involves a lot of risk for these non-profits. Mike Whelan added
that Salem Harbor CDC is mainly interested in multi-family units and that most of the foreclosures in
Salem have been single-family homes. The rest of the guests echoed this interest in acquiring multi-
family units. Nancy Crowder said that the organizations would like to do this as a team effort instead of
competing against each other. Andrew DeFranza added that it is very unlikely that the few bank-owned
multi-family properties will be next to each other in order to create a larger project that they could
collaborate on that would really impact the community.
To summarize, Jenny Raitt said that the organizations are looking for multi-family affordable rental
units for low- and moderate-income families.
Andrew DeFranza talked about an example in Hamilton, Massachusetts in which Harborlight used its
own capital to acquire a former food pantry to convert it into four housing units plus one commercial
unit and a new food pantry. Community Preservation Act (CPA) money and local HOME funds were
used to leverage other funds for this project, which is the first affordable housing project in Hamilton.
He said that HOME funds were a major piece of making the project possible. Mike Whelan stressed
that early capital is critical in order to be able to make these types of projects work.
Lynn Goonin Duncan informed the group that the city does have local HOME funds, but not CPA funds
like other communities. Jenny Raitt noted that CPA was on the November ballot two years ago, but was
narrowly defeated. The Trust wrote a letter of support for CPA at the time.
Andrew DeFranza raised another issue—that of pre-purchase costs and paying for the required
appraisals of the properties. Jenny said that maybe this is a cost that the Trust Fund may be able to the
help with. Lynn asked if the organizations would consider a contribution of matching funds (have of the
costs paid for by the organizations and half by the Trust) for the appraisals or environmental reviews of
the properties as one way to support their work. Andrew DeFranza said that would help them to get
through the due diligence portion.
Jenny Raitt stated that at the next Trust Fund board meeting in October that the group will be discussing
criteria for disbursement of the Trust's funds. She explained that the board has been considering making
small amounts of money available to non-profits for their housing efforts. Once the criteria and
guidelines have been established, the board will forward these to the organizations that are present as
well as others.

Lynn Goonin Duncan began to explain the status of some of the housing projects in Salem. Jenny noted
that it would be helpful to have an update of the current housing projects for the October meeting so that
the Trust would know when to expect to receive more funds. Jennifer Kolodziej will put together an
update for the October meeting.
Lynn Goonin Duncan informed the group that the city is kicking off its Five Year Consolidated Plan
process and will be having conversations about community needs and housing needs through a series of
neighborhood meetings. City staff can update the organizations on these meetings. She went on to say
that it makes sense to invite the organizations that are present as well as others that provide rental
assistance and other housing services to the November Trust Fund board meeting when the consultant
for the Consolidated Plan will be present.

A meeting of the Salem Affordable Housing Trust Fund was held on Friday, October 9, 2009 at 9:00
a.m. in Room 313 at 120 Washington Street.
Members present were Aaron Allen, Kathleen Burke, Mary Dennesen, Jennifer Raitt, and Leonette
Strout. Also, Lynn Goonin Duncan, Director of the Department of Planning and Community
Development was present.
Members absent were Mayor Driscoll, Councillor Jean Pelletier, Councillor Matthew A. Veno, Chad
Colarusso, Lucy Corchado, Mary Lauby, and Andrew Meegan.
Approval of Meeting Minutes
There being no quorum, Kathleen Burke motioned to move this item aside and to proceed with the next
item, seconded by Leonette Strout, all agreed.
Update on homeC&Jast materials
Lynn Goonin Duncan explained that the City received a$2,000 grant from Citizens' Housing and
Planning Association (CHAPA)to produce affordable housing educational materials. Lynn said that
these materials can be posted electronically on the City's website as well. Also, she suggested that the
board may want to think about holding back a small amount of funds in case additional funding is
needed to cover the cost to produce the materials. Jenny Raitt stated that she has worked with other
communities on similar projects and the cost of materials has been approximately$1,500. Jenny
explained that she has volunteered her services for this effort and the she and Jennifer Kolodziej will be
working together to produce the materials by the December board meeting. Lynn expressed
appreciation to Jenny for volunteering her time and expertise.
_Update on 5-Year Consolidated Plan
Lynn Goonin Duncan explained to the group that the City is undertaking its Five-Year Consolidated
Plan process in which the City identifies the goals and objectives for the next five years. The types of
things that are usually funded through the City's Community Development Block Grant funds are first-
time homebuyer programs, housing rehabilitation, and social services to benefit low- and moderate-
income individuals and neighborhoods.
Lynn informed the group that the Planning Department has arranged for the Affordable Housing Trust
Fund board to host a focus group meeting at their next monthly meeting on November 13t1i. Members
will be provided with guidance booklets before the meeting. These booklets will be available to the
public after October 20a`. The purpose is to dialogue with the consultants hired to do the plan. It will be
a great opportunity to talk about housing needs in the community and also possible opportunity for more
visibility. Jenny will introduce the group and give a brief overview of efforts the Trust has undertaken.
Attendees can raise issues and not necessarily have the answers. One possible issue to bring up could be
needs around foreclosures. Others involved with affordable housing will be invited to attend the
meeting. Also, members can feel free to attend some of the other community focus group meetings,
such as those that are being held at the Senior Center or Salem Housing Authority or neighborhood
association meetings. The City will need comments from the group by November 20'h. The City will
work with the consultant to develop a plan based on the identified needs.

Guidelines for Distribution of Funds
The board reviewed draft guidelines that outlined funding priorities, eligible projects, and the
application process put together by Jennifer Kolodziej. The group explored the idea of accepting
applications on a rolling basis (first-come, first-serve). Aaron Allen raised the issue of the approval
process, whether to have a sub-committee vote on the proposals or the full board. Jenny Raitt suggested
that the board as a whole vote on any applications received and if in the future, the board was able to
fiend larger scale projects that a sub-committee could be formed to review the site, ask questions of the
developer etc. Jenny stated that if the group were to meet quarterly in the future, then it may not be able
to serve any immediate needs. Lynn Goonin Duncan stated that if the board was nearing the end of its
funds and it received two applications at same time and the Trust did not have enough money to fund
both, the board could prioritize based on severity of need.
Jenny Raitt announced that her term will be ending in December and that she will not be renewing her
service to the board. Board members expressed that it will be a great loss to the board. Other board
members' terms will be reviewed before the December meeting.
Lynn suggested that the board work on getting guidelines together and in place and then work on getting
full board participation. Jenny will help with revisions and then the board can revisit this in December.
As an aside, Lynn Goonin Duncan informed that group that Salem City Council will be discussing an
Inclusionary Zoning Ordinance for the City. Potentially more councillors would be interesting in
participating in the board with this effort being explored.

This presentation is part of the City of Salem's process to develop the Five Year Consolidated Plan
(2010-2014)and one year Action Plan for the period of July 1, 2010 through June 30,2011. These plans are
required by the U.S. Department of Housing and Urban Development(HUD) in order for the City to continue to
receive federal funding.
Homeowners,tenants, business representatives, social service organizations and civic groups are invited
to participate in the citizen participation process for the development of these plans. Citizen participation will
include a public hearing on Wednesday, October 281h at 6:00 p.m. in the third floor conference room at 120
Washington Street and will also include nine additional public presentations at various times and locations,
including the presentation with your organization. The purpose of these presentations is to give citizens the
opportunity to comment on the housing, community and economic development needs of Salem's low-to
moderate-income residents and on the types of activities that should be undertaken to meet those needs.
Enclosed please find copies of the presentation schedule. It is printed in English on one side and Spanish
on the other. Please feel free to post, to copy and distribute the flyer to individuals or to insert it into newsletters
or mailings. We ask your assistance in encouraging participation in this process, particularly for Salem residents
who reside in low-to moderate-income neighborhoods(see attached map). Following these presentations, the
draft Five-year Consolidated Plan and One-year Action Plan documents will be made available for public
comment at the end of February.
If you have any questions concerning the Consolidated Plan and Action Plan process, please do not

CITIZEN PARTICIPATION
Please participate in the development of the City of Salem's five-year Consolidated Plan and one-year Action Plan.
The five-year Consolidated Plan is a document which identifies and prioritizes the housing, community and
economic development needs of Salem's residents, and determines the goals and strategies to address those
needs over the next five years.The one-year Action Plan outlines the activities and estimated expenditure of federal
funding for the period of 7/1/10-6/30/11. Funding assists income-eligible households and low-to moderate-income
neighborhoods through a variety of programs, services and improvements.
To obtain broad community input the City of Salem is holding numerous public hearings, neighborhood meetings
and focus groups. You can participate in the Consolidated Planning process by attending one or more scheduled
meetings shown below and offering comments and recommendations or by providing written comment by 11/20/09.
Persons with special needs should contact the Department of Planning&Community Development for reasonable
accommodation and provide ample time for the request to be arranged.

Salem Affordable Housing Trust Fund
Minutes of Meeting
Friday, December 18, 2009
A meeting of the Salem Affordable Housing Trust Fund was held on Friday, December 18, 2009 at 9:00
a.m. in Room 313 at 120 Washington Street.
Members present were Aaron Allen, Kathleen Burke, Lucy Corchado, Mary Dennesen, Andrew
Meegan, Jennifer Raitt, and Leonette Strout. Also, Lynn Goomn Duncan, Director of the Department of
Planning and Community Development was present.
Members absent were Mayor Driscoll, Councillor Jean Pelletier, Councillor Matthew A. Veno, Chad
Colarusso and Mary Lauby.
Also present was Candace Waldron, Executive Director of Healing Abuse Working for Change
(HAWC).
Approval of Meeting Minutes
Jenny Raitt noted that the May 81h meeting minutes were voted on at a prior meeting of the Board, but
only six members (and not a majority of seven as required) approved those minutes. Lucy Corchado
motioned to approve the meeting minutes from January 12th, May 8th, and July 1 Oth, seconded by Aaron
Allen, all agreed (8-0).
Discussion on Distribution of Funds—HAWC Proposal
Candace Waldron, on behalf of HAWC,presented a proposal to the Board requesting $25,000 in funds
from the Trust. She explained to the Board members that specifically HAWC is requesting help for
ADA, fire, and safety upgrades to its newly acquired building in Salem which will be used as an
emergency shelter for abused families. The new shelter will be one of only six handicapped accessible
shelters in the Commonwealth. The building will have the capacity to house seven families at a time.
Each family will stay at the shelter for approximately 6-months in order to have enough time to take
advantage of the services that HAWC provides. The total project budget for all renovations to the
building is $948,000.
The Fund currently has a balance of$24,475.00. Lucy Corchado raised concerns about draining the
entire fund. Board members debated whether or not to allocate all of the Trust's remaining funds.
Jenny Raitt reminded the group that even if all of the funds are expended, the Trust still has other work
that it can do. Lynn Goonin Duncan informed the Board that $30,000 will be donated to the Trust upon
the sale of the Szetela Lane property. A Purchase and Sale Agreement has been executed and the
project is before the Planning Board at this time. She further informed the members that City is also
supporting this effort by giving$60,000 in City HOME funds toward deleading of the building. She
commented that the Trust Fund's dollars would strengthen the City's support for this project. Moreover,
this would be a great opportunity for the Board to gain visibility in support of a worthwhile housing
effort. Jenny Raitt echoed that this project fits well into the Trust's mission and goals. Aaron Allen said
that he could not think of a better project to which to give funding. Andrew Meegan and Leonette Strout
agreed. The Trust Fund members unanimously voted in favor of awarding $24,000 to HAWC.
Other
This was Jenny Raitt's last meeting as a member and Chair of the Trust Fund Board. The other
members of the Board thanked Jenny for her service, dedication, and leadership. She wished the Board
members the best of luck in furthering the Trust's work to promote affordable housing in Salem.
