Dear Ms. Palombi,
This correspondence has been prepared to provide additional information to the January 20, 2016 letter to you
received from Thomas St. Pierre, Salem Building Commissioner. A May 20, 2014 letter (attached) was sent to
you from this office regarding the use of Asphalt, Brick and Concrete (ABC) materials for fill on the proposed
roadway improvement project and the 16 Wyman Street property itself, herein after referred to as "the project".
That letter stated that, in accordance with Massachusetts Department of Environmental Protection regulations Site
Assignment Regulations for Solid Waste Facilities, 310 CMR 16.00 and Solid Waste Management Facility
Regulations, 310 CMR 19.000), herein after referred to as (MA DEP) requirements,the use of the ABC materials
was illegal and must be removed immediately.
On several occasions, the writer spoke directly to your Contractor performing work on the project and both times
your Contractor's request to perform further work was denied. Your Contractor was directed to remove all ABC
materials and that until such time, no further work is allowed on the project. It is clear that a substantial amount
of ABC material remains and further work has been performed in violation of the direction provided.
On November 12, 2014, another letter (attached) was sent to you from the writer stating this material is illegal
and all material must be removed and disposed of in accordance with all applicable local and state (MA DEP)
requirements. You were again notified that no further work shall occur on the project until this office received
written documentation from a Massachusetts Licensed Site Professional (LSP)that no ABC material remains and
how the material was disposed. The roadway construction permit issued by this office has been revoked.
Failure to address these issues will result in Municipal Code Tickets and further enforcement actions You are
directed to contact Thomas St. Pierre, Salem Building Commissioner to discuss your plan to bring the property
into compliance.

This Department has received and investigated a complaint regarding the storage of plow trucks and
miscellaneous construction equipment on the lot at 16 Wyman as well as the City's paper street. This is a
violation of the City of Salem Zoning Ordinance ,table of allowed uses. You are directed to remove these
vehicles immediately.
Additionally,you were notified of the improper construction of the paper street by the City Engineer David
Knowlton, and you have failed to address this issue also.
Failure to address these issues will result in Municipal Code Tickets and further enforcement actions You are

I, TERESA PEBBLES PALOMBI, currently of 16 Wyman Street Salem,
Massachusetts, hereby declare that I and my successors in trust
hereunder will hold any and all property of every name, nature, and
description and any interest in any of the same that may now or

hereafter be acquired by or conveyed or transferred to us or such

successors as Trustee or Trustees hereunder, for the sole benefit
of the Beneficiaries hereunder from time to time, upon the terms,
conditions, and provisions and subject to the limitations thereof .
1 . The term "Trustee" as used herein shall mean the person
or persons who, from time to time, shall be serving as Trustee or
Trustees hereunder, and all of the rights, powers, authority,
privileges, and immunities provided for hereunder for the Trustee
may be exercised by such person or persons serving as Trustee at
such time.
The Beneficiaries of this Trust are the persons listed as the
Beneficiaries in the Schedule of Beneficiaries this day executed by
them and the Trustee, and filed with the Trustees and their
successors and assigns as herein provided for, and hereby
incorporated by reference. The beneficial interests of the
Beneficiaries are as may now or hereafter be set forth on said
Schedule of Beneficiaries which may be, from time to time, amended
to reflect any change in the identity of the Beneficiaries or in
their respective interests hereunder.

2 . The Trust hereby established may be referred to as
16 WYMAN STREET REALTY TRUST.
3 . Any Beneficiary hereunder may serve as a Trustee .
4 . Except as hereinafter provided, in case of the
termination of this Trust, the Trustee shall have no power or
authority to deal in or with the property held hereunder unless the

Trustee shall have first received directions in writing by all of
the Beneficiaries; and upon the receipt of such directions as, and
to the extent specifically set forth therein, the Trustee shall
have full power and authority to sell, convey, assign, mortgage, or
otherwise dispose of all or part of the Trust property; to execute
i
and deliver leases and subleases, notwithstanding that the term of
said lease or sublease may extend beyond the date of the possible
termination of this Trust; to borrow money and execute and deliver
notes or other evidences of such borrowing for a period extending
beyond the date of any possible termination of this Trust; to grant
or acquire rights or easements; to construct, alter, add to, or
demolish any building constituting a part of the Trust property and
generally to enter into agreement, contracts, or arrangements with
respect to the Trust property, all as so directed, but not
otherwise . No Trustee, however, shall be required to take any
action as so directed which will in the opinion of such Trustee

involve him or her in any personal liability unless he or she shall
be first indemnified to his or her satisfaction.
5 . No person dealing with the Trustee hereunder shall be

under any obligation or liability to see to the application of any
purchase money or to any other money or property loaned, delivered,
or transferred to the Trustee or to see that the terms and
conditions of this Trust have been complied with. Any person
dealing with the Trust property or any Trustee, may rely fully and
without further inquiry on a certificate signed by any person
appearing from the records of the Registry of Deeds in which this
Trust is recorded to be a Trustee hereunder, as to who are the
Trustees or the Beneficiaries hereunder, or as to the authority of
any Trustee to act, or as to the existence or nonexistence of any
fact or facts which constitute or may constitute conditions
precedent to any acts or action by any Trustee, or which are in any
other manner germane to the affairs of the Trust including, without
limitation, the fact of whether or not directions authorizing the
Trustee to so act have been given by the Beneficiaries as in this
Trust provided. .
6 . This Trust may be terminated at any time by delivery to
the Trustee of an instrument in writing setting forth such
termination signed by any Beneficiary and acknowledged. Upon
delivery of such instrument to the Trustee, the Trustee shall
acknowledge receipt of the same and the same shall be recorded in
the Registry of Deeds in which this Trust is recorded. Provided,
however, that this Trust shall terminate in any event twenty (20)
years from the date hereof. In case of termination either by
expiration of time or otherwise, the Trustee shall thereupon
transfer and convey, by proper instruments in writing, the specific
assets constituting the Trust Estate subject to any leases,
j mortgages, contracts, or other liens or encumbrances on the Trust
i
estate to the Beneficiaries as tenants in common in proportion to
their respective shares. All such instruments shall refer to this
Trust and shall be accompanied by a certificate of the Trustee that
the grantees or transferees named in such instrument are the
Beneficiaries and that the shares of the respective Beneficiaries
are as set forth in said instrument .
7 . Any Trustee hereunder may resign by written instrument
signed and acknowledged by such resigning Trustee delivered to the
Beneficiaries and recorded with the Registry of Deeds in which this
Trust is recorded.
8 . The Trust Estate shall be directly liable for the payment
or satisfaction of all obligations and liabilities incurred by the
Trustee and agents of this Trust within the scope of their
authority. Although the Trustee, as Trustee, may be made party to
any suit or proceeding to enforce any such obligation or liability,
he shall not, on account thereof, be held to any personal liability
i
therein but shall be party only insofar as is necessary to enable
such obligation or liability to be enforced against the Trust
I Estate. No beneficiary, Trustee, or agent of trust shall be held
to any personal liability whatsoever, in tort, contract, or
otherwise, in connection with the affairs of this Trust, save only
that arising from his own willful misconduct, knowingly and
i
intentionally committed, and all persons shall look solely to the
Trust Estate for satisfaction of claims of any nature arising in
connection with the affairs of this Trust . With respect to all
agreements, obligations, instruments, and actions in regard to the
affairs of this Trust, the Trustee as such Trustee and not
individually, shall be the principal and entitled as such to
enforce the same, collect damages, and take all other action. All
such agreements, obligations, and instruments shall refer to this
Declaration. Failure to comply with the provisions of this section
shall, however, in no event render any Trustee, beneficiary, or
agent personally liable to this Trust or to its beneficiaries .
9 . Succeeding or additional Trustees may be appointed and
any Trustee may be removed, by an instrument or instruments in
writing signed by a majority of the Beneficiaries; provided in each
case that such instrument or instruments, or a certificate by any
Trustee naming the Trustee or Trustees appointed or removed, and in
the case of any appointment, the acceptance in writing by any
Trustee or Trustees so appointed. Upon the appointment of any
I succeeding or additional Trustee, title to the Trust estate shall
thereupon, without necessity of any instrument of conveyance or
transfer, be vested in such additional or succeeding Trustee
jointly with the remaining or other Trustee, if any. Each
succeeding Trustee shall have all the rights, powers, authority,
privileges, and immunities as the original Trustee hereunder. No
Trustee shall be required to furnish any bond.

10 . This Trust may be amended, from time to time, by an
instrument in writing signed by the then Trustees and all of the
Beneficiaries and acknowledged. The Trustee shall then record said
amendment or a certificate of the substance thereof with the
Registry of Deeds in which this Trust shall be recorded.
11 . Without limitation on any other provision hereof, no
Trustee shall be liable for any error of judgment, nor for any loss
arising out of any act or omission to act in good faith or for any
act of any co-trustee or preceding Trustee, but shall be
responsible only for his own willful breach of trust . No license
of court shall be requisite to the validity of any transaction
entered into by the Trustee .
12 . Every agreement, lease, sublease, deed, mortgage, note or
other instrument executed by a majority of the persons appearing
from the records of the Registry of Deeds in which this Trust shall
be recorded to be the Trustee hereunder shall be conclusive
evidence in favor of every person relying thereon or claiming
thereunder that at the time of the delivery of such instrument this
Trust was in full force and effect and that the execution and
delivery thereof was duly directed by the Beneficiaries subject to
the provisions of this Trust.
13 . The Trustees shall distribute to the Beneficiaries not

later than December 31st of each year, the net income of said Trust
unless otherwise directed by the Beneficiaries .

14 . No Trustee and no Beneficiary of this Trust shall ever be

personally or individually liable for any of the obligations of the
Trust hereunder, but each person who deals with the Trustee shall
look solely to the assets of the Trust for satisfaction of any
claim which such person may have against said Trust.
