Recommendation: This application meets the design guidelines for the Entrance Corridor. I

2. Lessee's Obligations. Lessee shall remain fully and primarily obligated under the Prime
Lease for the full Term (including any extension thereof under Section 2.1[a][a] of said Lease)
notwithstanding the Sublease or any indulgence granted by the Lessor to the Lessee or to the
Sublessee; and Lessee shall continue to perform by itself all monetary obligations under the Prime
Lease.
3. Assumption. In the absence of a written agreement to the contrary entered into hereafter
between Lessor and Sublessee, neither the enforcement of the terms of the Prime Lease nor the
acceptance of any payment from Sublessee shall impose on Lessor any obligation or liability to
Sublessee whatsoever,other than such as may be expressly imposed by applicable law,nor shall such
enforcement or acceptance relieve Lessee from any of its obligations or liabilities under the Prime
Lease.All rights of Lessee under the Prime Lease(such as,but not limited to,extension rights under
Section 2.1[a][a] thereof) shall be effective only if exercised by Lessee.
4. Successors and Assigns. Mrscellanv. This Consent to Sublease shall inure to the benefit of,
and be binding upon Lessor and Lessee and their respective successors and assigns. The paragraph
headings throughout this instrument are for convenience and reference only,and the words contained
therein shall in no way be held to explain,modify, amplify or aid in the interpretation, construction
or meaning of the provisions of this Consent, Lessee and Sublessee jointly and severally
acknowledge that (i) except for Vernon A. Martin Commercial, Inc. (the "Broker')they have not
dealt with any broker or finder or the like in connection with the Sublease and (ii)Broker has been
fully compensated for its services in connection with the Sublease. All notices shall be given in the
manner set forth in Section 13.5 of the Prime Lease. Sublessee acknowledges that it has had the
opportunity to consult with counsel of its choice in connection with this Consent.
5_ Sublessee's Trade Name. For Lessee's benefit Lessor hereby consents, under Section 8.3 of
the Prime Lease,to Sublessee's conducting a first-class convenience store(and no other business)
under the trade name 3 N Convenience. Sublessee represents that it has secured (i) all permits
required by law to so operate at the Premises and (ii)the liability and property damage insurance
required under Sections 6.8 and 6.9 of the Prime Lease. Sublessee agrees to furnish Lessor with a
certificate of insurance establishing its compliance with clause"(ii)"of the immediately-preceding
sentence; and Lessee and Sublessee understand that,notwithstanding anything herein contained,this
Consent shall not be effective unless and until said certificate shall have been famished to Lessor.
