COMMENTS:Grosvenor Park Sign,dimension,and location comply with both the zoning
and the easement agreement between Grosvenor Park and the Vinnin Square, LLC.
RECOMMENDATION: The applicant meets the design guidelines for the Entrance Corridor
and adheres to the easement agreement. I recommend approval as submitted.

PARKING AND ACCESS EASEMENT AGREEMENT
The parties to this Agreement are GROSVENOR PARK HEALTH CARE
LIMITED PARTNERSHIP, its successors or assigns (hereinafter
"Grosvenor") , with a principal place of business at 7 Loring Hills
Avenue, Salem, Massachusetts 01970, and VINNIN SQUARE, LLC, a
Massachusetts limited liability company having an addre3s at 6 Eden
Road, Wayland, Massachusetts 01778 (hereinafter "Vinnin") .
WHEREAS, Grosvenor and Vinnin each own adjacent lots along
Loring Avenue and Carol Way in Salem; and
WHEREAS, Grosvenor operates a nursing home on its lot and that
additional access to the lot through Carol Way is desirable for
Grosvenor; and
WHEREAS, Grosvenor' s parking needs exceed its available space
and additional parking upon the Vinnin lot is needed and required
by Grosvenor; and
WHEREAS, Grosvenor desires to have signage on Vinnin property
at the intersection of Carol Way and Loring Avenue; and
WHEREAS, Grosvenor and Vinnin have entered into a Memorandum
of Understanding ("MOU") dated June 17, 1999, as amended, a copy of
which is attached hereto and incorporated herein, and which MOU
shall survive the execution of this Agreement.
NOW, THEREFORE, the parties agree as follows:
1. Grosvenor will have access and use of twenty-five (25)
designated parking spaces on Vinnin property, as shown on
the plan attached hereto, for its employees for as long
as the nursing home is in operation, such spaces being
available to Grosvenor seven (7) days a week, twenty-four
(24) hours a day;
2 . Grosvenor is hereby granted an easement in perpetuity to
pass and repass and to have free and open vehicular
access through and over Carol Way for its employees and
visitors at all times;
3 . Grosvenor shall be allowed one (1) free-standing monument
sign on Vinnin property to be located on the median strip
separating Carol Way, at the corner of Carol Way and
Loring Avenue, as shown on the plan attached hereto,
which sign shall be allowed to remain for as long as the
nursing home is in operation; the exact size, style and
location of the- sign shall comply with the City of Salem
Zoning and Sign Ordinances, and shall conform with the
terms outlined in the MOU; and
4 . Grosvenor agrees to pay to Vinnin as consideration for
the above-mentioned access and easements, an annual pro-
rata share of expenses and maintenance costs associated

with the front entrance area budget set aside -by the
Village at Vinnin Square residential complex; it being
acknowledged and hereby ratified that Grosvenor' s pro-
rata share shall be the equivalent of twenty-five (25)
condominium units.

MEMORANDUM OF UNDERSTANDING
between
Grosvenor Park Nursing Center
and
Vinnin square LLC
Date: June 1 -4 , 1999
This Memorandum of Understanding is made and entered into
between Grosvenor Park Nursing Center ("Grosvenor") , acting through
its Clerk, who is duly authorized, and Vinnin Square LLC
("Vinnin") , through its General Partners.
WHEREAS, Vinnin desires to complete the construction of the
residential complex known as The, Village at Vinnin Square
("Village") ; and
WHEREAS, Vinnin is the owner of the parcel of land known as
Phase 4 of the Village and Vinnin has obtained and is obtaining all
of the necessary permits to construct 148 residential units in
Phase 4 (the "Project") , of which sixty (60) units comprise
Building A, which is on Lot 2, which abuts Grosvenor's property, as
shown on the plan prepared by VHB dated March 12, 1999; and
WHEREAS, Grosvenor operates a nursing home which directly
abuts Lot 2 of the Phase 4 parcel of land and, through prior
municipal permitting decisions, Grosvenor has dedicated to its use

twenty-five (25) parking spaces on land owned by Vinnin; and
WHEREAS, the parties have agreed that Grosvenor shall have
vehicular access through Carol Way,. which is owned by Vinnin, as
well as signage at the front entrance of the Village at the
intersection of Carol Way and Loring Avenue; and
WHEREAS, Grosvenor has agreed to pay its prorata share of the
front entrance area budget set aside by the Village for ongoing
maintenance and expenses; and
WHEREAS, Grosvenor supports the Phase4 construction of
residential units by Vinnin, but Grosvenor, as an abutter to the
Village, has certain concerns related to construction, parking and
utilities as it relates to the Project.
NOW, THEREFORE, the parties enter the following understanding
as to the contributions each will make in a spirit of cooperation
so as to allow the project to be constructed while protecting
Grosvenor's interests. The parties acknowledge that in the event
all such approvals and rights are not obtained or do not become
final beyond appeal, this understanding shall be of no further
force and effect.
Subject to Vinnin obtaining all approvals and definitive
rights to build in conformance with a plan drawn by VHB dated March
12 , 1999 becoming final beyond appeal, and for other good and

valuable consideration, Grosvenor and Vinnin agree to the
following:
1. Vinnin's affect on water pressure and volume.
In anticipation of the build-out of Phase 4, Grosvenor has
expressed concern regarding potential decreases in water volume
and/or pressure at Grosvenor which would fall below existing
conditions and standards set by the City of Salem. Therefor, the
parties agree to establish the present water conditions at
Grosvenor to be determined by a thirdart engineering firm

selected by both Vinnin and Grosvenor. The cost and scope of the
present condition determination is to be established and mutually
agreed to before work is done. The cost of the present condition
determination is to be split equally by Vinnin and Grosvenor. In
the event that the water volume and/or pressure at Grosvenor
actually falls below safety conditions and standards set by the
City of Salem Fire Prevention Bureau and/or any other applicable
state or municipal regulations, and the cause of such decrease is
determined to be caused by the construction of buildings in Phase
4 of the Project, then Vinnin shall remedy such decrease in water
volume and/or pressure so as to replicate the existing (pre-
construction) levels.
2 . Ledge facing Grosvenor.
Vinnin agrees that it will make reasonable efforts to protect
against damage, assume responsibility for Grosvenor property damage

and for any public liability due to Vinnin blasting. Reasonable
efforts shall include employing a qualified geo-technical
consultant to review the existing ledge facing Grosvenor property
and subsurface conditions as it relates to building the Phase 4
site, and a pre-blast survey. Should the existing condition of the
ledge face require remediation, that cost shall be borne by
Grosvenor. Vinnin agrees to grant to Grosvenor access to Vinnin
land for the purpose of Grosvenor making remedies to the ledge face
facing its property. Grosvenor agrees that it will not remove any
ledge on Vinnin's property without Vinnin's permission, which
permission shall not be unreasonably withheld.
3. Proximity and height of Vinnin "A" building to Grosvenor.
In consideration of the proximity to Grosvenor of the proposed
Vinnin "A" midrise building, Vinnin agrees to furnish and plant ten
(10) three inch (311) caliper coniferous trees (Norway Spruce or
Hemlock as an example) , as close as practicable to the boundary
between the properties at the north end of "A" building, along the
radius of the cliff with the intent of helping to provide a green
screen between the properties. Grosvenor agrees that the planting
of these ten (10) trees satisfies its concern regarding screening
between the two properties.
4 . License and Control of Grosvenor narking on Vinnin land.
In accordance with the condition in its Zoning Board of Appeal
Decision, Grosvenor shall be allowed to park 25 passenger vehicles

on the land of Vinnin in parking spaces in the locations shown on
the attached plan. The spaces shall be maintained in keeping with
Vinnin's standards for its real estate. The spaces shall be
clearly marked with signage and pavement markings as exclusive for
the use of Grosvenor with Vinnin being responsible for the design
and cost of the initial signs and pavement markings. The policing
and control of the spaces shall be the joint responsibility and
cooperation of Grosvenor and Vinnin. In the event of towing, costs
shall be borne by the owner of the towed vehicle. Grosvenor
vehicles parking on Vinnin's land shall conform to the bylaws of
the property (see 16 below) . Conformance shall include prohibition
of commercial vehicles, vehicles shall be ,. in good roadworthy
condition, and that no vehicle shall be worked on in the parking
space or on Vinnin's land, excepting emergency situations.
Grosvenor agrees to its prorata of maintenance liability of
the parking space area. Maintenance liability shall be a product
of the property maintenance budget. Budget may include, but is not
limited to, expenses for snow removal, sealing, restriping,
refreshing the signage, repaving, spring sand and fall leaf cleanup
(see Carol Way Residential Development Notice of Intent and Storm
Water Management Policy) , and replacement reserve. Grosvenor' s
maintenance liability shall be a prorata of its 25 parking spaces
in relation to the total Phase 4 outside spaces. It is estimated
that Phase 4 will encompass a total of 119 outside spaces.

The Monthly Licensing Fee paid by Grosvenor to Vinnin shall
continue to be $1,000.00 a month until all permits and appeal
periods have expired. All Monthly Licensing Fee payments
subsequent to the execution of this Agreement, shall be sent to
Serafini, Serafini, Darling & Correnti, LLP, as escrow agent, and
shall be paid to Vinnin upon the recording of the documents
referred in Paragraph 6 of this Agreement. Attainment of all
permits (Zoning Board of Appeal, Planning Board, Conservation
Commission and Department of Environmental Protection) , amendments
to those permits and expiration of appeal periods, which will allow
Vinnin to build according to the plan attached hereto,, is
"perfected permits" . "Perfected permits" sh411 be no sooner than
September 2 , 1999. Vinnin shall notify Grosvenor of "perfected
permits" date. Once the permits are perfected, the Monthly
Licensing Fee shall terminate and Grosvenor shall not pay for the
use of the parking spaces except as outlined above.
5. Grosvenor signage on Vinnin land.
Vinnin agrees to allow a new Grosvenor sign at the new island
at the intersection of relocated Carol Way and Loring Avenue. This
sign shall be separate and distinct from the Village signage, shall
be the sign located closer to Loring Avenue, and shall be no
greater than 6 ' high and 10' wide. This sign will be allowed
subject to (a) sign design consistent with Vinnin theme, locus that
is not a hazard to vehicular cueing, and acceptable to Vinnin, (see
attached sketch re: locus) ; (b) Grosvenor assuming liability for

the cost of the sign and its installation and maintenance; and (c)
conformance, review and approval to the City of Salem Sign
Ordinance. In consideration of the placement of the sign on Vinnin
property, Grosvenor hereby affirms its 25-unit prorata liability
expense for front entrance maintenance, and agrees to pay to Vinnin
or its successors such expense in a timely manner.
Grosvenor's 25-unit prorata liability will be in keeping with
Vinnin's front entrance area budget, a subset of the property
maintenance budget. Present front entrance prorata is 25 of 363
total and equivalent units. Once Phase 4 is completed, Grosvenor' s
liability would be diluted to 25 of as many as 511 total and
equivalent units. The front entrance area budget will evolve from
the historical front entrance expenses that Grosvenor has been
paying since it opened. The budget may change from year to year as
a result of changing expenses.
6. Preserving future Grosvenor access to Vinnin land
Vinnin will create and record all necessary documents to
effectuate this agreement, which may be reviewed and approved by
Grosvenor. Such documents shall include cross-easements, easements
in perpetuity, and access and parking easements, which documents
shall be prepared, executed and recorded on or before August 27 ,
1999. This agreement shall be' in conformance with The Village at
Vinnin Square Declaration of Trust, Master Deed, and the new
Community Corporation Bylaws. Grosvenor has received a copy of the

Community Corporation Bylaws under separate cover, and the parties
hereby acknowledge that Grosvenor shall be represented on the Board
of Trustees, pursuant to Article 2 of the Bylaws.
7 . Completion and Maintenance of Pond Area.
Grosvenor agrees to grant to Vinnin access to and over
Grosvenor land for the purpose of completing and maintaining the
pond area pursuant to an Order of Conditions granted to Vinnin.
This Memorandum of Understanding ("MOU") is intended to be the
understanding between the parties and shall supercede • and
incorporate any and all previous agreements between the parties,
their predecessors and for the benefit of their successors, and the
benefits and burdens of this Agreement shall run with the lands
described herein.

This First Amendment is made and entered into between
Grosvenor Park Nursing Center ("Grosvenor") , acting through its
Clerk, who is duly authorized, and Vinnin Square LLC ("Vinnin") ,
through its General Partners, to amend the Memorandum of
Understanding between the parties dated June 17, 1999, as follows:
1. Paragraph 6 of said Memorandum of Understanding is hereby
amended to extend the date to create, execute and record
all necessary documents to effectuate said Agreement from
August 27 , 1999 to September 17, 1999.
In all other respects, the Memorandum of Understanding remains
in effect and fully enforceable as written.

Dear Tonia:
Enclosed please find the page from the building plans that were approved by the City of Salem on
the signage to be placed on Carol Way. As indicated by the enclosed layout,the previous project
sign with Grosvenor Park was to be repositioned in the island. The previous project sign was blue
in color and had gold lettering,and this was supposed to list all of the streets in the condominium
development,which included at the time: Village at Vinnin Square,Weatherly Drive,Valiant Way,
Freedom Hollow and then Grosvenor Park was at the bottom Since then,a couple of other streets

the condominium development Although Arehstone Properties owns the land,they agreed to
assume this when they purchased the property from the original developer. Grosvenor Park was
never intended to stand alone in this"island" in the middle of Carol Way. The new sign to be
placed in this spot is supposed to be a duplicate of the project sign that was taken down b y
Archstone when the original Carol Way was removed.
The Board of Trustees of the Village simply the original signage back. I am sure the original plans
and permits going back to the 1980's would confirm everything I am outlining in this letter. As I
told Nancy Escalada of Grosvenor Park,the Board of Trustees understands that the nursing
home's name is to appear on the sign as well,but they are to be listed with us and that they are not
to be listed alone with their own sign without any input from the Trustees of the Village at Vmnin
Square. After all,this is our main entrance. There is no identification of the streets in the Village
at Vumin Square off Loring Avenue. The address for Grosvenor Park is Loring Mills Avenue,
which is directly off Loring Avenue. I look forward to hearing from you.

SUPPORT= CHANGE OF SIGNAGE AT ENTRANCE
In 1998,Vinnin Square L.L.C. submitted new Plans to complete the final
Phase of the Village At Vinnin Square Condominium. Many meetings were held
at Salem City Hall with representatives from Vinnin Square L.L.C. and owners
and/or their representatives of the 338 condominium units that comprise Phases
I, II and III of the Village at Vinnin Square Condominium. Based upon the
numerous meetings that were held with Salem Planning Board, the building
plans were revised on March 12, 1999 and subsequently recorded at the Registry
of Deeds. These plans clearly reflect the changes that had been approved by all
three phases including the owner of Phase IV and the Salem Planning Board.
Three of the more important changes were the relocation of Carol Way to allow
the construction of the mid-rise building, the relocation of the two existing
stoned structures that supported the Village at Vinnin Square signage,including
lighting, and the new sign in the middle of the island identifying access to
Grosvenor Park Nursing Home.
• Not long after this approval process, the officers of Vinnin Square L.L.C.
decided not to build and sold the property with the approved building plans
dated 3/12/99 to Archstone Properties.
The parties held numerous meetings and exchanged correspondence on
issues relating to the on-going construction of Phase IV and its impact on Phases
I, II and III.
On June 12, 2002, Scott Shaull, of Archstone Properties,was a guest
speaker at the Annual Unit Owners'Meeting of Phase II of the condominium. At
the meeting, Scott introduced the new manager for Phase IV of the
condominium. The residents and Trustees had issues relating to the signage at
this meeting, and Scott stated that the signage at the entrance to the Village at
Vinnin Square would be in keeping with the approved plans. As a matter of fact,
a letter was sent on June 14, 2002 to Scott Shaull, enclosing a copy of the plan,
indicating that the two landscaped stoned walls with Village at Vinnin Square
that were removed would in fact be reconstructed as indicated on the Plan. A
copy of that letter is attached.
Phase IV of the condominium has been 98% completed by Archstone, and
Archstone decided to re-name the entire property of the Village at Vinnin Square
to "Archstone at Vinnin Square" as evidenced by the photographs of the new
signs at the entrance to the Condominium at Carol Way and Loring Avenue. On

Construction,who is building the property for Archstone, informing him that the
brick walls were supposed to be made out of stone, not brick. At that time,we
asked that the condominium be made aware of what type of lettering was going to
be used on the sign to be placed on the two stone/brick walls being constructed
at the entrance. Remember: these were to be relocated with Village at Vinnin
Square on the signs,not Archstone at Vinnin Square. There has been constant
communication between the parties—we cannot understand why Archstone
deviated from the approved plans and neglected to advise us of this change prior
to installing the new signs. Scott Shall was called within one(i)hour of the signs
being placed on the brick walls, and he was surprised that we were aware of the
change within the hour of sign being ere&d.
The 338 Village of Vinnin Square condominium owners are extremely
• angry and upset that Archstone has decided to rename their residence as
"Archstone at Vinnin Square". For the past 20 years,the VILLAGE at Vinnin
Square has become a well-known recognized upscale condominium community
on the North Shore.
In view of the above,we respectfully request that the Salem Planning
Board direct Archstone to remove the two brick walls,which they erected in
violation of the approved building plans at the entrance to the Village at Vinnin
Square and replace them with stone walls that were removed during
construction, showing the Village at Vinnin Square as indicated on the approved
plans.

that I would send you a copy of the'plan that were have in our files.
• We were also wondering if the new island, with new signage for Grosvenor Park,
could be reduced approximately two feet on the entrance side to Carol Way
which would increase the width of the entrance to the entire community.
Please let me know if this can be accomplished without any problem.

the above captioned sign(s)or lack thereof for the Village(s).
I called your office and you did return my call but I had left for the day.
In retrospect I now believe the Salem Department of Planning and Community Development
(DPCD),acting on behalf of the Salem Planning Board, should investigate this sign issue and
determine precisely what type of sign(s)need to be erected to be in conformance with any prior
Salem Planning Board Phase 4 approvals on Carol Way. I believe Archstone @ Vinnin Square is
the Phase 4 part of that project.
I contacted Ms. Denise Sullivan,Ass't City Planner(978-745-9595)today and asked her to
have the new Planning Board coordinator at the DPCD,Senior Planner Ms. Stephanie Mullaney,
research this issue.
Please work with Ms. Sullivan(Ms. Mullaney)and Ms.Anselmo so we may resolve whatever
conflict exits.Your prior statesmanship in resolving issues is appreciated
