BRUEGGERS BAGELS CAFE PERMIT DRB CAFE PERMIT 1996 BRUEGGER'S BAGEL MUSEUM PLACE i i 0 e ® o r _ MINUTES OF THE MEETING ( OF THE BOARD OF THE SALEM REDEVELOPMENT AUTHORITY HELD ON DECEMBER 11, 1996 A regular meeting of the Salem Redevelopment Authority was held on Wednesday, December 11, 1996 at 6:20 p.m. Chairman Robert Curran called the meeting to order and on roll call the following members answered present: Joan Boudreau, Barbara Cleary, Paul L'Heureux and Donna Vinson. Executive Director Craig Wheeler and Staff Assistant Michelle Cammarata were also present. Secretary Ellen Dubinsky was excused. MINUTES Chairman Curran called for omissions and/or correction to the minutes of the meeting held on October 31, 1996. All were in favor, motion so carried. BILLS The following bill was presented for the Board's action: Group Insurance Commission $991.24 / (Estimated Premium-- from 7/01/96 to 9/30/96) 1� Ms. Boudreau made a motion to approve the bill as presented. Ms. Cleary seconded the motion, a roll call vote was taken, all were in favor, motion so carred. DISCUSSION/NEW BUSINESS Loan Application --Red Raven's Havana Ms. Cammarata presented a memo summarizing the review of an application for a small business loan submitted by Michael Frechette, owner of the Red Raven restaurant. Ms. Boudreau stated that she would like to postpone a decision on the loan application until the completion of the audit of the SRA loan program. Ms. Cleary noted that the lack of collateral would be an obstacle to approval. Ms. Boudreau agreed and stated that the applicant should try to identify an investor. Ms. Vinson expressed her concern about the site of the new restaurant, since several other restaurants had failed in that location. Chairman Curran asked for the opinion of Eastern Bank's loan officers, who are considering a request for a loan of$36,000. Ms. Cammarata responded that John Mannion of Eastern planned 1 to defer a decision until Mr. Frechette provides year-end financial statements for the Red Raven. ( If the figures are strong, Eastern Bank may finance the loan. Ms. Cammarata added that Eastern will not make a loan unless the SRA participates as well. The issue is tabled until the year-end financial statements are available and Eastern has made a final decision. Audit of SRA Small Business Capitalization Loan Program The Board continued a discussion begun during the annual meeting regarding the audit of the SRA Loan Program. Executive Director Wheeler presented a summary of each loan account. He noted that for certain loans, the files are incomplete and it is difficult to understand the outstanding principal balance and the status of overdue balloon payments. He noted the important of getting defaulted loans "off the books". One of the goals of the audit will be to clarify standard operating procedures, from organizational standards and bookkeeping practices to the possible negotiation of penalty clauses into loan agreements. Executive Director Wheeler noted that Councillor Stanley Usovicz requested a report on all municipal loans, including SRA loans, in September. An ordinance passed in 1995 requires the formation of a loan approval board to oversee all loans made with municipal, state and federal funds. Executive Director Wheeler noted that the ordinance has not been enforced and may require amendment. Ms. Cleary requested clarification of the scope of the audit. She stated that the audit should be more than an examination of procedures and should provide a clear understanding of the balance of each loan. Mr. Wheeler agreed. Ms. Cleary stated that the auditing firm of Tucci &Roselli should report to the SRA, not to the City of Salem. Ms. Cleary added that the firm should prepare financial statements for the Authority. Mr. Wheeler agreed and noted that the staff would revise the original scope of services and draft a new engagement letter. Mr. Wheeler continued that the SRA Small Business Capitalization Loan program is an important economic development tool which needs to be improved. Ms. Cleary noted that the SRA is often the borrower of last resort for local businesses and stated that the goal of the program is to support businesses that cannot access conventional financing. While that remains the goal, Ms. Cleary continued, the Board must think more about the most effective ways to accomplish that goal. 2 DRB Recommendations 73 Lafavette Street Architect and contractor Eric Rumpf presented a revision to the original design of the Sumner Paint building at 73 Lafayette Street. The roof of the building which fronts derby Street was structurally unsound, prohibiting the implementation of the design previously approved by the SRA. Mr. Rumpf presented a design which keeps the brick work and detailing on the facade, as ordinally proposed. The new roof however, will be level with the second floor of the main building, rather than 3 feet above, as originally planned. In accordance with the DRB's recommendation, the new roof will include design details to match the main building. Ms. Boudreau made a motion to approve the plan approved by the DRB on December 6, with the DRB's recommendations included in the revised plan submitted tonight. Ms. Cleary seconded the motion, all were in favor, motion so carried. Bruegger's Bagels -- Cafe Permit Ms. Cammarata presented an application from Bruegger's Bagels to offer cafe seating. Bruegger's proposes to install four cafe tables with umbrellas. Each table will have four seats. Ms. Cleary made a made a motion to approve the plan approved by the DRB. Ms. Boudreau seconded the motion, all were in favor,motion so carried. Salem Bargain Center Ms. Cammarata presented the application for a wall sign for Salem Bargain Center to be located at 332 Essex Street. Ms. Vinson made a motion to approve the sign without the arrow indicating the entrance, allowing the staff to determine the appropriate scale of the lettering as a result of this change. Ms. Cleary seconded the motion, all were in favor,motion so carried. There being no further business, Ms. Boudreau made a motion to adjourn the meeting. Ms. Vinson seconded the motion, all were in favor, motion so carried. Meeting stands adjourned.
