CONTRACTOR AGREEMENT
THIS AGREEMENT made this 3' ,day of August,2012 by and between Triangle Sign &Service.LLC
11 Azar Court PO Box 24186,Baltimore,DM 21227 hereinafter called the"Contractor"and
Sovran Acquisition Limited Partnership hereinafter called the"Owner"
WITNESSETH,that the Contractor and the Owner for the consideration named herein agree as follows:
ARTICLE 1.SCOPE OF WORK
The Contractor shall furnish all the materials and perform all of the work shown on the drawings and/or described in the
specifications described in SCOPE OF WORK, as described below or attached hereto as it pertains to work to be performed
on property stated above:
Reface Pole Sign
Sign 1:
Manufacture and install(2)new 6' x 8'"Uncle Bob's"Lexan faces
Manufacture and install new 2"x2"matte black aluminum angle trim
Paint pole cover,cabinet and trim flat black
Re-bulb and re-ballast
Contractor to take all orecautions to Protect owner's/customer's Property
Store must remain operational during normal business hours
Contractor to coordinate work with store manager
Contract price includes•all labor materials equipment and permitting cost necessary to complete project
ARTICLE 2.TIME OF COMPLETION
The work to be performed under this Contract shall be commenced on or before May 3, 2012 and shall be completed
on or before June 15, 2012

ARTICLE 3. GENERAL PROVISIONS
1. All work shall be completed in a workmanship-like manner using materials deemed acceptable by industry
standards,and in compliance with all local building codes and other applicable laws.
2. To the extent required by law all work shall be performed by individuals duly licensed and authorized by law to
perform said work.
3. Contractor may at its discretion engage subcontractors to perform work hereunder, provided Contractor shall fully
pay said subcontractor and in all instances remain responsible for the quality, timely and proper completion of this
Contract.
4. Contractor shall deliver its work and materials to Owner free of all claims, security agreement, encumbrances or
liens. Contractor shall provide Owner a waiver and release of lien in form satisfactory to Owner.
5. All change orders shall be in writing and signed by both Owner and Contractor.
6. Contractor and their subcontractors warrants and shall provide evidence thereof; it is adequately insured for injury,
to its employees and others incurring loss or injury as a result of the acts or omissions of Contractor or its employees
and subcontractors.
7. Contractor and their subcontractors must provide verification of their liability insurance naming "Sovran
Acquisition LP: etal. 6467 Main Street Buffalo. NY14221-5890" as the"Certificate Holder and-Additional Insured
on a primary and non-contributory basis".

9. Contractor shall remove all debris and leave the premises in broom clean condition.
10. Contractor shall not be liable for any delay due to circumstances beyond its control including strikes, casualty, or an
act of God.
11. Contractor warrants all work for a period of months following completion.
ARTICLE 4.INDEMNITY
1.
Contractor shall indemnify, defend and hold Sovran harmless from any and all claims, liabilities,
losses, damages, costs and expense,including court costs and attorney's fees(whether or not litigation has commenced),
of whatever nature or type that Sovran may suffer or incur by reason of.
A. Any injury or damage sustained or purported to have been sustained by any person,entity or thing as a
result of Contractor's actions or omissions, or those of any other direction, supervision,request,or sufferance of
Contractor,including, but not limited to,subcontractors,laborers, and material suppliers; or
B. Any breach or default of Contractor under this Contract.
ARTICLE 5. COMPLIANCE WITH LAWS
Contractor shall fully comply with all applicable federal, state and local laws, codes, statutes,ordinances, Hiles
and regulations(collectively, the"Law")in its performance under this Contract. Prior to commencing the Work,
Contractor shall review the Work Specifications to determine their conformance to the Law. If Contractor then or
thereafter finds the Work Specifications are at variance with the Law,the Contractor shall immediately notify
Sovran and Sovran's construction manager in writing before proceeding with the Work. The cost of any
necessary changes to comply with the Law must be agreed to by Sovran(at Sovran's option)before proceeding with
the Work. If any of the Work is done contrary to the Law or without Sovran's written approval,Contractor shall
bear all costs required to correct the Work,so that it conforms to the Law.

ARTICLE 6.THE CONTRACT PRICE
The owner shall pay the Contractor for the materials and labor to be performed under the Contract the sum of
U.S Dollars, subject to additions and deductions pursuant to authorized change orders.
ARTICLE 7. PROGRESS PAYMENTS
Payments of the Contract price shall be paid in the following manner:
Balance Due Net 30 Days from Receipt of Final Invoice,
Written acceptance of Sovran Representative and Notarized Lien Release
Payment(s) under this Article may be withheld or delayed if Contractor is not in full compliance with any term of this
Contract. Payments shall be released when Contractor is in full compliance of this contract.
ARTICLE 8.OTHER TERMS
ONLY ORIGINAL INVOICES WILL BE PROCESSED FOR PAYMENT
