NOTICE OF DENIAL OF APPLICATION FOR A CERTIFICATE OF HARDSHIP
RE: 10 Flint Street
On Wednesday, June 19, 1991, the Salem Historical Commission
unanimously denied an application for a Certificate of Hardship
from Jerome Riordan for permanent removal of a front fence and
front porch railing, of which the applicant had recently removed
without prior Commission approval, for the property at 10 Flint
Street. The denial was due to the applicant not providing
evidence of hardship and due to such permanent removal of the
fence and alteration of the porch railing would cause departure
from the intent and purposes of the Historic District Act .
The Commission further unanimously approved a motion that the
owner be allowed a period, not to exceed one year, whereby the
fence and porch railing must be replicated as it existed at the
formation of the historic district and that prior to such
construction the owner submit for approval, an application for a
Certificate of Appropriateness, which includes adequate scale
drawings, for such replication.

the historic district.
Because the work on the front and rear porches as noted above
has been undertaken without having first received an approved
Certificate, it is in violation of the Historic Districts Act.
Violations are subject to fines of up to $500 per day from the
date of violation. Please cease and desist all exterior work and

ESCROW AGREEMENT
Escrow Agreement by and between James D. Legnard, Trustee of
Flint Street Realty Trust, u/d/t dated September 20, 1992, recorded
in the Essex South District Registry of Deeds in Book 11588, Page
566, of Framingham, Middlesex County, Massachusetts (hereinafter
"Legnard" ) and the Salem Historical Commission, a duly constituted
municipal body of the City of Salem, Massachusetts, (hereinafter
"Commission" ) and Terrence Bryce and Kathleen Bryce (together
hereinafter "the Bryces" ) made this day of May, 1993.
RECITALS
1 . WHEREAS, Legnard owns property located at 10 Flint Street,
Salem, Essex County, Massachusetts (hereinafter "property" ) ;
and
2 . WHEREAS, said property is located in the so-called McIntire
Historic District, a local historic district established
pursuant to Chapter 40C of the Massachusetts General Laws, and
administered by the Commission; and
3. WHEREAS, said Legnard or his predecessor in interest removed
a fence and railings on the stairs and porch; and
4 . WHEREAS, Legnard or his predecessor did not receive permission
from said Commission for the work pursuant to a Certificate of
Non-Applicability, and were ordered by the Commission to
restore the fence and railings by June of 1992 , but did not do
so, in consequence of which the Commission has recorded a
Clerk's Certificate of Vote at the Essex South District
Registry of Deeds indicating that said property has been in
violation of Chapter 40C since said date; and
5 . WHEREAS, Legnard desires to sell the property and the Bryces
desire to purchase the property before the completion of the
work required by the Commission; and
6 . WHEREAS, the parties have agreed as to what work is to be done
by Legnard to correct said situation and bring Legnard in full
compliance with all requirements of the Commission; and
7 . WHEREAS, what remains to be done is enumerated on a hand
sketch prepared by the Commission attached hereto as Exhibit
A (hereinafter "required work") ; and
B. WHEREAS, the parties have agreed that Legnard will escrow
$6,000. 00 out of the closing proceeds to secure the full
completion of said work on or before July 15, 1993, subject to
the terms and conditions enumerated herein;
NOW THEREFORE, in consideration of the mutual promises and
convenants contained herein and other good and valuable
consideration, the parties mutually agree as follows :
1. Legnard shall deposit $6,000.00 at the closing from the
proceeds of the sale in an interest-bearing escrow account at
the Shawmut Bank, N.A. of Salem, Massachusetts in the names of
a nominee selected by Legnard and a nominee selected by the
Commission, who together shall act as sole escrow agents of
said account. Legnard hereby warrants the sufficiency of said
sum from said sale proceeds .
2 . Said escrow agents have already been designated by each party,
and are hereinafter identified. They shall signify their

acceptance of the terms and conditions hereof by signing this
Agreement simultaneously upon its execution by the parties .
3 . Any activity concerning said funds shall require the
signatures and agreement of both escrow agents, which shall be
governed by the within terms and conditions.
4 . Legnard shall cause the required work to be completed on or
before July 15, 1993.
5. From time to time the escrow agents shall release to the
contractor (only) such sums as are reasonably necessary to
complete particular phases of construction, which amounts
shall be reasonably related to, and shall only be used on, the
required work.
6 . In the event that Legnard has fully completed the required
work on or before July 15, 1993, as determined by the
Commission in its sole but reasonable discretion, said escrow
agents shall forthwith release the then balance of said
escrowed funds to Legnard. Said determination shall be
communicated by the Commission in writing to said escrow
agents forthwith upon its determination of completion.
Completion of the work in accordance with Exhibit A shall
constitute completion of the work hereunder.
7 . In the event that Legnard has not fully completed said work on
or before July 15, 1993, as determined by the Commission in
its sole but reasonable discretion, then said escrow agents
shall thereafter release such funds as are requested in
writing by the Commission to fully complete said work, which

release shall be done forthwith upon any written request by
the Commission.
8. Legnard and the Bryces hereby agree that the Commission shall
have full power and authority to complete said work and that
they or their successors in interest shall not hinder or
restrict those retained by the Commission for such purpose in
any way.
9 . Legnard hereby agrees that its agents, transferees and assigns
shall also be bound, including (without limitation)
prospective buyers of said property, who shall signify their
acceptance of, and agreement with, the terms hereof by signing
this Agreement.
10. No funds shall be released by said escrow agents to Legnard
(as opposed to the contractor, as provided in Paragraph 5)
until and unless the Commission has certified in writing to
said escrow agents that the work has been fully completed.
11 . Any escrowed funds remaining after the Commission has
reasonably determined the required work to be completed,
together with any remaining interest, shall be refunded to
Legnard forthwith upon the Commission's reasonable
determination of said completion.
12 . In the event that the escrowed funds are insufficient to fully
complete the required work, Legnard hereby agrees to promptly
pay for any required work contracted or specified by the
Commission after said escrowed funds have been exhausted
provided however that the Bryces shall be solely responsible

for any portion of the excess attributable to changes
requested or caused by them.
13. Each party shall fully indemnify and hold the other(s)
harmless for any loss or expense the other(s) incur as a
result of his, its, or their breach of this Escrow Agreement,
including (without limitation) for attorney' s fees .
14 . A breach of this Agreement by Legnard's designated escrow
agent shall be deemed to be a breach by Legnard.
15. All written communications between the parties, and between
the Commission and said escrow agents, shall be by certified
mail return receipt requested. Communications from the
Commission to Legnard shall be addressed as follows :

17 . The Commission hereby expressly reserves all other rights and
sanctions available to it under Chapter 40C of the
Massachusetts General Laws, or otherwise, in the event Legnard
fails to complete said work on or before July 15, 1993 .
18. Legnard hereby certifies to the Commission that he has
complete authority pursuant to the Declaration of Trust of the
Flint Street Realty Trust to commit to the terms and
conditions of this Agreement in behalf of said Trust.
19. In consideration of Legnard's execution of this Agreement and
his subsequent deposit of the $6,000 . 00 escrow amount out of
the closing proceeds pursuant to the terms hereof, the
Commission shall vacate the Clerk's Certificate of Vote at the
Essex South District Registry of Deeds, as requested by
Legnard and his prospective buyers of said property. The
procedure for same shall be as follows : Upon the execution of
this Agreement by all parties the Commission shall forthwith
execute and deliver to attorney Gerald Goodstein, representing
the Bryces ' mortgage lender, a good and sufficient instrument
vacating said Clerk's Certificate of Vote, which instrument
shall be held by Attorney Goodstein in escrow until the
closing of the contemplated sale. Simultaneously upon the
deposit of the $6,000.00 escrow amount out of the closing
proceeds pursuant to the terms hereof, Attorney Goodstein may
forthwith proceeds with recording said vacating instrument at
the Essex South District Registry of Deeds.
20. The Bryces reserve the right to appear before the Commission
to seek changes in the required work, which the Commission

reserves the right to approve or reject, and shall not affect
the July 15, 1993 completion date for the required work,
including any approved revisions thereof.
