WHEREAS,Progressive owns the property located at 331 Essex Street, Salem, Essex County, Massachusetts (hereinafter "property"); and 2. WHEREAS, said property is located in the so-called McIntire Historic District, a local historic district in Salem established pursuant to Chapter 40C of the Massachusetts General Laws, and administered by the Commission; and 3. They shall signify their acceptance of the terms and conditions hereof by signing this Agreement simultaneously upon its execution by the parties. 3. Any activity concerning said funds shall require the signatures and agreement of all escrow agents, which shall be governed by the within terms and conditions. 4. Buyer shall cause the required work to be completed on or before March 1, 1994. 5. In the event that Buyer has fully completed the required work on or before March 1, 1994, as determined by the Commission in its sole but reasonable discretion, said escrow agents shall forthwith release said escrow amount (including accumulated interest) to Buyer, pursuant to paragraph 6 below. Said determination shall be communicated by the Commission in writing to said escrow agents forthwith upon its determination of completion. 6. Buyer shall submit all bills required to complete said work to Progressive Consumers Federal Credit Union. Upon the completion of said work, if the price for said repairs is less than $3,000.00, the remaining balance after payment to Buyer for work completed shall be refunded to Progressive. If the work necessary exceeds $3,000.00, Buyer shall be responsible for the remaining balance of the sums over $3,000.00 7. In the event that Buyer has not fully completed said work on or before March 1. 1994, as determined by the Commission in its sole but reasonable discretion, then said escrow agents shall thereafter release such funds to the Commission, as are requested in writing by the Commission to fully complete said work, which release shall be done forthwith upon any written request by the Commission. 8. Progressive and the Buyers hereby agree that the Commission shall have the full power and authority to complete said work and that they or their successors in interest shall not hinder or restrict those retained by the Commission for such purpose in any way. 9. Progressive hereby agrees that its agents, transferees and assigns shall also be bound, including (without limitation) the within Buyers of said property, who shall signify their acceptance of, and agreement with, the terms hereof by singing this Agreement. 10. No funds shall be released by said escrow agents to Progressive until and unless the Commission has certified in writing to said escrow agents that the work has been fully completed. 11. Any escrowed funds remaining after the Commission has reasonably determined the required work to be completed, together with any remaining interest, shall be refunded to Progressive forthwith upon the Commission's reasonable determination of said completion. 12. In the event that the escrowed funds are insufficient to fully complete the required work, Buyer hereby agrees to promptly pay for any required work contracted or specified by the Commission after said escrowed funds have been exhausted. 13. While the work was begun in 1989, it has not been completed and is therefore not in accordance with the approved Certificate of September 26, 1988. Because of this, the City of Salem Licensing Board approved a Lodging License for eleven units with the stipulation that the owner satisfy the requirements of the Commission. This License is still being held at the Office of the Licensing Agent pending completion of the outstanding violation work. The violation involves the partial construction of a secondary egress (approved in September, 1988) , completion of painting to make the building uniform and the replacement and painting of missing fencing. Since no action to correct this situation has been taken to date, and since the potential penalities for violation of the Ordinance run with the land, the Commission voted at its regular meeting of February 3, 1993 that an egregious violation exists and to instruct the Clerk of the Commission to record a Clerk' s Certificate as to Violation at the Essex South District Registry of Deeds .
