Contractor is not required to perform any projects or tasks not specifically listed. For the warranty to be effective and enforceable, the Owner must notify the Contractor in writing within thirty (30) days of the discovery of any defect with such notice including details of the alleged defect that permit Contractor to identify the location and nature of the problem. Except in an emergency and only after Contractor is unable to be reached after reasonable effort, the failure to provide such notice, or the repair or replacement of Work by Owner or any other person or entity other than Contractor, will void this warranty.The Contractor's liability under this warranty is limited to the repair or replacement of the warrantied work and the decision to repair or replace shall be at Contractor's sole discretion. The warranty does not cover and expressly EXCLUDES damage caused by anyone besides Contractor. The exclusion of items from the Warranty includes, without limitation, the following: -Damage caused by severe weather(hail, lightning, snow, sun, etc); -Physical Abuse- Dents, scratches, etc. caused by humans or animals; -Damage from attempted cleaning of the siding before a sufficient cure time of 30 days; -Damage caused by cleaners/solvents; -Damage caused by lawn sprinklers; -Damage from trees/shrubs; -Damage from moisture; -Damage from improper use of a pressure washer; -Damage from ordinary wear and tear; -Damage from any other contractors-carpenters, roofers, lawn service, etc; -Damage resulting from defective conditions of the structure;and -Damage resulting from any matters outside of Contractor's control. Horizontal walking surfaces are excluded from this warranty. A small amount of touch-up paint will be left behind to remedy any damage that may occur from time to time. This warranty will cover the Owners to the Contract with Contractor, and is not transferable to subsequent owners or tenants during the remainder of the warranty period. Following expiration of Contractor's Warranty,the Owner's sole remedy shall be any continuing manufacturer's warranty, if any, on materials, and such warranty claim shall be against the manufacturer, not the Contractor. To obtain manufacturer warranties, the Owner may be required to register or mail in a warranty card or other evidence of ownership to activate such warranties. The Owner's failure to mail in or register such documentation, which failure voids the manufacturer's warranty, shall not create any responsibility for the Contractor to provide a warranty, or any other liability for Contractor, and Owner waives and releases all such claims. Although the warranty time period shall commence as of the date of Substantial Completion, the warranty shall be unenforceable if the Owner fails to make payments due at the time of Substantial Page 8 of 13 Completion, or fails to make any payments thereafter required. If the Owner cures the non-payment but only if Contractor does not incur fees and costs to collect payment, then the Warranty shall be revived, but shall be of decreased duration equal to the untimeliness of payment. For instance, on a one year warranty, if the Owner fails to pay the amount due at Substantial Completion until four months after Substantial Completion, Owner's warranty shall become effective only at the time of payment and shall thereafter(assuming final payment is timely made) only be in effect for eight months. If Contractor incurs fees or costs to collect that payment, the warranty instantly becomes null and void. Work Standard : Cosmos Painting is a member of the Painting and Decorating Contractors of America. All work is to be completed in a workman like manner according to standard practices. Worker/s will remain on job until completion of project. Work site will be cleaned daily and upon project completion.All agreements are contingent upon strikes, accidents, or delays beyond our control. Work procedures as per standards of the PDCA(Painting and Decorating Contractors of America) Pt-92, P2-92, P3-93, P4-94, P5-94, P7-99 and P6-99. Copies of these documents are available upon request. Contractor will produce a"properly painted surface". A"properly painted surface" is one that is uniform in color and sheen. It is one that is free of foreign material, lumps, skins, sags, holidays, misses, strike- through, or insufficient coverage. It is a surface that is free of drips, spatters, spills, or over-spray which the contractors'workforce causes. Compliance to meeting the criteria of a"properly painted surface"shall be determined when viewed without magnification at a distance of five feet or more under normal lighting conditions and from a normal viewing position. Customer Responsibility: Colors must be chosen one (1) week prior to start date. An additional cost will be charged for color changes made after commencement of work. Closets are not included in price unless otherwise stated. Please have fragile or breakable items and electronics moved out of work areas prior to start of project. Alarms must be turned off while work is in progress. Wallpaper is to be supplied by customer.Some wall coverings may be priced higher to install; ie., untrimmed paper or use of lining paper. Occupants must vacate work area while job is in progress. Customer is to be available to meet with foreman on the last day of job Contract Price: In consideration for the Work,the Owner agrees to pay Contractor the total amount listed on proposal. This payment includes a non-refundable deposit of no more than 1/3 of the total contract price. Payment Schedule: Payment is required in accordance with the following schedule: Page 9 of 13 Deposit: 1/3 of total at signing of contract Progress Payments: none Final Completion:Any remaining sums due under the Contract shall be paid within seven (7)calendar days of receipt of the Contractor's notice to the Owner of final completion. Contractor shall be entitled to recover its attorney's fees and costs incurred to collect any payment due. Change In The Contract: Any changes in the Work must be in writing and signed by the Owner and Contractor(a"Change Order'). Any latent or otherwise unknown conditions not identified to Contractor before Contract execution which in any way interfere with the safe and satisfactory completion of the Work or which otherwise alter, delay, increase, or make the Work more expensive, constitute changes in the Work and will require a Change Order. Contractor shall promptly provide the Owner in writing the amount of additional costs resulting from changes ordered and the Owner shall acknowledge by his/her signature that the Change Order work is to be performed.The Owner agrees that he/she shall be responsible for the additional cost of the Change Order. Payment shall be due in accordance with a revised Payment Schedule or, if no revised Payment Schedule is provided, then in advance of that Change Order Work being performed. It is understood that Change Orders will extend any anticipated completion date and, accordingly,the completion schedule for the work shall be extended by the same amount of time needed to complete the Change Order work.Additionally, if the Contractor is delayed at any time in the progress of the Work by fire, labor disputes, acts of God or other causes beyond the Contractor's control, the completion schedule shall be extended by the same amount of time caused by the related delay. Change order work that is billed on a time and material basis is subject to an hourly rate of $60/hr plus a 25% markup on materials Lead Safe Work: Where the EPA's Renovation, Repair and Painting regulations(or as adopted by any State agency)apply, Contractor's Renovation, Repair, and Painting Rider also is hereby incorporated herein. This Contract, including the documents incorporated into this Contract,forms the complete integrated agreement between Contractor and the Owner.The parties represent and warrant that in executing this Contract, they are not relying on representations other than as expressly contained herein. There are no other terms or conditions that form a binding agreement between the parties other than this Contract and its incorporated documents.This Contract supersedes all prior agreements between the Owner and Contractor concerning the Work and may not be altered absent a subsequent written agreement signed by both parties. To the extent not covered by Contractor's insurance, and to the fullest extent permitted by law, Owner's recoverable damage for any claims shall be limited to no more than the amount paid to Contractor under this Contract. Further, the Owner and the Contractor agree to waive all claims against each other for any consequential damages that may arise out of or relate to this Contract, including the following:the Owner agrees to waive and release claims for damages including but not limited to the Owner's loss of use of the Project; any rental expenses incurred; loss of income; loss of profit or financing related to the Project; loss of business;and for principal office overhead costs and expenses. The Contractor agrees to waive and release claims for damages including loss of business, loss of financing, loss of profits not Page 10 of 13 related to this Project, loss of bonding capacity, and loss of reputation.The provisions of this Paragraph also shall apply in the event of termination of this Contract and shall survive such termination. The invalidity of one or more phrases, sentences, clauses or articles, shall not affect the remaining portions of the Contract and if any part of the Contract should be declared invalid by final order, decree or judgment of a court of competent jurisdiction, this Contract shall be construed as if such invalid phrases, sentences, clauses or articles had not been inserted. The Contract shall be construed in accordance with the laws of the Commonwealth of Massachusetts, excluding any choice of law doctrine that would result in application of foreign law. Massachusetts substantive law shall be applied to interpret this Contract in all disputes. All civil actions filed in Court shall be filed in Essex County Superior Court or Lynn District Court. Owner may demand arbitration as provided for in G.L. c. 142A. During the course of this Agreement, Owner shall carry property insurance providing coverage for the structure on which Contractor is working. The Owner agrees and does hereby waive, remise, release and forever discharge any and all claims to the extent his/her damages are paid for or are otherwise covered by insurance, and does hereby waive, remise, release and forever discharge any and all rights of subrogation of all insurers now and forevermore against Contractor, any of its subcontractors, subsubcontractors, and all of their subcontractors and materialmen.This waiver of claims and subrogation rights applies to both insurance policies providing coverage during the Work and to any policies obtained that provide coverage after the Work is completed. The Contractor shall give written notice to the Owner when it achieves Final Completion. Upon receipt of such notice, the Owner shall have the right and opportunity to make a final inspection of the Work and materials used in connection therewith within three (3) business days after receipt of notice of completion of the Work. In the event that the Owner is dissatisfied with any of the Work, including the materials used, the Owner shall notify the Contractor in writing within three (3) business days after his/her inspection that he/she is dissatisfied with the Work(including any of the materials) and shall specify the reasons therefore.The failure to provide this notice shall constitute a waiver and release of the claim. In the event of a disagreement concerning whether Final Completion has occurred, the Owner shall pay all remaining sums minus the value of any items claimed to be incomplete and the Contractor reserves all rights concerning the amount being held by the Owner. Condition of Premises:Contractor is not responsible for the inspection, discovery, abatement or removal of hazardous materials, including but not limited to, asbestos, lead paint(except as required by statute or regulation or if expressly contracted for pursuant to this Contract), radon, mold and U.F.F.I. If any hazardous materials are identified, Contractor will leave the job until another licensed and approved contractor makes the area free of the hazardous material(s). Contractor shall be entitled to a Change Order concerning all delays and costs it incurs because of the discovery of the hazardous material(s). Upon Contractor's return, any additional work resulting from the discovery of the hazardous materials or resulting abatement, also will be handled by a Change Order to the Contract Price and Schedule. Contractor is not responsible for any damages caused by, arising out of, or related to mold, lead paint or other hazardous materials and the Owner on behalf of himself/herself and as parent, next friend of, and on behalf of each of his/her/their children,forever waives, remises, releases and discharges all claims against Contractor caused by, arising out of,or related to mold, lead paint, or other hazardous materials, known and unknown,currently existing or hereafter arising, in any way related to, caused by, or arising from Contractor's Work. I examined the fence below the lattice today. It is actually not cladding, but is one layer of planks, milled flat on the inner face and with a bead detail on the outer face. The fence at Butman-Waters house next door is identical. We would propose a fence topper as in the same style as at the Butman-Waters house.
