9.POSSESSION OF THE PREMISES

10.EXTENSION TO PERFECI'TI7'I.E OR MAKE PREMISES CONFORM
If the Seller shall be unable to give title or to make conveyance,or to deliver
p033wsion of the Premise,all as herein stipulated,or If at the time of the delivery of
the decd,the Premises du not conform with the provisinas hereof,the Seiler shall use
reasonable efforts to remove any defects in title,or to deliver possession as provided
herein,or to make the sold Premises conform to the provisions bereof,as the case
may be,and thereupon the time for performance shall be extended for a period of
thirty(30)days,or through the expiration of Buyer's floanefng commitment rate
lock,whichever first occurs.
Il.FAILURE TO PERFECT TITLE
If at the expiration of the extended time the Seller shall have failed so to remove any
defects in title,dcUver possession,or make the Premises conform,as the Case may
be,nB as herein agreed,or U at soy time during the period of fhb agreement or any
extension thereo4 the holder of a mortgage on sold premises shall refuse to permit
the insurance proceeds,If any,to be used for such purposes,then,at the Buyer's
option,any payments made under this agreement shall be forthwith rehmded and
all other obligations of all parties hereto shall cease and this agreement shall be void
without recourse to the parties hereto.
12.BUYER'S ELECTION TO ACCEPT TTTLE

their then condition and to pay therefor the purchase price without deduction,in
which case the Seller shall convey such dtle,except that In the event of such

the Seller has previously restored the premises to their former condition,either
(a) pay over or assign to the Buyer,on delivery of the deed,all amounts
recovered or recoverable on account of such Imuraneq leis any amounts roasonably
expended by the Seller for any partial restoration,or
(h) If a holder at*mortgage on sold premises shall not permit the Insurance
proceeds or a part thereof to be used to restore the said premises to their former
condition or to be so paid over or assigned,give to the Buyer a credit against[be
purchase price,on delivery of the deed,equal to said amounts so recovered or
recoverable by the holder of the Bald mortgage less any amounts expended by the
Seller for any partial restoration.
13.ACCEPTANCE OF DEED
The acceptance of a deed by the Bayer or its nominee as the case may be,shall be a
full performance in discharge and release of every agreement and obligation herein
contained or expressed,except such as arc,by the terms hereof,to he performed
after the delivery of said deer.
14.USE OFPURCIIASE MONEYTO CLEAR TTJrLE
To enable the Seller to make conveyance as herein provided,the Seller may,at the
time or delivery of the deed,use the purchase money or any portion thereof to clear
the tide of any or all encumbrances or Interests,provided that all Instruments so
procured are recorded simultaneously with said deed,excepting,however,
discharges of Institutional mortgages which may he recorded thereafter in
accordance with customary conveyancing praadcr.
15. INSURANCE
Until the delivery of the decd,the SELLER shall maintain insurance nn the
Premises against loss by fire or casualty as presently insured.
M. ADJUSTMENTS
Water and sewer use charges,and taxes for the current year shall be apportioned
and fuel value shag be adjusted,as of the day of performance of this agreement and
the net amount therm(shall be added to or deducted from,as the cue may be,the
purchase price payable by the BUYER at the time of delivery of the deed.
17. ADJUSTMENT OF UNASSESSED AND ABATED TAXES
If the amount of said taxes Is not(mown at the time or the dcllvery of the deed,they
shall be apportioned an gilt basis of the taxa assessed for the preceding year,with a
reapportionment as soon as the new tax rate and valuation can be ascertained;and,
If the taxes which are to be apportioned shall thereafter be reduced by abatement,
the amount of such abatcmeut,less the reasonable cost of obtaining tilt same,shad
be apportioned between the porde!,provided that neither party shag be obligated to
Institute or prosecute proceedings for an abatement unless hereto otherwise agreed.
18. BROKER'S FEE
A fee for professional services per separate agreement Is to be paid by the SELLER

19. BROKERS'WARRANTY
William Ravels Real Estate and Coldwell Banker,the selling broker,warrant that
they are duly licensed as broken by the Commonwealth of Massachusetts

21.DEPOSIT
All deposits made hereunder shall be held by William Ravels Real Estate as agent
for the Seller subject to the terms of this agreement,and shall be duly accounted for
at the time far performance hereunder.to the event of may disagreement the Broker
may retain said deposit pending instructions in writing mutually given by the Seller
and the Buyer.At close of escrow,Interest earned,if any,shag be divided equally
between the parties.
22.BUYER'S DEFAULT DAMAGES
If the Buyer shag fail to fulfill the Buyer's agreements herein,all deposits made
hereunder by the Buyer shall be retained by the Seller as Liquidated damages,and
said amount so retained shall be Seller's sole remedy at low and in equity for said
breach.

If the Scher or Buyer executes this agreement In a representative or fiduciary

be personally gable for any obligation,express or implied,hereunder.
25. LEAD PAINT ACKNOWLEDGMENTS
Buyer acknowledges receipt of the Department of Public Health Property Transfer
Notification and understands the Seller and Broker have made no representations or
warraoties express or implied,as to the lead paint content of the property.Buyer
takes fun responsibillty for compliance with all Iowa relating to same(and in
particular Mass.General Laws Chapter 111,Section 197).Buyer will assume the
burden of cost for ail tests,costs,and compliance arising therefrom.
26. SMOKE AND CARBON MONOXIDE DETECTORS
The Seller shall equip the residential structure on the within described Premises

by an Inspection service selected by the Buyer.Execution of this Agreement is
deemed to be an acknowledgement that the Baycris satisfied with the condition
(structurally and otherwise)of the property and its electrical,heating and other
systems and services.Buyer aeknowiedgm that the Seller has made so warranties or
representations on which the Boyer has relied(other than those specifically set forth
In this Agreement and the Seiler Statement delivered to the Buyer)with respect to

forth hereto.
29.SELLER DOCUMENTS AT CLOSING
Seiler agrees to execute at closing such Instruments as arc customarily executed by

30.BUYER ACCESS
From and after the date of this agreement,Seller,upon reasonable notice,agrees to

measurements,Inspections,and the tike.Sold access shall be in the presence of Seller
or Seller's repraeatative.
31.TITLE STANDARDS
Any matter or practice arising under or misting to this Agreement which is the
subject of a title standard or practice standard of the Real Estate Bar Association
for Massocbmetta at the time of the delivery of the deed sbaB be governed by said
title standard or practice standard to the extent applicable.
32. TITLE INSURANCE.
As a condition of Buyer's performance hereunder,the Unit shall not be considered
to be in compliance with the provisions of this Agreement with respect to title unless
title to sold premises is Insurable,For the benefit of the Buyer,in a fee owner's policy
of title iasumnce,at normal premlam rata,in the American Land Title Association
form currently in use,subject only to those printed exceptions to title normally

33. NOTICES
All notices required to be given hereunder shall be in writing and deemed duly given

34.CONSTRUCTION OF AGREEMENT

A.The residence shall be delivered in broom clean condition at closing,free of all of Seller's
personal effects and belongings,both on the interior and the erderior of the property,other than
that which is being left in accordance with paragraph 3 of this agreement
D.During the term of this agreement,Buyers shall have access to the premises for the purpose of
completing an appraisal,completing a plot plan,taking measurements and the like.Said right of
access shell be upon reasonable advance notice to the Sellers,and in the presence of Sellers or

C. Notwithstanding the provisions of Paragraph 9 of this Agreement,the closing may take place

iv.Title to the premises is insurable for the benefit of the BUYER by a nationally
recognized title insurance company,and upon delivery from SELLEP to BUYER of the deed
contemplated by this Agreement and upon recordation of such deed,there is issued,at normal
title insurance Premium rates,an Owner's litle insurance policy(on the current ALTA form)
insuring fee title in the Buyer free from all exceptiom other then those exceptions specifically set
forth in Paragraph 4 of this Agreement
E.Notwithstanding any other provision of this agreement relative to notice,all notices required
wader this agreement shall be considered eflintive if given,in writing,to the attorney or broker

paragraph including the mechanics'lien and parties-in-possession and indemnification;and
ii.An alLdavii,satisfying the requirements of section 1445 of the Internal Revenue Code
and regulations issued thereunder,which states,under penalty of perjury,the Seller's United
Slates taxpayer identification number,that the Seller is not a foreign person,and the Seller's
address(the 1445 affidavit);and
iii.Internal Rrvenue Service form W-9,es applicable,and an affidavit furnishing the
information required for the filing of Form 1099B with the Internal Revenue Service;and
iv.Such other documents as Buyers lender may reasonably require,including,but not
limited to:the RESPA statement,smoke detector certification,UII, affidavit and Mechanic's
Lim Affidavit.
G. Notwithstanding the provisions of paragraph 22 of this agreement,if the Buyer or
Buyer's Nominee brcuches this agreement,all escrowed hinds paid or deposits by the Buyer
shall be paid to the Seller as liquidated damages as Sellers sole and exclusive remedy at law and
equity. llu Buyer and Seller agree that in the event of default of by the Buyer,the amount of
damages suffered by the Seller will not be easy to ascertain with certainty and,therefore,Buyer
and Seller agree that the amount of the Buyer's deposit represents a reasonable estimate of the
damages Rely to he suffered.
H. Seller represents to Buyer that,to the but of Seller's knowledge,information and belief,
there has been no release of any hazardous material or oil on,from or near the premises(as used
in this agreement,the terms"release","hazardous materials",and"o]",shall have the meaning
given to them in MGL Chapter2l E)and that there are no underground storage tanks or other
subsurface facilities holding petroleum or oil produces currently in use or previously abandoned
on the premises.
1. Between the date of the signing of this agreement and the Lime for performance
hereunder,Seller shall maintain and/or smite the premises and its appurtenances at the same
level and expense as the Seller has maintained and/or serviced the premises for the Sellers own
account prior to the date of this agreement.
J. If the premises are affected by an order of condition for the town in which the premises
are situated,Seller shall provide Buyer or lender's counsel with a certificate of compliance for
said order of conditions prior to closing.
K. Deed will be signed by record owner,not under a Power of Attorney.

PROCEDURES FOR FILING APPLICATIONS
A. Be prepared to apply for approvals well in advance ofcommencing any exterior work. Before making any changes to the exieriorofa property
in an historic district,the owner should call or visit the Commission representative at the Department of Planning&Community Development to
discuss proposed alterations and to determine the category of the application(Appropriateness,Non-Applicability or Hardship).
B. The Commission normally meets on the first and third Wednesdays of each month and notices are posted at City Hall. The meetings are held at
120 Washington Street,3rd floor,and begin at 7:00 p.m. All meetings are open to the public and any person is entitled to appear and be icard
on any matter betore the Commission before it reaches a decision.
C. An application for a Certificate of Appropriateness or Hardship must be received by 3:00 p.m,on the Monday 16 days before the meeting in
order to make the agenda. An application for a Certificate of Non-Applicability may normally be added to the agenda up to the day of the
meeting. In some cases,a Certificate of Non-Applicability maybe issued by the Clerk,without review by the full Commission,after notifying
Commission members and allowing 24 hours for any objection. There is no fee for any applications.
D. All applications for Certificates of Appropriateness or[lordship require a public hearing. Notice of the hearing must be posted with the City
Clerk 14 days before the hearing and abutters must be notified in writing. Commission staff will handle these procedures. A public hearing is
not required for a Certificate of Non-Applicability.
E. Applications must be submitted by the owner of the property. A contractor for the owner,at the owner's request,may submit an application on
the owner's behalf. In case ora tenant,a waiver of the owner's appearance maybe granted at the discretion ofthe Commission if it is requested
by the owner.
F. All applications must include photos of existing conditions,taken from all public ways. No certificates can be issued until receipt of photos.
G. An application will not be considered complete unless all worn items are thoroughly described on scaled drawings and include specifications
regarding dimensions, materials, and any other information needed for the Commission to visualize the changes in order to rrake a
determination. Applicatiogs for paint colors should include a palm:cbipor chart. The following items should be included in your drawings as

This letter is written in response to the NOTICE OF HEARING we received in the
mail referencing Ms. Phyllis Ballou's application regarding the above referenced
action. We support Ms. Ballou's request for relief from the Historical
Commission's standard of wood shutters on her house located within the
McIntyre Historic District.
We are neighbors of Ms. Ballou and while we support the Historical Commission
and its endeavors to keep our district as historically accurate as possible we are
also aware of the financial hardship which would be imposed on Ms. Ballou were
the commission to enforce either a replacement of the urrent shutters with wood
shutters or the removal of the current shutters.
We as neighbors see her house every day not only frori the street but from the
majority of windows in our house. We find the current utters perfectly
acceptable and not offensive in anyway.
We hope this letter serves as support for Ms. Ballou's request. Please feel free to
