In accordance with provisions of Section II-B, the
applicant must file, by delivery or registered mail, a
Notice with the City Clerk stating the date of sub-
mission for such determination. The notice shall be
attached to two copies of this Form A application.
The notice and both copies of the application must
be "date stamped' by the City Clerk and then one

Salem Redevelopment Authority, a public body politic and
corporate, duly organized and existing under the laws of the
Commonwealth of Massachusetts (hereinafter referred to as the
"Authority" ) and R. Thomas Belhumeur, Trustee of Heritage Museum
Realty Trust under declaration of trust dated December 22 , 1995,
and recorded with Essex South District Registry of Deeds, Book
13337, Page 426 (hereinafter referred to as the "Trust" ) .
WHEREAS, the Trust is the owner of certain parcels of land
situated on Essex Street, Church Street and Brown Street , Salem,
Essex County, Massachusetts and shown as Parcels RC5-8 , RC5-9 ,
RC5-10 , RC5-11, RCS-13 , RC5-15, RC5-16 , RC5-17, RC5-18 , RC5-19,
RCS-20 and RCS-21 on a plan entitled "Salem Redevelopment
Authority, Salem, Mass . ,, Scale 1" = 16' , dated November 22,
1976 , Whitman & Howard, Inc . , Engineers and Architects" recorded
with said Registry of Deeds in Plan Book 141, Plan 76 (the
"Trust Land" )
WHEREAS, the aforementioned parcels were conveyed to a prede-
cessor in title to the Trust by deed dated January 14, 1977 and
recorded with said Registry in Book 6317, Page 750 (the "Deed" ) .
WHEREAS, the Authority 'reserved onto itself ownership of Parcels
P-30, P-30A and RC5-14 as shown on said plan (the "Authority
Land" ) for the purpose of creating a pedestrian walkway for the
benefit of the general public.
WHEREAS, the Authority leased parcels shown as P-30, P-30A and
RC5-14 to Heritage Plaza Trust Association, a predecessor in
title to the Trust, which lease is dated January 14, 1977 and

recorded with Essex South District Registry of Deeds, Book 6317,
Page 759 (the "Lease" ) .
WHEREAS, the Trust and the Authority have agreed to redesign and
relocate the pedestrian walkway as shown on a plan entitled
"Subdivision Plan of Land located in Salem, Massachusetts
prepared by Eastern Land Survey Associates, Inc . , Christopher R.
Mello, PLS, 104 Lowell St . Peabody, MA 01960 Scale 1" = 20 '
February 28, 1997" recorded herewith (the "Subdivision Plan" ) .
NOW THEREFORE, for mutual consideration, the parties hereto
agree as follows :
1 . The Authority hereby grants to the Trust all of its right ,
title and interest in those portions of the Authority Land which
are now located within Parcels A, B and C and Parcels 1, 2 , 3 , 4
and 5 as shown on the Subdivision Plan, to be combined with the
Trust Property to form said Parcels A, B and C and Parcels
1, 2 , 3 , 4 and 5 .
2 . The Trust hereby grants to the Authority all of its right,
title and interest in those portions of the Trust Land which are
now located within Parcel W as shown on the Subdivision Plan to
be combined with the Authority Land to form Parcel W as shown on
said plan.
3 . The Authority and tIhe Trust hereby agree that the Lease is
amended such that the Leased Premises is defined as Parcel W as
shown on the Subdivision Plan. The Authority hereby
acknowledges that the Trust is the holder of Lessee' s interest
under the lease. All other provisions of the Lease are hereby
ratified and confirmed. )

4 . The Authority grants to the Trust the right to maintain and
repair the brick entrys and to maintain, repair, replace, and
reconstruct overhanging (structures (canopies) that have been
constructed on or over Parcels P-4 and P-7 as shown on the
Subdivision Plan in the areas designated as Easement 1 and
Easement 2 . The Trust shall at all times keep and maintain the
entryways in good order and repair. The Trust hereby
indemnifies the Authority and holds the Authority harmless from
any and all claims, liability, loss, damage , cost and expense,
including reasonable attorney' s fees that the Authority may
incur by reason of any damage or injury to any person or
property sustained or claimed to have been sustained arising out
of the construction repair or maintenance of the entryways .
5 . The easement reserved by the Authority in Schedule A of the
Deed for perpetual pedestrian access to other property owned by
the Authority are modified to run over and through Parcels
1, 2 , 3 , 4 , and 5 , shown on I the Subdivision Plan subject to rights
to restrict use of the easement as set forth in the Deed.
Executed as a sealed instrument this day of 1996 .

WHEREAS, the Authority reserved onto itself ownership of Parcels
P-30, P-30A and RC5-14 as shown on said plan (the "Authority
Land" ) for the purpose of creating a pedestrian walkway for the
benefit of the general public .
WHEREAS, the Authority also reserved onto itself ownership of
Lots 2 and 4 as shown on the Land Court Plan (the "Authority
Registered Land" ) which lots were combined with the Authority
Land for the purpose of creating a pedestrian walkway for the
benefit of the general public.
WHEREAS, the Authority leased parcels shown as P-30, P-30A and
RC5-14 to Heritage Plaza Trust Association, a predecessor in
title to the Trust, which lease is dated January 14, 1977 and

2_ The Authority also agrees to convey to the Trust, Lot 4 as
shown on the Land Court Plan by executing a quitclaim deed of
said Lot 4 simultaneously herewith.
3 . The Trust hereby gran Its to the Authority, all of its right,
title and interest in Parcel W as shown on the Subdivision Plan
to be combined with the Authority Land to form Parcel W as shown
on said plan.
4. The Trust and the Authority agree to diligently prepare and
pursue approval of a new plan of the Trust Registered Land and
the Authority Registered Land by the Land Court to create new
registered parcels which reflect the changes in lot lines caused
by reconfiguration of the walkways. The plan shall be in
substantially the same form as the sketch plan attached hereto.
All costs associated with preparation and submittal of the new
plan shall be paid by the Trust. Upon approval by the Land
Court of the new plan and lissuance of new certificates of title,
the. Trust shall convey, newly created Lot 6 and Lot 7 to the
Authority. Until such time, the Trust hereby grants to the
Authority an easement to occupy those portions of Parcel W that
encroach upon the Trust Registered Land as shown on the sketch
plan attached hereto. i
5. The Authority and the Trust hereby agree that the Lease is
amended such that the Leased Premises is defined as Parcel W as
shown on the Subdivision Plan. The Authority hereby
acknowledges that the Trust is the holder of Lessee' s interest
under the lease and the Trust agrees to be bound by said Lease.
All other provisions of the Lease are hereby ratified and
confirmed. Both the Trust and the 'Authority hereby affirm that
the Lease is in full force and effect and no default by either
party exists thereunder.
