SINGLETON, TRUSTEE THIS DEED OF EASEMENT is granted, for the land and building(s) located at 50 Essex Street, Salem, Massachusetts and described and recorded in the Essex South District Registry of Deeds recorded huewwith by East Branch Library Trust, Philip S. Singleton, Trustee, under Declaration of Trust dated 9 Ll�, 1997, having an address of 12 Charing Cross, Lynnfield, MA 01940, hereinafter referred to as the "Grantor" to the City of Salem, a municipal corporation having its usual place of business at 93 Washington Street, Salem, Massachusetts, hereinafter referred to as the "Grantee". WHEREAS,the Grantor is the owner and holder of record of fee simple title to certain real property with improvements located in the Salem Common Historic District and situated at 50 Essex Street in said Salem; and WHEREAS,the Grantor has caused the Salem Common Historic District to be listed in the National Register of Historic Places,encourage among other things, the preservation and restoration of historic and architectural values associated with structures and areas within said Historic District; and WHEREAS, the Mayor, as the Chief Executive Officer of the City of Salem, has been authorized to sell to the Grantee, th land and building(s) located at 50 Essex Street; and WHEREAS, the Grantee has accepted the following terms and conditions as covenant for consideration of the purchase of said surplus land and buildings: The Grantee, for himself, his successors, heirs, or assigns hereby grants an easement in gross, otherwise known as a facade easement, over the exterior appearance of the structure(s) situated on the hereinbefore described premises with respect to maintenance, protection, and preservation of the Premises in order to protect the architectural, archaeological and historical integrity thereof. These preservation restrictions are set forth so as to ensure the preservation of those characteristics which contribute to the architectural, archaeological and historical integrity of the Premises which have been listed on the National and/or State Registers of Historic Places, under applicable state and federal legislation. Characteristics which contribute to the architectural, archaeological and historical integrity of the Premises include, but are not limited to, the artifacts, features, materials, appearance, and workmanship of the Premises, including those characteristics which originally qualified the Premises for listing in the National and/or State Registers of Historic Places. The Grantee covenants and agrees to the terms of the Deed of Facade Easement as follows: 1 Maintenance of Premises: The Grantee agrees to assume the total cost of continued ( ) g maintenance,repair and administration of the Premises so as to preserve the characteristics which contribute to the architectural, archaeological and historical integrity of the Premises in a manner satisfactory to the Grantor according to the Secretary of the Interior's"Standards for Preservation Projects." In the event of any default or failure, thereafter, on the part of the Grantee to so maintain and preserve the exterior appearance of such structure(s), whether in whole or in part, whether by omission or departure from the standard and specifications hereinbefore designed, the Grantor shall have the right,power and authority at its election, after refusal or neglect by the Grantee to correct such default or failure following a ninety (90) day notice to do so by the Grantor to exercise the Grantee's unfulfilled performance on the Grantee part and to charge the cost thereof to the Grantee. (3) Alterations The Grantor agrees that the structural changes, alterations, additions, or improvements over the exterior appearance of the structure(s), as would not in the opinion of the Grantor fundamentally alter its (their) character or setting, may be made thereto by the Grantee providing that the prior written approval of the Grantor to such change, alteration or improvements shall have been obtained, which approval shall not be unreasonably withheld. Alterations will include but not be limited to the increase of parking or paved area, the decrease in the landscaping, and alteration to fencing. The Grantor (in the form of the Salem Historical Commission) shall act upon a written request by the Grantee for such approval within thirty(60) days of its receipt of plans and specifications submitted by the Grantee (through the Salem Planning Department) and shall give notice of any disapproval to the Grantee in writing with reasons. If a request for approval is not disapproved by the Grantor within thirty (60) days, it shall be deemed approved. Ordinary maintenance and repair of the Premises may be made without the written permission of the Grantor. For the purposes of this section, ordinary maintenance and repair is described as that to which there is no alteration to materials, workmanship, design or outward appearance (i.e. exact replication of existing). Change in paint colors will not be considered an alteration. (4) Termination: In case of damage by fire or other casualty so serious as to cause reconstruction to be reasonably adjudged to be impractical, this easement, together with all covenants, obligations, and restrictions herein recited shall terminate. (5) Assignment:The Grantor may assign this Agreement to another governmental body or to any charitable corporation or trust among the purposes of which is the maintenance and preservation of historic properties only in the event that the Grantor should cease to function in its present capacity. (6) Successors : The covenants agreed to and the restrictions imposed, as aforesaid, shall not only be binding upon the Grantee but also other(s) successor to (him)them in interest and shall continue as a servitude running with the land with the above-described premises in perpetuity. WHEREAS, East Branch is the developer of the Bentley Condominium, formerly the East Branch Library, located at 50 Essex/10 Forrester Street, Salem, Essex County, Massachusetts(hereinafter "the property" or "said property"); and 2. WHEREAS, said Commission has jurisdiction over said property, including with respect to landscaping, pursuant to a purchase agreement and the conditions of sale between East Branch and the City of Salern, by which East Branch acquired said property from the City of Salem; and 3. WHEREAS, East Branch has deviated from certain work previously approved by the Commission pursuant to Certificates of Appropriateness,dated March 20, 1997 (erroneously dated on Certificate as March 20, 1996), April 29, 1997, February 5, 1998 and April 2, 1998, and has made certain other changes at said property without prior approval of the Commission, as is required; and 4. WHEREAS, East Branch has sold Unit 1 at the Bentley Condominium to .lames M. Winer and Sandra J. Winer, and Unit 3 to Sharon R. Perkins, notwithstanding that some of the existing violations concern and effect both units; and 5. WHEREAS, East Branch has contracted to sell Unit 4 of said condominium before it can complete the required work and/or correct the existing violations at said property, and would like to be able to close on said sale prior to completing said required work, and prior to correcting the existing violations; and 6. WHEREAS, East Branch hereby warrants, represents and certifies that it has the authority under the Master Deed and Declaration of'frust and individual unit deeds to make and complete the required work provided for in this Agreement at or to ;IM of the four units at said condominium complex, including (without limitation) to Units 1 and 3, notwithstanding that the present owners of said units are not signatories to this Agreement, and may be unwilling to cooperate; and 7. WHEREAS, East Branch hereby 'irrevocably agrees to exercise that authority, if necessary, and do whatever else is necessary or convenient to complete the required work at or to all tour units at said condominium complex; and 8. WHEREAS, what work remains to be done , including with respect to correcting the existing violations, is enumerated on the attached Exhibit A(hereinafter "the work" or "required work"); and 9• WHEREAS, the parties have agreed that East Branch has escrowed the sum of $100,000.00 to secure the full completion of the required work on or before July 31, 1998, subject to the terms and conditions enumerated herein; NOW THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties mutually agree as follows: I. East Branch has deposited the sum of$100,000,00 in an interest bearing escrow account at the Salem branch of the Salem Five Cents Savings Bank in the name of Bruce Guy in his capacity as Acting Treasurer/Collector of the City of Salem, who shall act as sole agent of said account. Said $100,000.00 was deposited upon the closing of Unit 2 at said Bentley Condominium, 2. As hereinafter more particularly set forth, the purpose of said $100,000.00 escrow is to secure completion of the required work at said property, including all four units, as set forth in the attached Exhibit A. 3. Any activity concerning said funds shall be governed by the within terms and conditions of this Agreement. 4. East Branch shall complete the required work on or before July 31, 1998. 5. Ms. D'Aprile hereby irrevocably agrees to fully cooperate with East Branch in its completion of the required work, and shall do nothing to hinder same. 6. In the event that East Branch has fully completed the required work on or before July 31, 1998, as determined by the Commission in its sole discretion, said agent shall forthwith release said funds, together with interest, to East Branch Said determination shall be communicated by the Commission in writing to said agent forthwith upon its determination of completion. 7. In the event that East Branch has not fully completed said work on or before July 31, 1998, as determined by the Commission in its sole discretion, then said agent shall thereafter release such funds as are requested in writing by the Commission to fully complete said required work, which release shall be done forthwith upon any written request by the Commission. 8. In such event. East Branch and Ms. D'Aprile hereby irrevocably agree that the Commission shall have full power and authority to complete said required work to all four units and they shall not hinder or restrict those retained by the Commission for such purpose in any way. In such event all decisions with respect to completing said required work, such as whom to hire, where an what items to purchase, etc., shall be made by the Commission in its sole discretion, provided however that in no event shall the Commission exceed the scope of the required work. 9. East Branch hereby agrees that its agents, transferees and assigns, both past and present or future, shall be bound by the terms of this Agreement. Similarly, Ms. D'Aprile hereby agrees that her respective agents, transferees and assigns shall also be bound by this Agreement. 10. Philip S. Singleton, Trustee of the East Branch Library Trust hereby warrants, represents and certifies, both individually and in behalf of said Trust, that said Trust has the authority under the Master Deed and Declaration of Trust and individually unit deeds to make and complete the required work provided for in this Agreement at or to my of the four units at said condominium complex, including (without limitation) to Units 1 and 3, notwithstanding that the present owners of said units are not signatories to this Agreement, and may be unwilling to cooperate. 1 1. Philip S. Singleton, Trustee of the East Branch Library Trust hereby further warrants, represents and certifies, both individually and in behalf of said Trust, that said Trust shall exercise that authority, if necessary, and shall do whatever else is necessary or convenient to complete the required work at or to all four units at said condominium complex. 12. No funds shall be released by said agent to East Branch until and unless the Commission has certified in writing to said agent that the required work has been fully completed at or to all four units. 13. Any funds remaining after the Commission has completed the required work, together with any remaining interest, shall be refunded to East Branch forthwith upon the Commission's determination of said completion. 14. In the event that the funds are insufficient to fully complete the required work, East Branch hereby agrees to promptly pay for any required work contracted or specified by the Commission after said funds have been exhausted to complete said work. 15. East Branch shall fully indemnify and hold the Commission and the City of Salem harmless for any loss or expense the Commission incurs as a result of any breach by East Branch of this Agreement, including(without limitation)for attorney's fees. Similarly, Ms. D'Aprile hereby agrees to fully indemnify and hold the Commission and the City of Salem harmless for any loss or expense the Comunission incurs as the result of her breach, as the case may be, of any of her responsibilities under this Agreement, including (without limitation) for attorney's fees. Said indemnification agreement by Ms. D'Aprile shall run only to the Commission and the City of Salem, and not to East Branch. Any failure to perform the required work at Unit 1 (belonging to the Winers), and Unit 3 (belonging to Ms. Perkins) and Unit 2 (belonging to Ms. Longval) and Unit 4 shall be determined to be a breach by East Branch. 16. All written communications between the parties, and between the Commission and said agent, shall be by certified mail return receipt requested. A. The Commission hereby expressly reserves all other rights and sanctions available to it in the event East Branch fails to complete said work on or before July 31, 1998, or in the event of any breach by East Branch or Ms. D'Aprile of this Agreement. 17. In consideration of the Commission's willingness to entertain the within Agreement, thereby allowing East Branch to consummate the sales of 1Jnit 4 at said Bentley Condominium prior to the satisfactory completion of all required work at said property, including the correcting of all existing violations, East Branch and Ms. D'Aprile hereby irrevocably waive their respective rights to appeal any aspect of this Agreement, including (without limitation) the transfer documents and/or agreements conferring jurisdiction over said property on the Conunission, the Commission's determination of the existing violations, the nature and terms of this Agreement, and the scope of the required work, and they shall take no steps at variance with such waiver. 18. In the event that the Winers or Ms. Perkins or anyone else challenges the Commission's jurisdiction over landscaping and/or all changes to the exterior of East Branch visible from a public way (including with respect to windows), East Branch shall forthwith execute upon the request of the Commission whatever confirmatory documents are necessary or convenient to clearly establish such jurisdiction. 19. If any provision of this Agreement is deemed to be invalid, its remaining provisions shall nevertheless remain in full force and effect provided that they reasonably reflect the parties' overall intent in executing this Agreement. 20. Philip S. Singleton hereby certifies that he has complete authority to commit East Branch to the terms and conditions of this Agreement and he shall nevertheless famish sufficient documentation to the Commission to reasonably verify same prior to his execution hereof. 21. SINGLETON, Trustee of East Branch Library Trust, Defendants --------------------------- I, JANE GUY, having been duly sworn, hereby depose and say as follows: 1 . I am the Clerk of the Salem Historical Commission. I have personal knowledge of the matters attested hereinbelow, either through personal participation, or by having personally examined the relevant documentation. 2 . On or about December 5, 1996, the Salem City Council voted 9-2 to authorize the sale of 50 Essex Street, Salem, Massachusetts, to a private developer for conversion into four (4) residential condominiums . The proposal was approved by the Mayor on December 9, 1996. A copy of the said vote is annexed hereto as Exhibit 1. 3. On or about February 14, 1997, the City, by its Mayor and City Planner, and with the approval of the City Solicitor, executed a contract with the East Branch = Library Trust, Philip S. Singleton, Trustee, pursuant to which the same property was conveyed by deed to the same developer, subject to the terms and conditions of the agreement. A copy of the said agreement is annexed hereto as Exhibit 2 . 4 . Simultaneously, and as part of the subject transaction, the developer executed and delivered to the City a "Deed of Fagade Easement, " giving the City the right to impose certain restrictions on any I the right to impose certain restrictions on any proposed changes of the building faQade, to maintain the historic countenance of the building. A copy of the said deed of fagade easement is annexed hereto as Exhibit 3. 5. On or about June 20, 1997 - some four and one-half months later, and without any intervening vote of the City Council, the then-incumbent Mayor, purportedly acting on behalf of the City, executed and delivered to the developer an "Amendment to the Deed of Fagade Easement, " which reduced the City' s power to control any proposed changes in the building' s facade. The amendment purported to remove the building' s windows from the City' s jurisdiction. A copy of the said amendment is annexed hereto as Exhibit 4 . 6. Subsequently, it came to the Commission' s attention that Mr. Singleton had converted the subject buildings to residential condominiums and was negotiating with one or more potential buyers to sell the four (4) units therein without having performed the work called for under the "Deed of Fagade Easement." On or about December 18, 1997, the Commission sent its first Notice of Violation to Mr. Singleton regarding the non-conforming work that he was doing on the windows of the building. 7 . By letter dated February 12, 1998, acting on behalf of the Salem Historical Commission, I requested an opinion from the City Solicitor as to whether the prior Mayor had the legal authority to execute the said "Amendment to the Deed of FaQade Easement, " without the prior approval of the City Council . A copy of my letter to the City Solicitor is annexed hereto as Exhibit 5. 8 . In a memorandum dated February 19, 1998, the City Solicitor advised that he did not believe that the prior Mayor had the legal authority to execute the said "Amendment to the Deed of Fagade Easement, " without the prior approval of the City Council, and that, therefore, the said amendment was unenforceable. A copy of the City Solicitor' s said memorandum is annexed hereto as Exhibit 6. 2 9. Under cover of a letter dated March 18, 1998, which I have seen and discussed with the City Solicitor, the City Solicitor forwarded a copy of his said memorandum to the City Building Inspector, the said letter also requested that the Building Inspector revoke the occupancy permits pertaining to the units of the subject building that were not occupied. A copy of the said letter is annexed hereto as Exhibit 7 . 10. On or about March 18, 1998, the Building Inspector subsequently revoked the occupancy permits pertaining to all units of the subject building and so notified the building' s owner. A copy of the Building' s Notice of Revocation is annexed hereto as Exhibit 8. 11 . On or about March 18, 1998, at a duly called meeting of the Historical Commission, at which Mr. Singleton' s attorney was present, the Commission voted to file a Clerk' s Certificate of Violation pertaining to the subject premises . 12 . On or about March 19, 1998, I, in my capacity as Clerk of the Salem Historical Commission, issued and recorded in the Essex South District Registry of Deeds, a Certificate of Violation pertaining to the subject premises. The Certificate of Violation was issued as a result of Mr. Singleton' s continued failure to perform the work called for in the "Deed of Fagade Easement." A copy of the said Certificate of Violation is annexed hereto as Exhibit 9. 13. Meanwhile, Mr. Singleton, by and through his attorney, was negotiating with the Salem Historical Commission and with the City Solicitor in an effort to arrive at a settlement which would permit him to sell the subject four condominium units, while at the same time satisfying the concerns of the Salem Historical = Commission. As a result of the said negotiations, the aforesaid March 18, 1998 Historical Commission meeting, a provisional settlement was reached under which the Building Inspector would reinstate the occupancy permits pertaining to Units 1 and 3, thereby allowing Mr. Singleton to close on Unit 3 (Unit 1 was already occupied and thus was not at issue) , but continue to withhold occupancy permits for Units 2 and 4, pending final resolution of the outstanding issues between Mr. Singleton and the Salem Historical 3 Commission. It was expressly made clear to, and understood by, Mr. Singleton that no occupancy permits would be issued for Units 2 and 4 - and therefore no closings would occur as to those units - unless and until the outstanding issues between Mr. Singleton and the Salem Historical Commission were finally resolved. By letter dated March 19, 1998, I informed the Building Inspector of the said provisional settlement, and requested that he act accordingly. A copy of my said letter is annexed hereto as Exhibit 10. 14 . On or about March 19, 1998, the building Inspector reinstated the occupancy permits for Units 1 and 3 . A copy of the notice of reinstatement is annexed hereto as Exhibit 11 . 15. On or about 23, 1998, the Salem Historical Commission issued and recorded in the Essex South District Registry of Deeds a Partial Release of its interest in the subject premises, said partial release pertaining to Unit 3 (a similar partial release had previously been given as to Unit 1 . ) A copy of said partial release is annexed hereto as Exhibit 12. 16. On or about March 23, 1998, the City of Salem issued and recorded in the Essex South District Registry of Deeds a Partial Release of its interest in the subject premises, said partial release pertaining to Unit 3 ( a similar partial release had previously been given as to Unit 1) . A copy of the said partial release is annexed hereto as Exhibit 13. 17 . On or about March 26, 1998, Mr. Singleton' s attorney sent a written memorandum to the City Solicitor notifying the City for the first time that closings had been scheduled on Units 2 and 4 and that, therefore, "I need a Certificate of Occupancy and (a) - Smoke Detector Certificate. " The original closing date for Unit 2 was give as that ever day March 26, 1998 . In the body of the memorandum, Mr. Singleton's attorney attempted to dispute the City Solicitor' s legal opinion that the amendment to the original agreement between the City and the developer was unauthorized. However, nothing in the memorandum even mentioned the subsequent agreement of the parties, arrived at on or about March 18, 1998, described hereinabove in paragraph 13, wherein it was expressly 4 understood and agreed by Mr. Singleton that no occupancy permits would be issued for Units 2 and 4 and therefore no closings could occur as to those units - unless and until the outstanding issue between Mr. Singleton and the Salem Historical Commission were finally resolved. A copy of said memorandum is annexed hereto as Exhibit 14 . 18 . On or about April 1998, at a duly called meeting of the Historical Commission, at which Mr. Singleton' s attorney was present, the concept of releasing the remaining two units in exchange for an escrow of funds to guarantee performance of the work was discussed. 19. On or about April 4, 1998, the members of the Historical Commission made a site visit to the subject property. At that time, the Commission estimated that it would cost approximately $100, 000 . 00 to perform all of the work necessary to bring the facade of the building into compliance. 20. On or about April 6, 1998, at a duly called meeting of the Salem Historical Commission, Mr. Singleton and his attorney (both were present) proposed that the parties enter into an escrow agreement, whereby the Commission would permit the closing on Units 2 and 4 to go forward, in return for which Mr. Singleton would escrow the sum of $100, 000. 00 to guarantee performance of the work required by the Commission. $100, 000 . 00 was the Commission' s estimate of the amount that it would cost to bring the building into compliance with the Commission' s standards. The Commission agreed in principle with the escrow arrangement and the Vice Chair circulated a draft. 21 . The proposed escrow agreement was never consummated, however, due to a disagreement between- the parties - over paragraph 15 therein. Paragraph 15 provides that: In consideration of the Commission' s willingness to entertain the within escrow, thereby allowing East Branch to consummate the sales of Units 2 and 4 at said Bentley Condominium prior to the satisfactory completion of all required work at said property including the correcting of all existing violations, East Branch, the Winers, and Ms. Perkins hereby 5 irrevocably waive their respective rights to appeal any aspect of this Escrow Agreement, including (without limitation) the transfer documents and/or agreements conferring jurisdiction over said property on the Commission, the Commission' s determination of the existing violations, and the nature and terms of this Escrow Agreement, including (without limitation) the scope of the required work. 22 . It was Mr. Singleton' s position that this paragraph be deleted. It was the Commission's position that this paragraph was the sine qua non of the settlement that a "settlement" that in essence gave Mr. Singleton everything that he needed immediately, all the while leaving him free to litigate all of the issues that that had given rise to controversy in the first place, was in reality no"settlement" at all ! Consequently, the parties never executed this agreement, and Mr. Singleton never deposited the money in escrow. 23 .
