RE: Nathaniel Bowditch House

Historic Salem, Inc. ("HSI") would like to take possession of the Nathaniel Bowditch
House on North Street as soon as the City of Salem (the "City") is ready to move its
offices out of the property. To give you some background, HSI and the City executed an
agreement dated February 1 , 1946 (the "Agreement", a copy is attached) whereby HSI
agreed to acquire and convey two historic buildings, the Cook House (generally known as
the "Bowditch House") and the Witch House, to the City. The City, in turn, acquired the
land on North Street, and the two buildings were moved to their present location sometime
between 1946 and 1948. The Agreement was signed by Salem Mayor Edward Coffey and
George Benson, the president of HSI. The Agreement was approved and signed by "J.
Kinsella, City Solicitor."
The Agreement, as it pertains to the Bowditch House, provides that the City shall
maintain the property, in return for which the City may use the house to house its Board of
Park Commissioners. Paragraph 8 of the agreement provides that the City may use the
house for this purpose until HSI is ready to develop the house as a Navigation and
Bowditch Museum. Thereafter, the City must maintain the house as a museum, and make
the museum available to the public, upon such terms as the City and HSI shall from time to
time mutually agree.
HSI understands that the City is trying to,consolidate its financial commitments,
and, in particular, that the City would like`to.b.ring to an end its responsibility for
maintaining the Bowditch House. HSI is exploring the possibility of developing the
Bowditch House for use as a Navigation and Bowditch Museum, as well as to house HSI's
own offices. We appreciate that the City has little interest in expanding its current
responsibilities to include the cost of maintaining the Bowditch House as a museum that

will, in all likelihood, have very limited commercial value. Moreover, we believe that it
may be easier to pursue the development of such a museum under HSI's auspices rather
than the City's.
For these reasons, HSI would like to discuss the following proposal:
1 . HSI shall assume responsibility for maintaining the Bowditch House;
2. HSI will release the City from all of its responsibilities relating to the
Bowditch House under the Agreement;
3. The City will transfer ownership and possession of the Bowditch House (both
the house and the underlying land) to HSI.
The transfer of ownership would not take place until the City has found suitable
replacement space for its various offices that are currently using the Bowditch House, it
being understood by both the City and HSI, however, that this transfer will in all events
occur within 3 years from the present date.
I would like to discuss the above proposal with you at your earliest convenience.
Larry Spang and Carter Vinson (both members of HSI's Board of Directors) will also be
involved in this matter.

Dear Jim:
Just a reminder that this would be the appropriate time to
replace the boiler at 9 North Street. As we discussed last winter,
the present boiler simply will not make it through another heating
season.
You mentioned paying for the boiler through revenue from the
Witch House. I have waited until now to bring this up again to allow
you time to accumulate the necessary funds.
As previously sugguested, I would recommend converting to gas
heat, I have found this to be the most cost effective route to go. Mr.
LeClerc or Mr. Ross, the Plumbing & Gas Inspectors, would be more than
happy to answer any questions you might have.

On the morning of February 17, 1987, following a long holiday
weekend, I received a call from a Park Department employee informing
me the heat at the Park Department building, located a 9 North Street,
had gone off sometime over the weekend and that pipes and radiators
had burst causing considerable water damage. Although this building
is maintained by the Park Department, in order to prevent further damage,
- I contacted a number of plumbing contractors in an attempt to get one
to respond to the problem. I finally was able to contact E. Amanti &
Sons of Salem who agreed to assist the City.
It has"recently been brought to my attention that in our haste to
prevent further damage to the building and to allow the building to remain
open to the public neither Park Superintendent Foley nor myself requested
the necessary emergency waiver.
I am therefore requesting a waiver be granted in order to pay Mr.
Amanti for his services.
