Preamble The Salem Redevelopment Authority encourages the development of outdoor cafes within the Heritage Plaza East and Heritage Plaza West Urban Renewal Districts to enhance the visitor and shopper experience in Salem and to assist in improving the economic viability of downtown businesses. This Permit process is designed to ensure that Salem's unique architectural and cultural features are protected as outdoor cafe's develop and to provide a consistent set of conditions for all outdoor cafe's. As such,the SRA shall allow outdoor cafe uses within the Urban Renewal District,subject to the following conditions: 1. All tables and chairs,as well as the surrounding area,must be maintained in a clean and safe manner. 2. Restaurants must provide to the SRA,proof of liability insurance which covers the outside seating areas. 1 Restaurants must receive approval for outdoor tables from the Salem Licensing Board and the Board of Health. f ( 4. The design of all outdoor tables and chairs,and trash receptacles,must be reviewed by the Design Review Board and approved by the SRA. 5. Seating areas must be of a size large enough to accommodate safe, easy and uninterrupted pedestrian travel, as well as access to and from tables. All outdoor cafe permits will be issued to restaurants for a one season trial period. During this time period restaurants will be closely monitored by all appropriate City departments and agencies to ensure that they comply with the provisions ofthis policy. Following completion of a satisfactory outdoor season,the SRA shall issue an outdoor cafe permit to the restaurant annually. 8. Outdoor cafe permits may be revoked by the SRA for non-compliance with the provisions of this policy,at any time. Landlord is the owner of land and improvements commonly known as the Salem Market Place. Landlord makes available for lease Rental Unit Number#5 (approximately 357 square feet). (see attached Exhibit A,Diagram of Market Place). Landlord desires to lease the Leased Premises to Tenant, and Tenant desires to lease the Leased Premises from Landlord for the term, at the rental and upon the covenants, conditions and provisions herein set forth. THEREFORE, in consideration of the mutual promises herein contained and other good and valuable consideration, receipt of which is hereby acknowledged, it is agreed: 1. Term. Landlord hereby leases the Leased Premises to Tenant, and Tenant hereby leases the same from Landlord, for an "Initial Term"beginning Augustl, 1999 and ending July 31, 2004. 2. Option to Renew. Provided Tenant is not in default under any of the terms and conditions of this Lease, and subject to the approval of the Landlord, Tenant shall have the option to renew this lease for up to five, one-year periods, commencing upon the expiration of the original term thereof,upon the same terms, covenants and conditions as set for the original term except for rent which shall be adjusted, if at all, to equal same rate per square foot as other(nonanchor) units. 3. Rent. Tenant shall pay to Landlord during Year One of Term rent of Six dollars ($6.00)per square foot per year for the first year, during Year Two Seven Dollars ($7.00)per square foot, and Year(s) Three,Four and Five Eight Dollars ($8.00)per square foot. Rent shall be paid on the first day of each month,payable to the "City of Salem", One Salem Green(2d Fl.), Salem,MA 01970, to the attention of Lynne Barrett, Market&Tourist Commission. Tenant shall also be responsible for its pro-rata share of the taxes as billed by the Salem Board of Assessors. 4. Use. The space shall be used solely to operate the Joe's Grill & Cafe. There shall be no overnight or residential component of this permitted use. During the Market Place Season(May through October), Tenant shall continuously use and occupy the premises only for the purpose stated and no other purpose whatsoever. During the Market Place Season,Tenant shall be open at least six (6) days per week from 10:00 a.m. until 6:00 p.m., at least. Delivery/Parking. Tenant shall not park anywhere in the Salem Market Place area except for those areas specifically designated for same. Any deliveries shall only be made at specifically designated areas adjacent to the Salem Market Place. (See Exhibit A). R 5. Sublease and Assignment. ' Tenant shall not have the right without Landlord's consent,to assign this Lease, in whole or in part, without Landlord's consent, such consent not to be unreasonably withheld or delayed. 6. Condition of Premises: Repairs & Maintenance. Condition Tenant accepts the leased premises in the condition in which they are on the date of the commencement of the term hereof, acknowledging that it has inspected the leased premises and that they are in good order and condition and sufficient for the uses intended by the Tenant. The Landlord has made and the Tenant has relied on no representations or warranties, express or implied, as to the condition of or the rentability for a particular use of the leased premises, except as may be set forth herein. Repairs The Tenant shall make all necessary repairs to the building so as to keep the building in the same condition in which they are now or may hereafter be put, reasonable wear and tear, damage by fire or other casualty, acts of God, acts of war only excepted. Tenant shall maintain,repair and renew as necessary all mechanical and utility systems on the leased premises so as to keep them in good and safe operating condition in all respects,provided that the Landlord shall be responsible for making major structural repairs and replacements to the foundation, walls and roof of the building of the leased premises. The cost of such major structural repairs and replacements will be charged to the Tenant as additional rent if they are necessitated by the fault or negligence of the Tenant, its employees, agents, servants or visitors. Tenant is responsible for all ordinary repairs within the unit comprising the premises and which are accessible to the Tenant without damage to walls, floors or ceilings. Tenant is specifically required to make all repairs to windows, plate glass, doors and any fixtures or appurtenances composed of glass, unless the same shall be damaged by fire. For the purposes of this Lease, the term"reasonable wear and tear"constitutes that normal, gradual deterioration which occurs due to aging and ordinary use of the premises despite reasonable and timely maintenance and repair but in no event shall"reasonable wear and tear" excuse the Tenant from its duty to keep the premises in good maintenance and repair or otherwise usable, serviceable and tenantable. Cleanliness Tenant shall keep the sidewalks, entrances,passageways and area adjoining the leased premises (see attached Exhibit A, Diagram of Market Place) in a clean and orderly condition, free from rubbish, obstructions, snow and ice. Such duty shall include, at a minimal, daily sweeping in the a.m. and washing(hosing down)in the p.m. Miscellaneous Maintenance& Conditions • Tenant shall not store any supplies or other merchandise in public view, including window sills. • Tenant shall not be allowed to place any fliers or other materials on the windows without the express,written consent of the Market and Tourist Commission. • Tenant shall wash all windows (including doors) at least twice per season. • Landlord will provide unit with window flower boxes. During the market season, Tenant shall plant and maintain flowers in good condition. 2 Yield in Good Repair At the expiration or other termination of the lease, the Tenant will yield up the premises in good repair, order and condition,reasonable wear and tear, damage by fire, act of God, damage caused by acts or omissions of the Landlord and delays beyond Tenant's control excepted. 7. Alterations. Any alterations of the premises by the Tenant must first be approved by the Salem Market and Tourist Commission. Any such approval of alterations by Commission is contingent upon appropriate approval from Building Inspector and other department with jurisdiction over same. Any alterations made without approval will be restored at the sole expense of the Tenant at the request of the Landlord. 8. Inspections. Landlord shall have reasonable access to premises during term for purposes of enforcing the lease agreement and any other pertinent statute, code or ordinance. At a minimal, Landlord shall inspect said premises twice during the Market Place Season. 9. Insurance. A. If the Leased Premises is damaged by fire or other casualty resulting from any act or negligence of Tenant or any of Tenant's agents, employees or invitees, rent shall not be diminished or abated while such damages are under repair, and Tenant shall be responsible for the costs of repair. B. Tenant shall be responsible, at its expense, for fire and extended coverage insurance on all of its personal property, including removable trade fixtures, located in the Leased Premises. C. Tenant shall, at its own expense,maintain a policy or policies of comprehensive general liability insurance with respect to the respective activities of in the Building with the premiums thereon fully paid on or before due date, issued by and binding upon some insurance company approved by Landlord, such insurance to afford minimum protection of not less than$1,000,000 combined single limit coverage of bodily injury,property damage or combination thereof. Landlord shall be listed as an additional insured on Tenant's policy or policies of comprehensive general liability insurance, and Tenant shall provide Landlord(City of Salem)with current Certificates of Insurance evidencing Tenant's compliance with this Paragraph by mailing to Purchasing Officer, One Salem Green, Salem, MA 01970. Tenant shall obtain the agreement of Tenant's insurers to notify Landlord that a policy is due to expire at least thirty(30) days prior to such expiration. Landlord shall not be required to maintain insurance against thefts within the Leased Premises or the Building. 10. Indemnification. Tenant shall at all times relieve, indemnify,protect and save harmless the Landlord and each of its boards, officers and employees from any and all claims and liability for death of and injury to persons or damage to property that may arise from or be caused by the operation, maintenance or occupation of the aforesaid premises by the Tenant under the provisions of this Lease or by the negligence of the Tenant, its agents, officers or employees. 11. Utilities. Tenant shall be responsible for payment of all utilities at the premises, including but not limited to, water,heat and electricity. Landlord is not responsible for providing heat to the Market Place buildings. 3 12. Signage. q Tenant shall have the right to place on the outside fagade of Leased Premises, at locations selected by Tenant and approved by the Landlord, appropriate signage that is permitted by applicable zoning ordinances and private restrictions. Landlord may refuse consent to any proposed signage that is inconsistent with or inappropriate to the Leased Premises. Tenant shall repair all damage to the Leased Premises resulting from the removal of signs installed by Tenant. 13. Default. If default shall at any time be made by Tenant in the payment of rent or utilities when due to Landlord as herein provided, and if said default shall continue for fifteen (15) days after written notice thereof shall have been given to Tenant by Landlord, or if default shall be made in any of the other covenants or conditions to be kept, observed and performed by Tenant, and such default shall continue for thirty(30) days after notice thereof in writing to Tenant by Landlord without correction thereof then having been commenced and thereafter diligently prosecuted,Landlord may declare the term of this Lease ended and terminated by giving Tenant written notice of such intention, and if possession of the Leased Premises is not surrendered, Landlord may reenter said premises. Landlord shall have, in addition to the remedy above provided, any other right or remedy available to Landlord on account of any Tenant default, either in law or equity. Landlord shall use reasonable efforts to mitigate its damages. 14. Quiet Possession. Landlord covenants and warrants that upon performance by Tenant of its obligations hereunder, Landlord will keep and maintain Tenant in exclusive, quiet,peaceable and undisturbed and uninterrupted possession of the Leased Premises during the term of this Lease. 15. Condemnation. If any legally, constituted authority condemns the Building or such part thereof which shall make the Leased Premises unsuitable for leasing, this Lease shall cease when the public authority takes possession. Such termination shall be without prejudice to the rights of either party to recover compensation from the condemning authority for any loss or damage caused by the condemnation. Neither party shall have any rights in or to any award made to the other by the condemning authority. 16. Notice. Waiver. i No waiver of any default of Landlord or Tenant hereunder shall be implied from any omission to take any action on account of such default if such default persists or is repeated, and no express waiver shall affect any default other than the default specified in the express waiver and that only for the time and to the extent therein stated. One or more waivers by Landlord or Tenant shall not be construed as a waiver of a subsequent breach of the same covenant,term or condition. 18. Headings. The headings used in this Lease are for convenience of the parties only and shall not be considered in interpreting the meaning of any provision of this Lease. 19. Consent. Landlord shall not unreasonably withhold or delay its consent with respect to any matter for which Landlord's consent is required or desirable under this Lease. 20. Compliance with Law. Tenant shall comply with all laws, orders,ordinances and other public requiremis now or hereafter pertaining to Tenant's use of the Leased Premises. Landlord shall comply wi ' ^laws, orders, ordinances and other public requirements now or hereafter affecting the Leased 'remises. 21. Participation with the Market and Tourist Commission. Annual Meeting Tenant shall attend, at a minimum, one meeting of the Market and Tourist Commission for the purpose of discussing tenancy at Salem Market Place. Market and Tourist Commission will notify one tenant from the Market Place to attend each monthly meeting during the season. Tenants have the option of presenting an attendance schedule to the Commission for its approval to accomplish same. The Commission encourages and welcomes Tenant to be present for all meetings concerning issues at the Market Place. Marketing& Special Events at the Market Place Tenant shall participate in developing, organizing and marketing at least one special event per season for the Market Place. Any special events require written approval of the Commission. If approved, the Commission may also provide financial support for marketing and promotional efforts. 22. Termination of the Lease. Landlord shall have the right to terminate,within thirty (30) days of written notice, any lease if any terms of said lease have been breached by the Tenant. If the Tenant shall close its business as stated in paragraph four, the lease shall revert back to the Landlord. 23. Final Agreement. This Agreement terminates and supersedes all prior understandings or agreements on the subject matter hereof. Since the Design Review Board is not scheduled to meet until July &, and their recommendations will not be finalized until the SBA's July 12a' meeting, it was decided to allow Mr. Leahy to provide outside seating for his customers with the understanding that his pending application could be altered or denied. The main fagade sign would be wood carved. The parking entrance sign would be aluminum with vinyl letters and the rear sign would be lexan with vinyl letters. Other miscellaneous signs were submitted such as parking, handicap and traffic control signs. DRB RECOMMENDATION: The DRB approved the signs as submitted with the condition that the signs are compliant with ADA regulations and the Mass. Building Code, and that the rear illuminated sign not be lit after 10:00 p.m. Army Barracks—234 Essex Street—Awning Application Ms. Holly Drewry appeared before the Board with an application to erect three awnings on the Washington Street storefront to match the previously approved awnings on the Essex Street fagade. The applicant also requested permission to place an army man logo on the side of the awning at each end. DRB RECOMMENDATION: The DRB approved the awning with the store name to be placed on the first and third awning. The Board required that the side logo be submitted for approval. Century 21 Real Estate—60 Washington Street—Awning Violation SRA staff reported that a Notice of Violation letter was sent to Century 21 on June 5, 2000. An application was returned and a confirmation letter to attend DRB meeting was sent on June 21, 2000. The applicant was not present at the July 6, 2000 meeting. Bangkok Paradise—90 Washington Street—Awning Violation SRA staff reported that a Notice of Violation letter was sent to Bangkok Paradise on June 5, 2000. Ms. Mary Wanapha appeared before the Board to request approval for the existing awnings. DRB RECOMMENDATION: DRB recommended that the two awnings be allowed to remain with the condition that the yellow awning is lowered to match the height of the blue awning. Century Bank- 37 Central Street— Sign Violation SRA staff reported that a Notice of Violation letter was sent to Century Bank on June 5, 2000. Mr. Robert Covino from Sign Salem Inc., presented an application for approval of face changes to Century bank signs that have a red background and white lettering. There are two building signs and two directional signs. He also requested approval for the vinyl-applied strips to the windows, as shown in the photographs. DRB RECOMMENDATION: Approve as presented. Lobster Shanty—25 Front Street—TV Dish Antenna Mr. William Kelley, owner of the Lobster Shanty has requested approval to remove an existing roof antenna and install a TV Dish. The dish is 18" in diameter and would be placed on an extension pole attached to the north side of the building. Mr. Kelley also informed the Board that he understands that he has to apply for an outdoor cafe permit, and will make application at a latter date. DRB RECOMMENDATION: Requested a site visit. Result of site visit: Approve application to erect a free standing pole in the rear of the structure in a position that is the least visible with a height not to exceed 10 feet. Pole location and height will be confirmed with SRA staff when satellite company tests signal clearances. Kalifornia Cafe—24 New Derby Street—Sign& Cafe Annlication Mr. Scott Leahy appeared before the Board with an application to erect a 4' diameter, round sign on the New Derby street side of his building. Mr. Leahy informed the Board that the sign has been erected, and requested it be allowed to remain. Mr. Leahy explained that he has also seeking approval for his outside seating. SRA staff informed the Board that the Market& Tourist Commission also has jurisdiction in this area, and they requested that the DRB be made aware of their concern for public access along the walkway. DRB RECOMMENDATION: Requested a site visit. Results of site visit: The Board allowed the sign to remain. They recommended that the lattice work barriers be removed and the existing planter/rope scheme be continued. Luster Executive Director SALEM REDEVELOPMENT AUTHORITY OUTDOOR CAFE PERMIT Preamble The Salem Redevelopment Authority encourages the development of outdoor cafes within the Heritage Plaza East and Heritage Plaza West Urban Renewal Districts to enhance the visitor and shopper experience in Salem and to assist in improving the economic viability of downtown businesses. This Permit process is designed to ensure that Salem's unique architectural and cultural features are protected as outdoor cafe's develop and to provide a consistent set of conditions for all outdoor cafe's. As such,the SRA shall allow outdoor cafe uses within the Urban Renewal District, subject to the following conditions: 1. All tables and chairs, as well as the surrounding area,must be maintained in a clean and safe manner. 2. Restaurants must provide to the SRA,proof of liability insurance which covers the outside seating areas. 3. Restaurants must receive approval for outdoor tables from the Salem Licensing Board and the Board of Health. 4.� The design of all outdoor tables and chairs, and trash receptacles, must be reviewed by the Design Review Board and approved by the SRA. ,L. 5. Seating areas must be of a size large enough to accommodate safe, easy and uninterrupted pedestrian travel, as well as access to and from tables. Since the size of tables and seating areas may vary,the SRA reserves the right to determine whether or not adequate space exists for the creation of an outdoor cafe. All tables and chairs must be safely secured in a vandal proof manner or must be brought inside every night. The storage or security system must be approved by the SRA. 7. All outdoor cafe permits will be issued to restaurants for a one season trial period. During this time period restaurants will be closely monitored by all appropriate City departments and agencies to ensure that they comply with the provisions of this policy. Following completion of a satisfactory outdoor season,the SRA shall issue an outdoor cafe permit to the restaurant annually. 8. Outdoor cafe permits may"be revoked by the SRA for non-compliance with the provisions of this policy, at any time.
