TAX INCREMENT FINANCING AGREEMENT
CITY OF SALEM, MASSACHUSETTS
and
DOYLE SAILMAKERS, INC.
This agreement is made this 4 day of March,2007, by and between the CITY OF
SALEM, a municipal corporation duly organized under the laws of the Commonwealth of
Massachusetts,having a principal place of business at City Hall, 93 Washington Street, Salem,
Massachusetts, 01970, acting through the Mayor,Kimberley Driscoll, (hereinafter called "the
CITY"), and DOYLE SAILMAKERS, a Massachusetts corporation,with a principal place of
business at 89 Front Street,Marblehead, MA 01945 (hereinafter called "the COMPANY"). This
Agreement will take effect as of July 1,2007 (Fiscal Year 2008).
WHEREAS,the COMPANY wishes to locate a manufacturing business at 96 Swampscott Road in
Salem; and
WHEREAS,the CITY is willing to grant tax concessions in return for guarantee of the
renovation of this distressed property and the creation of employment
opportunities for local workers; and
WHEREAS,the Salem City Council resolved on March 22 ,2007,to allow the use of Tax
Increment Financing as a tool to encourage economic development within the Salem
Economic Opportunity Area; and
WHEREAS,the Salem City Council resolved on March M , 2007 to endorse the Tax
Increment Financing Plan negotiated by the CITY and the COMPANY.
NOW, THEREFORE,in consideration of the mutual promises contained herein,the parties do
mutually agree as follows:
A. THE COMPANY'S OBLIGATIONS
1. The COMPANY shall renovate Unit 8 at 96 Swampscott Road in Salem. "The
FACILITY" as used herein means 96 Swampscott Road,Unit# 8 containing 31,366
square feet to be renovated;that is improvements to the unimproved unit as of the date
of this agreement.
2. During the life of this agreement, if the COMPANY decides to sell the FACILITY or
the business or to otherwise transfer control of the FACILITY or business and/or
operations thereof,the COMPANY shall give the CITY at least three months notice of
said sale or transfer. Said notice shall be given by certified mail, return receipt requested,
to the Mayor, City Hall, 93 Washington Street, Salem, Massachusetts, 01970.
1Q THE CITY'S OBLIGATIONS
1. The CITY shall grant a tax increment financing exemption to the COMPANY in
accordance with Massachusetts General Laws, Chapter A, Section 3E, Chapter 40,
Section 59, and Chapter 59, Section 5. Said exemption shall be granted on the
improvements to the FACILITY. Said exemption shall be valid for a period of five (5)
years, beginning with fiscal year 2008 (duly 1,2007) and ending with fiscal year 2012.
During each year of this agreement,the COMPANY will pay taxes based on the
apportioned value of the current value for 96 Swampscott Road, on the unimproved
unit owned by-the COMPANY, as of the date of this agreement (the base tax bill) and
on that portion of the value of the FACILITY which is not exempt under the
agreement.
2. The exemption schedule on the value of the FACILITY works as follows: for the first
year,the COMPANY will pay only the base tax bill and will be granted an exemption of
100% of the full value of the FACILITY. The full value of improvements to the
FACILITY is hereinafter called "the INCREMENT". In year two,the COMPANY will
pay taxes on 20% of the full value of the INCREMENT,plus the base tax bill. In year
three,the COMPANY will pay taxes on 40% of the full value of the INCREMENT,
plus the base tax bill. In year four,the COMPANY will pay taxes on 60% of the
INCREMENT,plus the base tax bill. In year five,the COMPANY will pay taxes on
80% of the INCREMENT,plus the base tax bill. In year six,the COMPANY will pay
taxes on the full value of the FACILITY.
C. OTHER CONSIDERATIONS
1. This Tax Increment Financing Agreement shall be binding on all subsequent owners
of the property. The City of Salem reserves the right to review and renegotiate the Tax
Increment Financing Agreement if the business activity ceases to be fully operational
during the life of the Tax Increment Financing Agreement.
2. If the COMPANY decides to expand the facility at anytime during the life of the Tax
Increment Financing Agreement,the CITY and the COMPANY may renegotiate the
Tax Increment Financing Agreement to exempt all or part of the value of the
expansion from property taxes. The exact amount of that exemption will be detern fined
at the time of expansion.

I am writing to ask your support for our application for assistance through a Tax Increment
Financing (TIF) Agreement. After 25 years in our current location in Marblehead,Doyle
Sailmakers (www.doylesailmakers.com) is moving its operations to Salem Commerce Park at
96 Swampscott Road in Salem. This move represents an expansion of our business that
involves a $2.4 million investment and an anticipated job growth of 15 full-time employees
over the next several years. Due to the large investment and degree of risk,we are looking
for assistance from the City of Salem through a TIF Agreement.
Doyle Sailmakers, Inc. is a manufacturer of sails, established in 1982 in Marblehead, where
the company leased space in the same building for 25 years. As business grew, an additional
space was leased in Marblehead. Doyle Sailmakers is in the business of servicing sails and
producing new sails for boats from 6' to 300'. Doyle is one of the most respected names in
sailmaking in the world with over fifty affiliated lofts in over twenty different countries.
Currently, Doyle has sails on the two largest privately owned sailing yachts in the world,
Mirabella V and the Maltese Falcon. Both of these projects bring a lot of visibility to the
company. Over 60% of Doyle Sailmakers' business is for international export. We also
produce most of the sails worldwide for the women's keelboat used in the Olympics.
Doyle is a very healthy business that reached a crossroad. With plenty of worldwide demand
for its products but without the ability to produce competitively in its physical plant,Doyle
was faced with a decision. Doyle Sailmakers had to either morph into a four person sales
office that would have its products manufactured offshore or modernize its manufacturing
operation.
The former was actually the path we were headed down until, due to our reputation for
engineering excellence in sailmaking,we were approached by two airship companies asking
us to construct lighter than air vessels for them. We accepted two such contracts.The first
was assembled offsite. For future vessels we have incorporated into our new facility, a
specialized clean room that such construction demands. We have also invested$150,000 in
specialized equipment for the manufacture of these vessels.

The airship business in addition to the increased efficiency of the new manufacturing facility
where all our sailmaking operations will be consolidated under one roof,combined with the
current weak dollar,will hopefully allow Doyle Sailmakers to continue to manufacture its
premium sail products as well as airships in Salem,MA.
Doyle had 31 employees in Marblehead in two locations. With our expanded operations,
rather than release employees,we plan to add 15 full-time jobs in the next three years.
Moving to Salem is an excellent opportunity for us and we believe it will also offer a number
of benefits to the city. One of our motivations for choosing Salem is an anticipated worker
source.As there is no preparation in any school system or work experience for sailmaking or
airship manufacturing,we will train entry-level employees. In addition to entry-level jobs we
will need to add to our engineering staff. Our management staff is mostly made up of people
who have excelled in sailmaking and taken on increased responsibility. We offer a path
forward for talented individuals who may not have had an education beyond high school.
It should be important to the state of Massachusetts as well as the municipality of Salem to
both attract business that bring in outside revenue as well as retain manufacturing. Doyle
Sailmakers has made a commitment to expand its manufacturing business and provide more
jobs. We are expanding into the airship field because we believe that is one business that will
not go offshore and is a source for entry-level jobs with training.
As a historical note of interest to the City of Salem, the first sail loft in America was located
on Derby Wharf. Doyle Sailmakers is seeking to restore a tradition of sailmaking to the city.
Doyle is an internationally respected company that will bring visibility to the City of Salem.
Hotels,restaurants and other retail businesses will be enhanced by Doyle being located in
Salem as our high-end clientele will find the charm of Salem irresistible.
The move to Salem as well as an expanded manufacturing operation when so much of the
conventional wisdom says to outsource, is not without risk. I hope that you will give our
application for a TIF a positive vote. This relief will help us as we settle our company in

To follow-up on our meeting yesterday, I am attaching a spreadsheet with the information on Doyle Sailmakers. I used a
standard chart that we've used on previous TIF Agreements and filled in the information on the base year plus the first six
years (5 years under agreement, plus the sixth year at full tax). If you want me to do a few different scenarios based on
percentages, let me know and I'll plug in the numbers. In looking over previous TIF Agreements, we don't normally add
an inflation increase on the property value but I did add it into this spreadsheet.
I put a call into Doyle Sailmakers to find out more about their financing gap. They don't anticipate having anything for me
on this until next week.
I also put a call and email into Groom Construction asking them to get a Letter of Intent over to your office ASAP. I gave
them Doyle's letter as an example. I am tentatively scheduled to meet with Groom and Peter Milano on Tuesday,
November 21. I did talk with MassDevelopment about financing the project. Ken Goode said that when I referred him to
Groom in the spring, he did talk with their bank(Danvers Savings) and Tom Groom, but they were not eligible for bond
financing nor any low-cost financing. Ken said that at this point the only other program they might be able to use would
be a guaranty with the bank which could lower their interest rate and he felt that Danvers Savings Bank would be in touch
with Ken if he thought it was a good match. Danvers Savings Bank has pretty much closed the majority of the deals with
MassDevelopment in our past few projects.

definitely qualify for the state investment tax credit and he is completely unfamiliar with this benefit. So, anything
you could do to educate him and facilitate the completion of the certified project applicaiton, etc. would be helpful.

much as we can to help. Since our meeting, I have asked Tania Hartford, the City's Economic Development
Planner, to reach out to the state coordinator that we work with on the Tax Increment Financing Program and to
put you in touch with him regarding program benefits. I have attached a link to their state web site that includes
some of the application materials and a description of economic development assistance programs. If it doesn't
all read easy, don't worry we can work with you on completing application materials and moving things forward
through the process. Beyond familiarizing yourself with the programs (including the state investment tax credit),
we need to discuss in more detail the specific relief requested/needed. I have asked the City Assessor to give me
an idea of the likely baseline tax bill so we will have a starting point and then you and I should talk further on exact
relief numbers. Any relieve will require local city council approval (that body meets twice per month) and approval
of the state Economic Assistance Coordinating Council (usually just a confirmation of local approval).
Let's plan to connect next week either via email or phone so we can chart a timeline and discuss tax relief details.
Again, we welcome Doyle to Salem and want to make your move here a win-win situation.

Doyle Sailmakers, Inc. is a manufacturer of sails, established in 1982 by Robert Doyle in
Marblehead Massachusetts where the company has leased space in the same building on
the third floor at 89 Front Street for 25 years. As the business grew an additional space
was leased at 16 Lincoln Avenue, also in Marblehead.
Doyle Sailmakers is in the business of servicing sails and producing new sails for boats
from 6' to 300'. Doyle is one of the most respected names in sailmaking in the world
with over fifty affiliated lofts in over twenty different countries. Currently Doyle has
sails on the two largest privately owned sailing yachts in the world that brings a lot of
visibility to the company.
With combined loft space of approximately 19,000 square feet between the two leased
buildings Doyle has been looking to expand for the past five years. Parking in down
town Marblehead is limited. Having manufacturing space on a third floor is not very
convenient. Having two different facilities in the same town is not cost effective.
Five years ago the search began for a larger,permanent space in Marblehead with the
following characteristics:
Approximately 30,000+square feet of open space to allow for continued growth
in the sail manufacturing and servicing business as well as entry into a new
field of manufacturing, that being lighter than air ships. Had to be first floor.
A site that was"for sale"as opposed to"for lease".
No commercial/industrial sites that met the above requirements were found available in
Marblehead during the last five years. The company began to look to neighboring
cities/towns. The company became aware of the industrial property at 96 Swampscott
Road in Salem in the summer of 2006. After much consideration and inspection it was
deemed that the 32,000 square feet of basically open space met the company's
requirements for expansion. With the help of state agencies for funding of loans for Unit
8 as well as the build out,an offer to buy was made and papers passed in September
2006. The build out began in October and will be completed by the end of February 2007
at which time Doyle Sailmakers will take occupancy of its new space.

Doyle Sailmakers is entering a completely new business,the construction of airships.To build an airship cloth panels
must be bonded precisely. Employees will be trained in the operation of a bar bonder.Operators need to determine
three things for each type of fabric being bonded: 1)the exact temperature for the heads 2)the exact pressure 3)the
exact length of time the bonder must remain in place.The consultant will only sell us the equipment if they train and
certify our employees.

Doyle Sailmakers currently uses trained employees to teach new ones in the skills necessary to build sails. The training
is done on the job.Our annual investment in training varies depending on the number of new employees but generally
we budget$20,000 to cover this expense.The new training covers entirely new skills that are highly technical and
essential for our business expansion plans.This training can only be done by the consultant Warwick Mills, Inc.

built several small test ships and have determined that the only way to build ships that are airworthy is to use a bar
bonder.

The goal of the training program is to train us to produce airships. By expanding into the airship production business we
will double the size of our company and expand into new markets which are growing rapidly. In order to compete in this
business we will need to have 3 people proficient in bar bonding on hand at all times. For this reason we need to train 6
production workers in addition to the company president and the chief designer.

manufacturer of racing and cruising sails for large,boats as well as
small boats. It operates 50 Doyle lofts in 30 countries which maintain
and build sails. Doyle is committed to innovation and the evolution of

6. Nature and Purpose of Project: Describe briefly the nature and history of the
business as well as the specific expansion/growth/relocation plans: the level of
new investment (with a breakdown of type of expense: construction, renovation,
acquisition of equipment, etc.) and employment levels -- both current and

Doyle Sailmakers is a well-known international sailmaking business that was started
by Robert Doyle in 1982 in Marblehead. Doyle makes sails for boats 6' to 300' and
currently has sails on the two most visible yachts in the world, Mirabella V and the
Maltese Falcon. We also produce most of the sails worldwide for the women's
keelboat used in the Olympics. Doyle is a very healthy business that needs more
space to manufacture. This move will allow the company to consolidate two existing
locations to increase efficiency, expand into a new product line (construction of
airships), and increase manufacturing capacity to meet a growing market demand for
its products.
Currently Doyle has 31 employees in Marblehead in two locations. With the move to
Salem, there will be an immediate and ongoing need for growth in employment that
will benefit the ETA. We will train entry-level employees as there is no preparation in
any school system or work experience for sailmaking.
As we are all aware manufacturing in many fields is moving offshore. With it go jobs
previously available to the residents of our state and region. We are seeking Certified
Project designation to help Doyle Sailmakers manufacture in the City of Salem and
have the ability to provide job opportunities to the ETA.
The cost of the new building location at the Salem Commerce Park is $1,882.000.
The projected improvements to the location are in the range of $510,000. The
additional piece of equipment required for the airships cost $101 ,000. The loans
Doyle has for this project in the amount of $2,276,400. are projected over 20 years.
The build out of the space been in November and is scheduled to be finished for
Doyle to move in February 19 .

newspaper.
Due to space and labor limitations in 2006 Doyle Sailmakers had to contract out
$650,000 worth of sails. This represents 6 sailmakers worth of labor. The airships that
Doyle has a contract to build will require 4 full time people. Doyle is currently
contracting out $75,000 service work and not pursuing more due to space and labor
limitations. Plan is to increase service by $250,000 and do all the service in house.
This represents an additional 2.5 people. The preceding does not reflect speculative
ventures but known work that we have been unable to accept due to existing space
and labor limitations. The labor that is required for all of the above is entry-level labor
that is not likely to commute any distance.
The economic condition of the luxury sailing industry is quite healthy at the moment.
The average age of the sailor is increasing. This has the positive effect that the
clientele requires and is willing to pay for more services. The economic condition of

the airship industry is that the supply is not keeping up with the demand. Doyle
Sailmakers has made the commitment of a larger manufacturing space in Salem in
order to create full time jobs that we feel will benefit the people of the ETA.

Doyle Sailmakers' plan for the newly acquired space on 96 Swampscott Rd. is to
increase our production of sails and sail repair and to enter the production of large
lighter than air ships. We will be increasing our workforce to achieve this end. Our

current problem is that we have a very experienced work force, and thus a very
expensive work force. We need to balance this work force with entry-level workers that
we will train. We have already invested in two key employees being trained to train
others in the very exacting and demanding airship assembly process.
Doyle Sailmakers has considered space in Salem in the past but the high commercial
tax rate in Salem has always been the back breaker. However, this time Ken Goode
and Ben Wong were very helpful in pointing out the economic incentives available to
business. With this, coupled with our partial MA Development Finance Agency
Revenue bond, we made the decision to go forward with new space in Salem. We did
not get the 85% financing for which we had hoped, but only 65%. This reduced
amount of financing and costs of the build out is making the move much more
financially challenging than originally planned.
It should be important for the state of Massachusetts as well as the municipality of
Salem to retain manufacturing. The cost to manufacture in Massachusetts continues
to escalate and as a result companies are reducing manufacturing jobs by sending
work offshore. Doyle Sailmakers has made a commitment to expand our
manufacturing business and provide more jobs for the people of Massachusetts. We
are expanding into the airship field because we believe that is one business that will
not go offshore and is a source for entry-level jobs with training. We would appreciate
any help that the Mass Economic Development Incentive Program can provide.
As a historical note of interest to the City of Salem, the first sail loft in America was
located on Derby Wharf. Doyle Sailmakers is seeking to restore a tradition of
sailmaking to the city. Doyle is an internationally respected company that will bring
visibility to the City of Salem. Hotels, restaurants and other retail businesses will be
enhanced by Doyle being located in Salem as our high-end clientele will find the
charm of Salem irresistible.

I'm glad you were pleased with the outcome of the meeting. Like I said before, we are happy to have you
moving to Salem and want to help make the process easier for you.
Our next challenge is getting the application approved by City Council. If I can get a draft of your application by
next Friday (2/9), that would give me enough time to have a dialogue with Peter Milano at MOBD and make any
changes in time for the Council meeting.
I'm attaching the spreadsheet that we went through at the meeting. Gregg can give me a call or drop me a line
if he has any questions.
I'm also going to touch base with Mary Sarris at the North Shore WIB to see if I can find out any more about the
workforce training program. I'll keep you posted.

SALEM—A state agency yes-
terday approved a$2.15 million
bond allowing Marblehead-based
Doyle Sailmakers to relocate to
Salem this fall, creating a new
product line, moving 34 jobs to
Salem and adding six more.
"We welcome the new jobs and
the quality craftsmanship with
open arms,"Mayor Kim Driscoll
said."To attract this kind of quali-
ty development and strong busi-
ness to Salem is a sign that we are
moving in a good direction."
The company,`which manufac-
tures sails,will use the money to
buy a 31,000-square-foot industrial
space in Salem,where it plans to
start building"lighter-than-air air-
ships"in the next couple of weeks,
owner RobertDoylesaid. ,
"We hope to grow the business
'.even more,"Doyle said.
Doyle said the relocation fits the
company's development plans for
various reasons.
"I grew up in Salem,the building
seemed suitable,and there is a lot
of a labor pool,"he said.
Doyle also prefers Salem be-
cause it offer's more affordable
housing for production people
than their current Marblehead lo-
cation.
Most of the company's 34 cur-
rent employees drive through
Salem to go to work every day,
and some already live there,Doyle
said.
The Massachusetts Develop-
ment Finance Agency board of di-
rectors, meeting in Boston, ap-
proved the bond yesterday morn-
ing. Adam Bickelman, the
agency's director of communica-
tions,said the bond issue date and
other details will not be available
until the closure,which can take
from two weeks to four months.
The finance agency's action
guarantees a tax-exempt rate that
will save the company financing
costs,Doyle said.He said the com-
pany will invest a significant
