(CDI), which is purchasing the former Holyoke Mutual Fire Insurance Company building located at One Holyoke Square in Salem. Tax Increment Financing(TIF)is an economic development tool used to create jobs and encourage business expansion. With a TIF, the City grants property tax exemptions of up to 100 percent of the increased property value, or increment, due to investment in the property for a specific period of time. In this case, it is proposed that the TIF be for a period of five(5)years. CDI is an unaffiliated spin-off of Commonwealth Laboratories, Inc., which is known for the breakthrough technology IBSchek, a blood test designed to help physicians quickly and reliably diagnose irritable bowel syndrome (IBS). In June, 2015, Valeant Pharmaceuticals International, Inc. acquired Commonwealth Labs' business rights in the United States and Canada. Commonwealth Labs' remaining portfolio is now offered outside of the United States and Canada by CDL CDI plans to purchase the +/- 54,000 square foot Holyoke Mutual Facility at One Holyoke Square for $3.9M, and to invest an additional $1.2M in renovations, representing a $5.1M total investment. The building will become CDI's corporate headquarters with both life sciences manufacturing and office space. Today, CDI has approximately 50 full-time employees in Salem. The company plans to increase that by between 20 and 50 employees over the next three years and reasonably expects to create a total of 100 new full-time jobs within five years of operations. F. The Assessor estimates that the anticipated investment in the building will increase the property value by $800,000. The building improvements will also provide additional tax revenue to the City. For these reasons I ask that you support this proposed TIF and authorize the execution of . the enclosed TIF agreement. For the purposes of this AGREEMENT,the base value of the TIF will be the FY2016 assessed value of the BUILDING. The FY2016 assessed value of the BUILDING at One Holyoke Square is $3,582,000. During each year of this Agreement, the COMPANY will pay taxes based on the portion of the value of the BUILDING which is not exempt under this Agreement. 2. The exemption schedule on the value of the BUILDING works as follows: for each of the Five(5)years of this AGREEMENT, the COMPANY will pay taxes on a percentage of the value of the BUILDING and be granted an exemption of a percentage of the full value of the BUILDING. In Year six (6),the COMPANY will pay taxes on the full value of the BUILDING. YEAR EXEMPTION Year 1 100% Year 2 80% Year 3 60% Year 4 40% Year 5 20% C. OTHER CONSIDERATIONS 1. This Tax Increment Financing Agreement shall be binding on all subsequent owners of the property. The CITY reserves the right to review and negotiate the Tax Increment Financing Agreement if the business activity ceases to be fully operational during the life of the Tax Increment Financing Agreement. 2. If the COMPANY decides to expand the BUILDING at any time during the life of the Tax Increment Financing Agreement, the CITY and the COMPANY may renegotiate the Tax Increment Financing Agreement to exempt all or part of the expansion from property taxes. The exact amount of that exemption will be determined at the time of the expansion. Executed as sealed instrument on the day and year first above written. As we discussed,Commonwealth Diagnostics International, Inc. ("CDI")is considering the purchase and redevelopment of the former Holyoke Mutual Fire Insurance Company("Holyoke Mutual")facility on Norman Street. Following property acquisition,company stakeholders would transform the property into a company headquarters comprised of manufacturing and office space. On background,CDI is an unaffiliated spin-off of Commonwealth Laboratories,Inc. ("Commonwealth Labs"). As noted above,we are considering the purchase and redevelopment of the 54,000 square foot Holyoke Mutual facility on Norman Street, Salem. Should we move forward with the acquisition,we would invest more than$5M in the acquisition and renovation of the property into a corporate headquarters with both life sciences manufacturing and office space. Finally,CDI would reasonably expect to create 100 new full-time jobs in our next five years of operations. This project would mark CDI's largest investment to date. As a result,we are pursuing partnerships at the municipal and state levels to offset some of these costs. Specifically,we are now interested in engaging you,the Salem City Council, and the Massachusetts Office of Business Development(MORD) In discussions regarding project participation in the Massachusetts Economic Development Incentive Program(EDIP). Components of the EDIP Program include a company commitment to new Massachusetts jobs and private Investment, municipal Tax Increment Financing(TIF)and the Commonwealth's EDIP Investment Tax Credit.
