CRONIN, of Salem , Essex Cotinty, Massachusetts , the "DONOR" , and DANIEL A. CRONIN, JR. , of Walpole , Massachusetts , JUDITH E. CRONIN, of Salem, Massachusetts , and MARY C. CRONIN, the "TRUSTEES" . This instrument may be known as V THE CRONIN IRREVOCABLE TRUST INSTRUMENT and the Trust hereunder as the THE CRONIN IRREVOCABLE TRUST. , C v The Donor has transferred or may hereafter transfer to the Trustee property described or to be described in the i t Trustees ' receipt or receipts therefor , which, together with any other property that hereafter m-ay be accepted by the Trustees and added to this trust , shall be h?ld and administered by the Trustees for the purposes and upon the trusts hereinafter set forth . (517)35C-2933 -1- II . A. During the 'Donor ' s life , the Trustees shall pay to her or for her benefit , or upon her written order , the net income of this Trust . Such written order shall be signed per- sonally by the Donor and not by any guardian , conservator , or attorney-in-fact . The Trustees may pay to the Donor such amounts , if any, of the Trust principal as the Trustees may from time to time determine to be advisable for the emergency needs of the Donor . -�� B. If it is determned that the Donor is at any time mentally or physically incapacitated and unable to give direc- tions to the Trustees , as set forth by a physician ' s certifica te , she shall cease to serve as Trustee , and the remaining Trustees are authorized to pay and/or apply the trust income and prin- cipal , or either , in such amounts ( including all thereof) , pro- portions , equal or unequal , and manner as he shall determine tr be advisable for the emergency, needs of the Donor . III . As a guide to the: Trustees in exercising their discretion with respect to payments to or the Donor , it is the Donor ' s desire that to the extent reasonably possible , but with due consideration for the size of the trust estate , the standard Of living to which she has been accustomed be followed . The Trust shall 'term*pate upon the death of the Donor . Upon such termination , the balance of the principal of the Trust and all accumulations and additions thereto , together with the income remaining unpaid shall be distributed free of any trust to the Donor ' s issue then living by right of represen- tation . j V. The Trustees may at any time and in their discretion pay from the principal and/or income of the trust any part or all C or none of the expenses of the last illness , funeral , burial , u marker , monument and/or other expenses , including estate taxes , in connection with the death of the D onor . VI . If any person entitled to receive a distribution upon termination of the Trust shall be under the age of twenty Ione (21) , the Trustees (1) may .at any time thereafter pay such Idistriblutive share to such person or to his or her parent or guardian , and any such payment 'shall constitute a discharge of Ithe Trustees to the extent thereof ,. or (2) may retain such share in trust until such person shall attain the age of twenty one ( 21) and continue to hold , manage , invest , and reinvest the same ; for the benefit of such person with all the same powers and duties conferred upon the Trustees hereunder . VII . The interest of any beneficiary of the Trust , either as to income or principal , shall not be subject to anticipation , alienation or be in any other manner assigned by said benefi- ciary, nor shall any interest be subject to any legal process , I bankruptcy proceedings or the interference or control of credi- tors or of any spouse of a married beneficiary. VIII . In extension and not in limitation of the powers given the Trustees by common statutory law or other provisions of this Trust , the Trustees shall have all "Statutory Optional Fiduciary Powers as defined ;in Chapter 184B, Section 2 , of the h Massachusetts , Y �. General Laws of the Communweal,_:� of as from time to time amended . IX. If NARY C. CRONIN fails or ceases to serve as Trustee , DANIEL A. CRONIN, JR. and JUDITH E. CRONIN, shall serve as Trustees . If for any reason either one fails or ceases to serve , the other shall serve alone . XI . The Trustee shall render accounts of the administra- tion of the trust annually. The assent by all persons who , for the period of any account , were entitled or eligible to receive the income of the trust and who were of full age and legal capa- city (but if a minor then by the natural guardian) , shall make such account ( in the absence of fraud or manifest error) binding land conclusive upon all persons then having or who may thereafer ( have any interest in the income or principal of the trust . The ,! failure of any such person to object to an such Y account by a writing mailed to the Trustee within sixty ( 60) days of receipt of a copy of the account shall be - deemed to be an assent by such person.
