The Trade Contractor shall retain these documents for a period of three years after final payment. 2. Obligations of the Construction Manager: The Construction Manager agrees to famish or approve,in a timely manner, information required by the Trade Contractor and to make payments to the Trade Contractor in accordance with the requirements of this Agreement. Trade Contractor shall provide all labor,materials,equipment,tools and other facilities and services necessary for the performance and completion of the work as described in Attachment A,the "Work Scope"or"Work". Trade Contractor shall complete the Work in a first class manner equal in all respects to the best standards of practice and to the full satisfaction of the Owner in strict conformity with the specifications, conditions,drawings,plans and other contract documents pertaining thereto Attachment B (together the"Contract Documents"). 4. Payment for Work. Payment for the Work shall be made to the Trade Contractor as provided herein. Requisitions for payment shall be made in a form acceptable to the Owner for work completed or materials stored on site. 5. Cost of Work. The total cost of the Work is Not to exceed Eighty Thousand Dollars($80,000.00) 6. Payment Schedules: 282 Washington Street Improvements Total Cost of Work Not to Exceed $ 80,000.00 Mobilization 10% Not to Exceed $ 8,000.00 Rough Inspections 40% Not to Exceed $ 32,000.00 Finish Work Complete-Substantial Completion with CO 40% Not to Exceed $ 32,000.00 Punch List Complete-Final Completion (Retainage) 10% Not to Exceed $ 8,000.00 7. Project Date of Commencement. The Contract Time shall be measured from the date of commencement. The date of commencement of the Work shall be the date of this Agreement,unless a different date is stated below or provision is made for the date to be fixed in a notice to proceed issued by the Construction Manager. 8. Project Date of Substantial Completion.The Date of Substantial Completion is expected to be no later than February 28,2015. The Date of Substantial Completion is defined as the date by which the City of Salem issues a valid certificate of occupancy(CO).The Trade Contractor does not guarantee the date of completion. However,the Trade Contractor shall not be entitled to additional fees based on delays in the project unless those delays can be shown to incur extra costs for the Trade Contractor and were, in the opinion of the owner, caused by the actions or requests of the Owner. 9. Payments to Suppliers.Trade Contractor shall indemnify and save Owner harmless from all claimed and actual obligations of Trade Contractor to tax authorities, sub contractors,workmen,materialmen and furnishers of machinery,equipment, and supplies,incurred in the furtherance of the performance of this contract.Trade Contractor shall,upon request,furnish to Owner reasonably satisfactory evidence that all obligations of the foregoing nature have been paid,discharged or waived;and if the Trade Contractor fails to do so Owner either pay any such unpaid bills,or withhold or retain from payments otherwise due or to become due to Trade Contractor such sums of money as Owner deems sufficient to pay any and all such claims until such time as satisfactory evidence is furnished that all such claims have been satisfied or discharged. 10. 10-1. Insurance.Prior to starting Work,Trade Contractor shall obtain and maintain insurance from a responsible insurer satisfactory to Owner. Trade Contractor's insurance shall apply to any Work furnished by or through Trade Contractor for Owner at any Project. It shall name Owner and 282 Washington Street Salem,MA 01970 and all other parties required of the Owner as an additional insured on CG20101185 (Form B). The Trade Contractor shall purchase and maintain insurance of the following types of coverage and limits: Commercial General Liability(CGL)with limits of Insurance of not less than$1,000,000.00 Each Occurrence and$2,000,000.00 Annual Aggregate. If the CGL coverage contains a General Aggregate Limit, such General Aggregate shall apply separately to each project. b. CGL coverage shall be written on ISO Occurrence form CG 00 01 1093 or a substitute form providing equivalent coverage and shall cover liability arising from premises,operations,sub-contractors, independent contractors,products-completed operations, and personal and advertising injury. c. Owner and 282 Washington Street Salem,MA 01970 and all other parties required of the Owner, shall be included as additional insureds on the CGL,using ISO Additional Insured Endorsement CG 20 10 1185 or an endorsement providing equivalent coverage to the additional insureds. This insurance for the additional insureds shall be as broad as the coverage provided for the named insured Trade Contractor. It shall apply as primary and non-contributing insurance before any other insurance or self-insurance, including any deductible,maintained by,or provided to,the additional insured. d. Trade Contractor shall maintain CGL coverage for itself and all additional insureds for the duration of the project and maintain Completed Operations coverage for itself and each additional insured for at least 3 years after completion of the Work. 10-2.Automobile Liability e. Business Auto Liability with limits of at least$1,000,000.00 each accident. f. Business Auto coverage must include coverage for liability arising out of all owned,leased,hired and non-owned automobiles g. Owner and 282 Washington Street Salem,MA 01970 and all other parties required of the Owner,shall be included as additional insureds on the auto policy. It shall apply as primary and noncontributing basis before any other insurance or self-insurance,including any deductible,maintained by,or provided to,the additional insured. h. Umbrella limits must be at least$2,000,000.00.Umbrelia coverage must include as insureds all entities that are additional insureds on the Commercial General Liability policy. i. Umbrella coverage for such additional insureds shall apply as primary and non-contributing before any other insurance or self-insurance, including any deductible,maintained by the Trade Contractor. 10-3.Workers Compensation and Employers Liability j. Employers Liability Insurance limits of at least$500,000 each accident for bodily injury by accident and $500,000 each employee for injury by disease. k. Where applicable,U.S.Longshore and Harborworkers Compensation Act Endorsement shall be attached to the policy. 1. Where applicable,The Maritime Coverage Endorsement shall be attached to the policy. Cancellation:The Trade Contractor's Commercial General Liability,Business Auto, and Umbrella policies shall be endorsed to reflect that Owner will be notified at least 30 days in advance in the event of cancellation. Trade Contractor shall bear the risk of loss or damage from any cause whatsoever to machinery,tools, equipment building supplies or materials,temporary structures and any equipment of like nature used or to be used by Trade Contractor, its agents, suppliers and/or Sub-sub contractors,or its or their employees in the performance of the Contract. Owner and Trade Contractor waive and release all rights against each other for damages caused by fire or other perils to the extent covered by property insurance upon the Project,except such rights as each may have to the proceeds of such insurance. In the event of a loss,Trade Contractor shall be bound by any adjustment which shall be made between Owner or the Trade Contractor and the insurance company or companies. Loss,if any, shall be made payable to Owner. 11. Compliance with Laws and Regulations; Permits.Trade Contractor shall,at the Trade Contractor cost and expense,apply for and obtain all necessary permits and approvals required for the work described in the Work Scope(Attachment A).Trade Contractor, shall,at the Construction Manager's cost and expense,apply for and obtain any additional permits that may be necessary for the project. Trade Contractor further agrees that(1)Trade Contractor; and(II)all work performed and all materials furnished by and disposed of it under this Contract shall comply strictly with all laws,ordinances,regulations, rules and orders of the city,state and/or Federal government and of any and all of their departments and bureaus, including,without limitation, all requirements of the E.P.A. and OSHA,and the requirements of insurance underwriters. 12. Time for Performance: Changes. Upon notice from Owner,Trade Contractor agrees to commence,proceed with and complete the Work promptly and diligently. Time is of the essence of this Contract.No extension of time will be valid without Owner's written consent. Trade Contractor may be held liable for all damages, costs, losses and expenses resulting directly or consequentially from its failure to meet time limits. Owner may order extra work or make changes by altering,adding to or deducting from the Work and the Contract Price and the time for completion may be correspondingly adjusted. Trade Contractor shall make no claim for extension of time or extra compensation for additional work or any change unless done in pursuance of a written Change Order from the Owner,and such claim must be presented to the Owner prior to commencement of the extra work. 13. Clean-Up. Trade Contractor shall keep the job site at all times clean of debris arising out of its operations under this Contract,and shall at Trade Contractor's expense clean, cart out, and legally remove all debris resulting from the Work hereunder from time to time. If Trade Contractor fails to do so, Owner may cause such clean-up and carting away of debris to be done at the expense and for the account of Trade Contractor. 14. Security.Owner shall have no liability to Trade Contractor for the risk of loss or damage to or security of materials,equipment,tools,or any other property of Trade Contractor at the jobsite,all of which shall be stored and used there solely at the risk of the Trade Contractor. 15. Correction of Work: Guaranty. Trade Contractor at all times shall provide proper facilities for the inspection of the Work by the Owner,governmental authorities and other parties interested therein.Trade Contractor shall promptly take down and remove from the premises and immediately replace or correct all materials and all portions of the Work determined by Owner as failing to conform to the Contract notwithstanding that such defective material or Work may not previously have been objected to by Construction Manager, and notwithstanding that the same may have been accepted or estimated for payment. If Trade Contractor shall fail to replace or correct the defective Work or materials within such reasonable time as Owner allows,after receiving written notice from Construction Manager,Construction Manager may take down,remove, correct and replace the same at the expense of Trade Contractor. Trade Contractor warrants that all materials and equipment famished and incorporated by him in the Work will be new unless otherwise specified in the Work Scope, the Contract Documents,or this agreement; and that all Work under this Contract will be of first-class quality,free from faults and defects and in conformance with the Contract Documents.Trade Contractor does J&K Contracting LLC Page 4 of 13 282 Washington Street Improvements Trade Contractor Initials co Project: 282 Washington hereby guaranty its Work and,without limiting the foregoing,agrees to make good,without cost to Owner, any and all defects due to nonconformity or imperfect workmanship or materials which shall appear within one year from the date of the issuance of a valid certificate of occupancy(CO)issued by the City of Salem; and Trade Contractor shall pay for any damage resulting therefrom, including any for which Construction Manager may be liable under the Contract Documents or by law. The Trade Contractor understands that the Project may be financed by a construction lender and,then,by a permanent lender.The Owner may assign any of its rights under this Contract to the construction lender and the Trade Contractor hereby consents to any such transfer provided no such assignment shall relieve the Owner of any of its obligations under this Contract,unless agreed to in writing by the Trade Contractor. The Trade Contractor shall execute any certificates,lien waivers,releases,receipts,and other documents as may be reasonably required by the construction lender or permanent lender including a subordination of its mechanic's lien rights to the construction lender's and permanent lender's mortgage or deed of trust.The construction lender for the Project will be: (TBD) 16. Owner's Right to Terminate for cause: Should the Trade Contractor, in the opinion of the Construction Manager, at any time refuse or neglect to supply proper supervision,a sufficient number of properly skilled workers or a sufficient quality of materials, or fail in any respect to carry out the work promptly and diligently or otherwise to perform in accordance with this Agreement and fails,within forty-eigbt hours after receipt of written notice to commence and continue correction of such default or neglect with diligence and promptness,the Owner may,without prejudice to any other remedy the Owner may have,terminate this Agreement. If Trade Contractor shall be adjudged a bankrupt or shall file a petition in bankruptcy or for reorganization under any provision of the bankruptcy laws,or if such a petition is filed against Trade Contractor and is not dismissed within ten(10)days thereafter,or if Trade Contractor shall make an assignment for the benefit of creditors or if a receiver is appointed for all or a substantial portion of Trade Contractor's property or business,or if Trade Contractor shall fail,refuse or state its intention to refuse to perform any of its obligations under this Contract,then,in any of such events Owner may,without prejudice to any other right or remedy provided in this Contract or by law,terminate this Contract by written notice to Trade Contractor. In the event of a termination hereunder, Owner may take possession of the premises and all materials,tools, and equipment thereon and finish the Work in whatever manner it may deem expedient,and Trade Contractor shall not be entitled to any further payment until the Work is finished.If the unpaid balance of the Contract Price shall exceed the expenses of finishing the Work, including reasonable compensation for the additional materials and services,of both the Owner and third parties,and sums charged to Owner for delay,damages, legal fees or other expenses,such excess shall be paid to Trade Contractor. If such expenses and sums chargeable shall exceed such unpaid balance,Owner shall apply the unpaid balance of Contract Price against them and Trade Contractor shall forthwith pay the difference to the Owner. Owner shall retain all of it's rights in law and equity against Trade Contractor to enforce claims for damages and other relief. This obligation of payment shall survive the termination of this Agreement. 17. Owner's right to termination convenience: This Agreement may be terminated by the Owner upon not less than fourteen days' written notice to the Trade Contractor for the Owner's convenience and without cause. Owner shall pay Trade Contractor for all demonstrable work completed up to the date of termination. All materials that have been previously paid for as stored off-site shall be turned over to the Owner. 18. Termination of contract due to rejected permit application: This Agreement is contingent on the Trade Contractor receiving acceptance of a valid building permit from the City of Salem and approval from the Salem Fire Department to perform the work described in Attachment J&K Contracting LLC Page 5 of 13 0YI,,W 282 Washington Street Improvements Trade Contractor Initia Project: 282 Washington A without the need for any additional work and or expenses beyond what's described specifically in Attachment A. 19. Assignment.Neither the whole nor any part of the Work to be performed hereunder by Trade Contractor shall be sublet, or voluntarily or involuntarily assigned,nor shall any monies due or to become due to Trade Contractor or rights with respect thereto,be assigned by Trade Contractor without the prior written consent of Owner. GENERAL REQUIREMENTS 1.No exclusion or changes from the drawings, specifications or bid instructions will be permitted unless submitted in writing and accepted in writing by Owner 2.All work to be done in strict accordance with all local, state and national codes,whether shown correctly or not on working drawings or shop drawings and shall be the responsibility and expense of the Trade Contractor. 3.The Owner will allow Trade Contractor progress payments in the ratio and to the extent of this Trade Contractor's completed work. The Owner agrees to make progress payments within two weeks of receipt of approved Application and Certificate of Payment,as long as the request complies with the Contract terms and the requirements as described herein. 4. It is the Trade Contractor's responsibility to visit the job site prior to bidding to familiarize himself with actual job site conditions. 5. All materials used shall be new and first quality, and shall be installed in accordance with manufacturer's recommendations. 6. Trade Contractor shall include all applicable taxes,fees,permits, scaffolding, clean-up,supervision, overhead,etc.to perform his work. 7.Trade Contractor will be responsible for all layout,lines and grade and coordination required to complete the Scope of work in Attachment A. 8. Should Trade Contractor in the opinion of Owner at any time refuse or neglect to supply proper supervision,a sufficient number of properly skilled workman or a sufficient quality of materials,or fail in any respect to prosecute the work promptly and diligently,or fail to perform any of the agreements of his part herein contained,Owner may, after 48 hours written notice to Trade Contractor,provide any such labor or materials,and deduct the costs thereof from any money due or thereafter becoming due to Trade Contractor; and Owner may terminate the employment of Trade Contractor,take possession of all Trade Contractor's materials and equipment on the job site,employ any other person and take such other action necessary to complete the work,and charge the cost of such completion any damages and expenses incurred by Owner by reason of Trade Contractors default against any unpaid balance of the Contract sum,and if such costs, damages and expenses shall exceed such unpaid balance, such excess shall be paid on demand by Trade Contractor to Owner. 9. All required shop drawings,submittals and samples shall be submitted immediately for approval. 10. Four sets of shop drawings and submittals shall be submitted for approval. N 11. Work shall proceed continuously and progressively until full completion of the project. 12.No payments will be issued until receipt of signed contract, insurance certificate, Certificate of Non Asbestos Containing Materials, (if applicable)and receipt of completed Partial and Final Waivers of Lien as applicable. The Trade Contractor agrees to hold harmless and indemnify the Owner,282 Washington Street Salem,MA 01970,the Architect/Engineer, and anyone else required by the Contract Documents,from and against any and all claims,damages, loss or expenses arising out of or resulting from injury or death to employees of the Trade Contractor,employees of sub contractors to the Trade Contractor working on staging,scaffolding or other equipment as supplied and erected by the Trade Contractor or third party sub contractor to the Trade Contractor. Claims against any person or entity indemnified under this attachment by an employee of the Trade Contractor, the Trade Contractor's sub contractors,anyone directly or indirectly employed by them or anyone for whose acts they may be liable,the indemnification obligation under this attachment shall not be limited by a limitation on amount or type of damages, compensation of benefits payable by or for the Trade Contractor of the Trade Contractor's sub contractors under workers' compensation acts,disability benefit acts or other employee benefit acts.
