This Solar Photovoltaic System Installation Agreement(this"Agreement")is entered into effective as of the
later of the parties' signatures hereto by and between Next Step Living Inc., 21 Drydock Avenue, 2nd Floor,
Boston,MA 02210("NSL")and the Owner,who is the owner of the Property.Any initially-capitalized terms
used and not defined in the body of this Agreement shall have the meanings set forth in the Next Step
Living Solar Proposal attached hereto(the "Attachment').
1. THE WORK, STANDARDS AND CHANGES.
NSL shall perform work,provide the Services,supply such Equipment and furnish such other materials,
supplies and other items as it determines are required to install the System described in the Attachment
(the "Work"). NSL will perform or cause its subcontractors to perform the Work in a good and workmanlike
manner, using new materials of good quality, in accordance with prudent industry standards and practices.
NSL shall not make any changes in the Work other than those described in the Attachment, unless agreed
to in writing by the Owner.
2. REQUIRED PERMITS

It is the obligation of the contractor to secure such permits as the homeowner's agent and any costs which
contractor will incur in doing so are included in the price for this job as set forth above. Please note that
homeowners who secure their own permits or deal with unregistered contractors are excluded from the

3. TIME FOR PERFORMANCE
NSL shall perform or shall cause its subcontractors to perform the Work diligently,without unnecessary
delays or interruptions and in a timely manner until completed. NSL or its subcontractors shall use
reasonable efforts to start and complete the Work according to the timing described in the Attachment.
4. INSURANCE AND LICENSING.
NSL represents and warrants to the Owner that NSL or its subcontractors performing the Work shall be
licensed as required by applicable law and shall hold insurance coverage required by law and normally
maintained by prudent contractors in NSL's field, including, but not limited to,workmen's compensation
for all employees who will perform the work.
NSL is registered as a home improvement contractor and construction supervisor with the Commonwealth
of Massachusetts Office of Consumer Affairs and Business Regulation, 10 Park Plaza,Suite 5170, Boston,
MA 02116. NSL's registration number is 162111.
5. DEPOSIT; NONREFUNDABLE UPON DESIGN DELIVERY
5.1. Owner shall pay a deposit in the amount of Five Hundred Dollars($500)(the"Deposit") upon signing
this Agreement.
5.2. If Owner provides and delivers NSL a completed Notice of Cancellation within three (3) business days
after the date of this Agreement, NSL shall refund and return the Deposit in full to the Owner not later than
10 days after its receipt of such Notice of Cancellation.
5.3.THE DEPOSIT SHALL BECOME NONREFUNDABLE UPON NSUS DELIVERY TO THE OWNER OF THE FINAL
DESIGN FOR THE SYSTEM. Owner realizes that NSL will spend time and money evaluating the Property,
designing the System and preparing for the Work.

6. PURCHASE PRICE: PAYMENT SCHEDULE
6.1.The total price for the Work, after applying a reduction under Section 7, below, if any, is
$41,894.00 (the "Purchase Price').The Purchase Price includes the Deposit and
includes any and all sales taxes and any other taxes and charges imposed upon the Work.
6.2 Owner shall pay the Purchase Price in four payments as follows:

Any late payment will incur a late fee ("Late Fee")equal to the lower of(a) 1.5%of the amount due under
each Payment more than 10 days past due and (b)the maximum rate permitted by applicable law. The
Late Fee is an administrative charge to compensate NSL for costs we incur as a result of late payments by
Owner. It is not an interest or finance charge. If Owner disputes any payment,Owner must pay the full
amount due and notify NSL of Owner dispute. If an Owner dispute is resolved in Owner's favor, NSL will
refund the relevant amount within 30 days after resolution of the dispute.

7. REDUCTION TO PURCHASE PRICE EQUAL TO REBATE; ASSIGNMENT OF REBATE
In certain circumstances,where it is beneficial to the Owner to secure financing,the Owner may agree to
assign to NSL the right to receive and retain the rebate in consideration of a reduction to the Total Price
equal to the amount of the rebate. By signing in the space below in this paragraph,the Owner hereby
irrevocably assigns to NSL the right to receive and retain such rebate and NSL hereby provides in exchange
a reduction in the Purchase Price equal to

8. TAX CREDITS, REBATES AND SRECS
As between NSL and the Owner, Owner shall be entitled to receive and to claim any and all rebates,
solar renewable energy certificates("SRECs"),state and federal income tax credits, net metering credits
and any other benefits associated with Owner's ownership and use of the System(collectively,
"Benefits'). NSL shall provide Owner with such documentation and information that,in its experience,
is likely to be required in order for the Owner to apply for and receive such Benefits. Owner shall have
the sole responsibility of making any application for any such Benefits. Except as described in Section 7,
above,if applicable,the Purchase Price has not been adjusted to include the value of any such Benefits
and Owner is obligated to pay the entirety of the Purchase Price whether or not it is eligible for or
ultimately receives any value from the Benefits. NSL shall have no obligation and assumes no
responsibility to apply for or collect any Benefits on Owner's behalf nor has NSL made any
representation or warranty to Owner with respect Owner's eligibility to receive,or the value of any
such Benefit. In all cases,Owner agrees to consult with the relevant governmental officials and Owner's
professional tax preparer when evaluating Owner's eligibility for and the financial and tax
consequences of receiving Benefits.The Attachment includes a summary and estimate of the Benefits
which may be applicable to the System, plus the estimated net cost to Owner after application of such
financial incentives,contingent in each case upon the Owner receiving or being eligible to receive such
Benefits.

9. OWNER CANCELLATION RIGHTS
In addition to the Owner's rights under applicable law, as indicated on the Notice of Cancellation attached
to this Agreement,Owner shall have the right to cancel and terminate this Agreement in full by delivery
written notice to NSL at any time before the day that is twenty(20)days after NSL's delivery of the final
design for the System. If Owner cancels and terminates this Agreement under this paragraph, not later
than ten (10)days after its receipt of Owner's cancellation notice, NSL shall refund the full amount of
Owner's payments made under this Agreement minus a cancellation fee in the amount of Two Thousand
Dollars($2,000)(the "Cancellation Fee").The Cancellation Fee is not a penalty but constitutes liquidated
damages to compensate NSL for the amount of its losses in the event Owner cancels this Agreement,such
actual amounts being difficult to predict, but which are likely to include the costs of preparing this
Agreement, reviewing the Property,designing the System and making arrangements an preparations for
performance of the Work.

10. WARRANTEES
10.1. Five Year Workmanship Warrantee. NSL warrants that the System will be free from defects in
workmanship and materials. If Owner notifies NSL in writing of a breakdown or degradation in electrical
output of more than 10%from the original rated electrical output at any time before the date that is five
years from the date Owner makes its final payment under this Agreement, NSL will repair or replace,at its
option,and at its sole expense and at no cost to Owner,any defects in workmanship and materials
provided by NSL or its subcontractors. Note that NSL's warranty covers the Equipment for five years;
manufacturer warrantees on the Equipment are covered under the paragraph immediately below.
10.2. Equipment Warrantees.The manufacturers of the Equipment provide warrantees to cover the
Equipment. Effective immediately upon Owner's making of the final payment under this Agreement,
NSL hereby assigns to Owner,to the extent assignable, any and all manufacturer warrantees covering
the Equipment and shall deliver copies of such warrantees after its receipt of such final payment.
10.3. No Implied Warrantees. NO WARRANTY OR REMEDY,WHETHER ORAL, EXPRESS OR IMPLIED,
INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR
PURPOSE,OR WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE SHALL APPLY. THE
EXPRESS WARRANTEES AND REMEDIES SET FORTH IN THIS AGREEMENT ARE THE SOLE WARRANTEES
MADE BY NSL AND OWNER'S EXCLUSIVE REMEDIES FOR ANY CLAIM OR LIABILITY ARISING OUT OF OR IN
CONNECTION WITH SUCH WARRANTEES.

11. PRE-EXISTING CONDITIONS 8 PROPERTY PROTECTION
11.1. NSL shall not be responsible for any damages as a consequence of the Work performed in the home
due to pre-existing conditions. These conditions include but are not limited to cracked or broken roofing,
rotting wood,faulty electrical wiring,etc.
11.2. NSL reserves the right to suspend its performance of the Work or to terminate this Agreement upon
its discovery of asbestos, mold,or any other potential health risk or other hazardous materials or condition
at the Property. In such an event,Owner shall be responsible for procuring all services and paying all costs
of a duly licensed third party to remove and mitigate such hazardous materials or conditions.
11.3. NSL will make best efforts to protect any property of the Owner, but it is the Owner's responsibility
to remove or protect any personal property including the home itself.
11.4. NSL will not be responsible for damages to or losses of the above mentioned personal property not
properly protected prior to the commencement of NSL's obligations under this Agreement.
12. CONTRACTOR ARBITRATION
The Home Improvement Contractor Law provides homeowners with the right to initiate an arbitration
action (as an alternative to court action) if they have a dispute with a contractor.The same right is not
automatically afforded to a contractor,however.The contractor would have to resolve any dispute he/she
has with a homeowner in court unless both parties agree to the optional clause provided below.This clause
would give the contractor the same right to arbitration as is afforded to the homeowner by the Home
Improvement Contractor Law.
The contractor and the homeowner hereby mutually agree in advance that in the event the contractor has
a dispute concerning this contract,the contractor may submit such dispute to a private arbitration service
which has been approved by the Secretary of the Executive Office of Consumer Affairs and Business
Regulation and the consumer shall be required to submit to such arbitration as provided for in MGL C.
142A.

13. GENERAL PROVISIONS.
13.1. Any disputes which may arise between the Owner and NSL shall not impede or interfere with the
diligent performance by NSL of the work.
13.2. This Agreement shall be subject to and interpreted in accordance with the laws of the
Commonwealth of Massachusetts.
13.3. Title,ownership and risk of loss to the System shall pass to Owner immediately upon Owner's
payment of the final payment required under this Contract.Owner shall provide all insurance necessary for
the coverage of the System and risks to the Property related thereto after such payment.
13.4. This Contract, including the documents incorporated into this Contract,forms the complete
integrated agreement between Contractor and the Owner. The parties represent and warrant that in
executing this Contract,they are not relying on representations other than as expressly contained herein.
There are no other terms or conditions that form a binding agreement between the parties other than this
Contract and its incorporated documents. This Contract supersedes all prior agreements between the
Owner and Contractor and may not be altered absent a subsequent written agreement signed by both
parties. Both parties have reviewed this Contract and represent that they understand and agree to all
terms herein.

ATTACHMENT: NEXT STEP LIVING SOLAR PROPOSAL
NSL will design, procure all required equipment and labor,obtain necessary permits,install and, if
applicable, commission the equipment described in this Attachment. Such services are defined as the

Next Step Living, Inc. has performed a limited structural evaluation of the roof framing at the above
referenced site to determine if the roof has adequate capacity to support proposed solar PV panels.This
analysis has been based on field measurements,framing information and configurations observed at the
proposed site.The existing residence is located at 19 Victory Road,Salem,MA 01970.
Structural Data and Code Information
Our analysis has been performed in accordance with the requirements of the MA Residential Building
Code 780 CMR—Eighth Edition.The main roof of this residence is framed with conventional roof rafters
with collar ties in a gable configuration.The existing roof structure is in good condition and currently has
one layer of asphalt shingles as roof covering. The pertinent data is listed below:

Analysis Results
General
The proposed solar panels impose a total weight of approximately 3 pounds per square foot(PSF)on the
roof surface.The International Residential Building Code allows up to two(2) roof coverings on a
residential dwelling. Each roofing layer of asphalt shingles imposes a dead load of 2.5 to 3.0(PSF)on the
roof. Because the existing roof has only one layer of shingles,the code allows a second layer to be added
without analysis.The weight of the second layer of shingles is approximately the same as the solar
panels which will be installed instead of the second layer of shingles.
Solar panels are considered a slippery surface and are mounted a small distance above the existing roof.
Therefore,one would be cautious in considering a thermal factor,Ct,of 1.1,treating the panel surface
as a cold roof,rather than a warm roof.After considering the roof slope factor,Cs,from figure 7-2,ASCE
7-10,the snow load is reduced by 27%for the main roof compared with the snow loading on the
existing shingled roof,which is not considered a slippery surface.The reduction in snow load due to this
consideration is about 5.6 PSF for the main roof,which offsets the weight of the solar panels.
Gravity Loadine:
Given the size,spacing and configuration of the existing roof framing,we have determined that the
existing framing for the residence is adequate to support the additional loading from the weight of the
solar—electric system, including the panels, racking system,and all connections without any need for
additional bracing or framing members.
The panels will be installed using Unirac Solar Mount rails with L-brackets in a landscape configuration
with a rail toward the top and bottom of each panel edge.The L-brackets will be fastened directly to the
roof rafters with 5/16"diameter lag screws.The fastener layout shall start near each corner and for
landscape orientation shall have a maximum spacing of 36"on center parallel to the roof slope and 48"
on center perpendicular to the slope(e.g.,every third rafter). Each 5/16" diameter lag screw shall have a
minimum of 2.5"thread penetration into the existing rafter. It is also important that the L-bracket
attachment locations be staggered between adjacent rails so that no single rafter supports more load
than under the existing conditions.

Wind Loading:
Provided that the L-bracket attachments to the roof are made in a typical staggered pattern,the overall
wind loading imposed on the structure will not be impacted to any great extent.The net wind loads on
the roof framing with attachment spacing as described above will be less than the current loading on the
rafters.
Conclusions:
Our evaluation of the proposed solar-electric installation has established that the roof framing is
adequate to support the addition of the solar panels to the existing roof as indicated on the Solar PV
plans.We have only reviewed the adequacy of the connection to the existing rafters and the capacity of
the existing rafters to support the vertical and lateral loads from the solar electric system.We do not
take responsibility for any other portion of the solar panel array support system,the existing roof
framing construction,or the integrity of the structure as a whole.
