where necessary a written amendment of this Agreement will be negotlated and executed
by the ConVactor and Owner.
Any changes to the described work in Section I will be documented in a written change order
"change orde�' by the customer to be signed by the Owner and Contractor.
N. PAYMENT
Payments are due upon receipt of the invoices. II
A down payment of$5,000.00 is due upon signing of this contract.
Notice: No Agreement for home improvement contracting work shall require a down-payment
(advanced deposit)of more than one-third of the total contract price or the total amount of
all deposits or payments which the Contractor must make, in advance, to order and/or �
othervvise obtain delivery of special order materials and equipment,whichever amount is
greater.
Notice: At the discretion of the Contractor, accounts overdue more than ten (10) days beyond the
due date(date of receipt) may delay scheduling of remaining work to be completed and
acquire interest of 1.5%per month on the amount due.

V. COMMENCEMENT AND COMPLETION OF WORK
Contractor will begin the work on or about May 5, 2008, unless otherwise instructed and
weather permitting. The Owner hereby acknowledges and agrees that scheduling delays
that are not avoidable by the Contractor shall not be considered as violations of this
Agreement.
The actual dates that construction will be completed may vary due to: the time.required to
apply for and obtain necessary permits; delays caused due to necessary inspections; the
presence of hidden conditions or construction; or delays in the receipt of equipment
and/or materials which must be ordered and or delivered to the site.
A. The Contractor agrees that when any such delays become known to the Contractor,
the Contractor will advise the Owner as soon as is reasonable.
B. The Owner hereby acknowledges and agrees that in certain remodeling work, the
d"emolition of portions of the preexisting structure may reveal additionaf defects,
conditions or the need for additional work. This additional work must be repaired,
altered or carried out in order to commence or to complete the work described under
this contract. In such cases, the Owner agrees that the duration of the work and the
scheduled date of completion may differ from the date contained in Section V,
above, and that such variation which is not avoidable by the Contractor shall not be
considered to be a violation to this Contract.
VI. NO ACCELERATION OF PAYMENTS, BUT ESCROW ALLOWED
The Contractor may not require payments to be made in advance of the times specified in
Section IV (Payment), above, for the reason that he deems himself or the payments to be
insecure. If he deems himself or the payments to be insecure, he may require, as a
prerequisite to continuing the work described herein, that the balance of the payments for
approved Tasks under this contract that are in the controi of the Owner, shall be placed in
a joint escrow account that requires signatures of both the Contractor and the Owner for
withdrawaL
VII. INSURANCE
Contractor's scope of work will be limited to the kitchen, hallway and bath.
Contractor will be responsible to Owner or any third party for any property damage or
bodily injury caused by himself, his employees or his subcontractors in the performance
of, or as a result of, the work under this Agreement.
Contractor agrees to carry General Liability insurance to cover such damage.
Contractor agrees to carry Worker's Compensation insurance to cover any injury to his
employees or subcontractors as currently required under Massachusetts worker's
compensation provisions.
Owner is responsible for obtaining BuildePs Risk Insurance or notifying Owner's insurance
company of the work being performed on said premises.
Any proceeds from Owner's insurance claims will be first applied to outstanding amounts
owned to the Contractor.
VIII. SUBCONTRACTING
Contractor agrees that, notwithstanding any agreement for materials and/or labor between
Contractor and a third party, Contractor is responsible to Owner for completion of all work
described in a timely and workman-like manner.
IX. CONSTRUCTION - RELATED PERMITS
The following construction - related permits will be necessary in order to complete the
scope of work included in this Agreement:
Building Permit/ Certificate of Occupancy/ Fire /Smoke Alarm Permit & Certificate �
of Survey (if applicable) !
The Contractor under provisions of Chapter 142A of the General Laws is required to apply I',
for and obtain all construction related permits. The Contractor shall not be deemed I
responsible for delays in the work described in this Agreement caused by regulatory,
permit granting or inspection agencies, authorities or individuals.
Contractor will deliver Certificate of Occupancy to the Owner upon payment of the final
invoice. The Owner will present an itemized checklist of remaining task to the Contractor.
Itemized amounts, agreed upon between the Owner and Contractor may be withheld until
the itemized tasks are completed.
Notice: If the Owner obtains his own construction - related permits for the work
described under this Agreement, the Owner is hereby advised that in the event
of a dispute, judgment and nonpayment of the Contractor, the Owner will not be
entitled to make a claim to or collect from the guaranty fund established by
Chapter 142A, Massachusetts General Law.
X. MODIFICATION
This Agreement, including the provisions relating to price (Section III) and payment
schedule (Section I� cannot be changed except by a written statement signed by both
Contractor and Owner. However, cancellation by Owner is allowed in accordance with the
Notice of Cancellation (annexed). This Agreement may be tertninated by either party
upon a 30-day written notice to the other party for material breach, provided that the
offending party is given 30 days to cure the breach.
XI. WARRANTIES
The Contractor warrants that the work furnished here under shall be free from defects in
materials and workmanship for a period of one year following completion and shall comply
with the requirements of this Agreement. In the event any defect in workmanship or
materials, or damage caused by the Contractor, his subcontractors, employees or agents
is discovered within one year after completion of the job, including cleanup, the Contractor
shall aYhis own expense, forthwith remedy, repair, correct, replace or cause to be
remedied, repaired, or replaced, such damage or such defect in materials or
workmanship. The foregoing warranties shall survive any inspection performed in
connection with the agreed-upon work.
All warranties for equipment supplied by the Contractor under this Agreement shall be
those given by the manufacturers of such equipment, which shall be and are hereby
passed through directiy to the Owner. Under such manufactures' warranties, the Owner
may be required to register or mail in a warranty card or other evidence of ownership and
use of such equipment in order to activate such warranties. The Owner's failure to mail in
or register such documentation which failure voids the manufacturer's warranty shall not
create any responsibility for the Contractor to warranty such equipment.
During the stated warranty period the Contractor shall be responsible for service for repair
or adjustment, BUT the Contractor shall NOT be responsible for normal maintenance,
repair due to abuse or misuse, and normal wear and tear, which shall be the responsibility
of the Owner.
In the case of service by the Contractor under the warranty provision, the choice of repair
or replacement shall be at the discretion of the Contractor.
All claims for adjustments, repair or replacement shall be made by the Owner, in writing,
a�d mailed by postage prepaid first class mail to the Contractor at the Contractor's
address as given at the beginning of this Agreement.
This warranty gives the Owner specific legal rights, and Owner may also have other rights
that vary from state to state. Sales of goods carry an implied warranty of inerchantability
and fitness for a particular purpose under Massachusetts' law.
XII. COMPLETENESS OF AGREEMENT FOR EXECUTION
The Owner is hereby advised that he should not sign this Agreement unless and until aIl
blank sections have been filled in or marked as void, deleted or not applicable, and until
all exhibits and related or referenced documents that are incorporated herein are attached
hereto.
The Contractor and Owner agree that the following additional documents, plans,
specifications and change orders are attached hereto and incorporated by reference into
this Agreement.

XIII. FORM INTENDED TO COMPLY WITH THE LAW
The Contractor and Owner acknowledge that the form, substance, content and notices
contained in this Agreement are intended to comply with the applicable portions of
Massachusetts General Laws Chapter 142A, and regulations promulgated thereunder. In
the event of any instance of non-compliance, only such portion shall be invalid and the
remainder of this Agreement shall be in full force and effect. In addition, any such portion
not in compliance shall be read and interpreted so as to have its intended meaning to the
maximum extent allowed under such law and applicabie regulations.
XIV. COPY OF AGREEMENT TO BE GIVEN TO OWNER
This Agreement is govemed by the Laws of Massachusetts. It must be executed in
duplicate and an original signed copy hereof given to the Owner at the time of execution.
No work under the Agreement shall begi� prior to the signing of this Agreement and
transmittai to the Owner of a copy thereof.
RIGHTS TO CANCEL
The Owner may cancel this Agreement if it has been signed by the Owner at a place other than
an address of the Contractor which may be his main office or branch by ordinary mail posted or
by fax not later than midnight of the third business day following the signing of this Agreement.
See attached Notice of Cancellation.

XV. ARBITRATION AGREEMENT
The Contractor and the Owner hereby mutually agree in advance that in the event the
Contractor has a dispute conceming this contract, the Contractor may submit such
dispute to a private arbitration service which has been approved by the Secretary of the
Executive Office of Consumer Affairs and Business Regulations and the Owner shall be
required to submit to such arbitration as provided in MGL Chapter 142A.

The signatures of the parties above apply only to the agreement of the parties to alternate
dispute resolution initiated by the Contractor. The Owner may initiate alternative dispute
resolution even where the parties do not sign this section separately.

condition as when received, any goods delivered to Owner under this Agreement; or Owner may comply with
the instructions of the Contractor regarding the retum shipment of goods at the Contractor's expense and risk.
If Owner does make the goods available to the Contractor and the Contractor does not pick them up within
twenty(20)days of the date of Owner's Notice of Cancellation, Owner may retain or dispose of the goods
without any further obligation. If Owner fails to make goods available to the Contractor, or if Owner agrees to
return the goods to the Contractor and fails to do so,then Owner remains liable for pertormance of all
obligations under the Agreement.
