1. Introduction. This is the Lease Agreement for Photovoltaic Solar Energy Equipment (the "Agreement") between
Sungevity Development, LLC ("Sungevity") and the property owner(s) listed above (collectively "you") for the lease of
the photovoltaic solar energy equipment that is more fully described below (the "System'). Sungevity or its successor
in interest under this Agreement (pursuant to Section 10) is referred to herein as the "Lessor," 'U�:' or "yye". By signing
this Agreement, you agree to lease from us (and we agree to lease to you) the System on the terms and conditions
contained In this Agreement. Our obligations under this Agreement Include the Installation of the System at the address
listed above (the "Property") and your obligations include making the payments described in Section 5. Please ask
your Sungevity solar consultant if you have any questions regarding these or any other terms of this Agreement. Also,
please note that this Agreement contains disclosures required by the Federal Consumer Leasing Act and, as
applicable, other federal and state law.
2. Lease Term. We will lease the System to you for the Lease Term. The "Initial Lease Term' is the period beginning on
the Interconnection Date and ending on the date that is 20 consecutive years (240 consecutive calendar months) from
the date on which you are required to make your first Monthly Payment as required by Section 5(b) below. For example,
if your first Monthly Payment is due on January 15, then the Initial Lease Term would end 20 consecutive years from
January 15. You may extend the Lease Term in accordancewithSection 12 of this Agreement.. The period of each
extension is referred to as a "Renewal Lease Term". The "Lease Term" Is the period beginning on the Interconnection
date (defined below) and ending at the expiration of the later of (a) the Initial Lease Term or (b) any Renewal Lease
Term(s) to which you have agreed, and cannot exceed 25 years.
3. Description of the Photovoltaic Solar Energy Equipment. The System is made up ofthe following components
which are estimated to produce 4382 kilowatt-hours/year ("kWh/year") in the first year, and an average of 3990
kWh/year over the term of your lease. Based on this annual production and the amount listed in Section 5.d, the
estimated price per kWh during the Initial Lease Term is $0.15 (please note that you are leasing the System rather than
buying energy).

4. Performance Guarantee and Limited Warran(yand Solar Operation and Maintenance Guide.
We have provided to you the "Performance Guarantee and Limited WarrantyAgreement' (the "Limited Warranty') and
"Solar Operation and Maintenance Guide" (the "Guide'). Please be sure to read these carefully as these documents
are referenced in this Agreement and include some of your obligations with respect to the System.

6. Obligations.
a. Payments. You agree to make the payments described in this Agreement.
b. Notification. You agree to let us know in writing (1) within 24 hours of discovering that the System is not working
properly and (it) Immediately upon discovery (a) of an emergency condition relating to the System, (b) that the
System appears to have been damaged, or (c) that any portion of the System has been stolen.
C. Properly and System Maintenance. You agree:
I. to maintain the Property so that the System will receive the same amount of sunlight as it did when it
was installed (which includes things like trimming trees and other plants and not making any
modifications to the Properly that might shade the System),
It. to clean the System as described in the Limited Warranty and the Gulde,
iii. not to do anything (or allow any condition or circumstance to occur or exist) which might cause the
System not to properly function, and
iv. not to remove the markings and identification tags on the System.
d. Use of System. You agree that the System will be used primarily for personal, family or household purposes
(except that It will not be used to heat a swimming pool).
e. No Alterations. You agree that you will not, without our prior written consent, make any improvement or
modification to the System or take any other action that might void the Limited Warranty. You agree that
improvements or modifications made to the System will become part of the System and our properly.
f. Access for Installation Repair: Inspection.
I. You agree to give us and our affiliates, Including Sungevity, Inc. (whose applicable contractor's
license number is listed on Exhibit 21, and our respective agents, employees and contractors
reasonable access to the Property and the System and cooperate with us so that we can:
A. install, construct, inspect, operate, own, repair, access, remove and replace the System
B. make any additions to the System or Install complementary technologies on or about the
location of the System.
C. enforce our rights under this Agreement and with respect to the System,
D. install, use and maintain electric lines and Inverters and meters, necessary to interconnect
the System to your electric system at the Property and/or to the utility's electric distribution
system or
E. take other action reasonably necessary in connection with the construction, installation,
operation, maintenance, removal or repair of the System insofar as those activities are
contractually assigned to the parties identified above.
This right of access and your agreement to cooperate will and at the earlier of (A) ninety (90) days
from the date this Agreement terminates or expires and (B) the date on which we complete the
removal of the System (if applicable). To the extent we reasonably can, we will attempt to notify you
prior to accessing the System.
ii. You will take any actions needed to preserve our right to access the Property and the System
granted above and you will not permit interference (directly or indirectly) with those rights. If
requested by us, you agree to sign an easement that sets forth in writing Sungevitys right to access

6. It is the obligation of Sungevity and/or its contractor or subcontractor to obtain all necessary permits for installation
of the system. Homeowners who secure their own permits are ineligible for the guaranty program available to
consumers suffering losses from home installation contracts under state law.
7. We estimate that construction and installation of the System will begin on or about March 31, 2013 and be
substantially complete on or about April 10, 2013
8. You may cancel this Agreement If It has been signed by a party thereto at a place other than the address of the
seller [Sungevity], which may be his main office or branch thereof, provided you notify the seller in writing at his
main office or branch by ordinary mail posted, by telegram sent or by delivery, not later than midnight of the
third business day following the signing of this agreement. See the attached notice of cancellation form for an
explanation of this right [Exhibit 1].
9. The time period during which the Property Owner may cancel the Lease shall not commence until a copy of the
Agreement has been delivered to the Property Owner. Delivery of a copy of the Agreement may be via
electronic means (e.g. emalled or downloaded).
10. THE LANGUAGE IN SECTION 20 OF THE SUNGEVITY LEASE REQUIRING ALL DISPUTES TO 13E RESOLVED
THROUGH A BINDING ARBITRATION WITH JAMS IS NOT BINDING IN MASSACHUSETTS THE CONTRACTOR

B. Tax Credits, Rebates
Sungevity will claim certain incentives and tax benefits available with respect to the System, including (a) depreciation
deductions, investment tax credits and any cash grant in lieu of investment tax credits and (b) any renewable energy credits,
utility rebates (including performance based incentives) and any other environmental attributes associated with the electricity
output from the System (all the above collectively the "Tax Benefits'). You agree to cooperate with us so we may apply for or
claim any such incentives and benefits, including our subsequently assigning title to such renewable energy credits to the
applicable utility if required. Cooperation may include your filing or consent to filing applications with the federal, state or local
government or a local utility and assigning these benefits to us. You agree not to claim any tax benefit, grant or other Incentive,
that the owner of a solar system might be able to claim. You also agree not to hinder our ability to claim any of these tax

parties to this Agreement relating to the lease of the System and supersedes any prior or contemporaneous agreement, either
written or verbal. Any changes or amendments to, or waivers of, any provisions of this Agreement Will only be effective If they
are in writing and signed by both you and us. Our failure at any time to require strict performance by you or any of the
provisions of this Agreement will not waive or diminish our right thereafter to demand strict compliance by you of that provision

provisions shall be enforced in accordance with their terms or shall be Interpreted so as to make them enforceable.

As requested, we have reviewed the loading conditions and solar array connection at the above noted project. According to the
site visit form provided by your on-site contractor, the roof consists of 200 rafters spaced at 16 -inches on center and sloped at
18 -degrees. The purpose of our review is to determine if the existing roof structure is adequate to support the additional solar
array weight of approximately 3.3 psf and to verify the connection capacity and spacing to the existing structure.
The solar panels shall be installed as shown on the stamped plans, Sheet PV2.0 (in portrait format with (2) rails running
horizontally at each set of panels). In compliance with the 780 CMR: Existing Building Code of Massachusetts, Section 302.3,
we have proved that the addition of the system will not increase the force to the structure by more than 5 -percent. As a result of
this determination, we have not performed additional calculations on the roof structure. The rails will be fastened to the rafters
with QuickMount QMLPC brackets which use a 5116"x5" lag bolt at each connector. The rails will be fastened to the rafters as
shown on Sheet PV2.0 of the stamped plans. Each 5116" diameter lag screw shall have a minimum of 2 Y/ inch thread
penetration into the rafters as shown.
We find that the existing structure is adequate to support the additional load of the solar panels using the code allowed
comparison to the loads of the Salem area (110 mph wind, exp B, 45 psf ground snow load). We have only reviewed the
adequacy of the connection to the existing rafters and the roof structure to support the required vertical and lateral loads from the
solar array system. We do not take responsibility for any other portion of the solar array support system, any other structural
elements not contained within this letter, or the integrity of the structure as a whole.

The bonRidge Standard Rail is an extruded aluminum section with an overall depth of 3.00 in.
and a net area of 0.807 sq.in. The rails are used to support solar panels, typically, or, the roof
of a building. See Exhibit A — attached. The rails are clamped to aluminum angle brackets that
are either attached directlyto the roof floating or attached to a stand that is screwed to the roof
framing The rails are mounted across the slope with a small clearance (flush mounting) to the
underlying roof structure. The installed solar panels are at the same slope as the underlying
roof structure.
All loads are transferred to the roof naming through the angle brackets by simple bi-axial
flexure of the rails. The maximum span of the rails is governed by either the mid -span flexural
stresses or the deflection requirement that the rail not come into contact with the roof.
The maximum allowable spans for common load cases are shown in Tables 1, 2 & 3 below.

To Whom It May Concern:
The purpose of this letter is to verify that the LGate 101E used for single phase residential
systems can be powered using a breaker sizes IOA, 15A, and 20A. Although the current
documentation included with the LGate 101 E conflicts with these claims, we are in the
process of changing the language in our new installation packet to make the range of
usable breakers sufficiently clear.
In the meantime I can provide you with our product sheet that states this requirement. I
have included a relevant quote from page 15:
"The LGate 101 accepts the following inputs:
1. Voltage Sense — through the 120V power cable or wired directly to a two -pole circuit
breaker 20A or less for 240V."
If you have any concerns about the safety of using breakers smaller than 20A you can
