Our Promises to You
• We insure and repair the System for the entire 20-year Initial Term,as specified in the agreement.
• We only work with insured partners who are licensed to install and maintain the System.
• We provide a 20-year performance guarantee and 10-year output warranty as set forth in Exhibit 2.
• We provide 24/7 web-accessible monitoring at no additional cost to you,as specified in the agreement.
• We warranty your roof against leaks caused by the System for at least five (5) years after installation, as
specified in the agreement.
• We restore your roof at the end of the agreement, as specified in the agreement.
Your Transfer Choices During the Initial Term
• If you move,you may transfer this agreement to the purchaser of your Home, as specified in the agreement.
• At certain times, as specified in the agreement,you may purchase the System.
Your Choices at the End of the Initial Term
• We will remove the System at no additional cost to you.
• You may purchase the System for its fair market value as specified in the agreement.
• You may renew your agreement for up to five (5) years in five(5) one (1) year increments.

then-current average rate charged by your local utility.

1. Introduction,
This Power Purchase Agreement (this "Power Purchase Agreement" or "PPA") is the agreement
between you and Sungevity Development, LLC (together with its successors and assigns, "Provider"
or "we"), covering the sale to you of the power produced by the solar panel system (the "System")
we will install at your home. Provider agrees to sell to you, and you agree to buy from Provider, all of
the power produced by the System. The System will be installed by Provider at the address you
listed above (the "Property" or your "Home"). Provider provides you with a 20 Year Performance
Guarantee and Limited Warranty (the "Limited Warranty") that is attached as Exhibit 2. By
signing this Power Purchase Agreement you represent that you are (1) at least
eighteen (18) years of age, (ii) the owner of the Property, and (III) either a citizen of
the United States or not exempt from paying Federal income taxes.
2. Initial Term,
Provider agrees to sell you the power generated by the System for twenty (20) years (240 months),
plus, if the Interconnection Date is not on the first day of a calendar month, the number of days left
in that partial calendar month. We refer to this period of time as the "Initial Term."The Initial Term
begins on the Interconnection Date. The "Interconnection Date" is the date that the System is
turned on and generating power. Provider will notify you when your System is ready to be turned
on.

4. Power Purchase Agreement Payments• Amounts
a. Prepaid Power
By making the payments shown on Page 1 and defined below, you are purchasing all of the
power the System produces during the Initial Term.
b. Upfront Payment
You agree to pay the Upfront Payment as shown on Page 1 plus any applicable taxes at the
time you sign this Power Purchase Agreement with us.
c. Install Payment
You agree to pay the Install Payment, as shown on Page 1, plus any applicable taxes, on or prior
to the day installation commences.
d. Payments
Because you are fully prepaying this PPA, you will make no monthly payments for the power
produced by the System during the Initial Term. You will not be charged for over-production if
the System produces more than the Initial Term Production Estimate shown on Page 1.
e. Other Important Terms
BEYOND THE LIMITED WARRANTY SET FORTH IN EXHIBIT 2, PROVIDER DOES NOT WARRANT
OR GUARANTEE THE AMOUNT OF ENERGY PRODUCED BY THE SYSTEM FOR ANY PERIOD OR
THAT YOU WILL REALIZE ANY SAVINGS AS COMPARED TO THE COSTS OF PURCHASING YOUR
POWER FROM THE LOCAL UTILITY.

f. Additional Power
If you use more electric energy than is being produced by the System, you will be solely
responsible for purchasing that electric energy ("Additional Power") from an additional supplier,
such as your local utility provider. During the Initial Term of this PPA, you should expect to
purchase Additional Power from your utility from time to time. Provider will not be responsible
for any Additional Power purchased by you to augment the power produced by the System.
5. Power Purchase Agreement Obligations.
a. System, Home and Property Maintenance
You agree to:
i. only have the System repaired pursuant to the Limited Warranty and reasonably
cooperate when repairs are being made;
ii. keep trees, bushes and hedges trimmed so that the System receives as much sunlight as it
did when Provider installed it;
iii. follow operation instructions pursuant to the Limited Warranty and Guide as set forth in
Exhibit 2 to this PPA;
iv. not modify your Home in a way that shades the System;
v. be responsible for any conditions at your Home that affect the installation (e.g., blocking
access to the roof, or removing a tree that is in the way, prior work you have done on
your Home that was not permitted);
vi. not remove any markings or identification tags on the System;
vii, as set forth in Section 5(g)(i) of this PPA, permit Provider, its designees, or its financing
parties, after we give you reasonable notice, to inspect the System for proper operation as
we reasonably determine necessary;
viii. use the System primarily for personal, family or household purposes, but not to heat a
swimming pool;
ix. not do anything, or permit or allow to exist any condition or circumstance, that would
cause the System not to operate as intended at the Property;
x. notify Provider promptly if you think the System is damaged or appears unsafe, if any part
of the System is stolen, and prior to changing your power supplier;
A. have those who have an ownership interest in your Home sign and therefore agree to be
bound by this PPA;
xii. promptly execute and deliver any documents we send you for signature (like incentive

claim forms);
xiii. provide Provider continuous access to a working broadband connection, unless the System
includes a cellular monitoring system (not available for all systems). See Section 3(b)(ii) of
the Limited Warranty for details; and
xiv. authorize us to make inquiries concerning your credit history and standing from time to
time. We may report information about your performance under this PPA to consumer
reporting agencies. Late payments, missed payments or other defaults hereunder may be
reflected in your credit report.
b. System Construction, Repair, Insurance and Provider's obligations
Provider agrees to:
i. schedule the installation of the System at a mutually convenient date and time;
ii. construct the System according to written plans you approve;
iii. provide you with a meter to accurately measure the amount of power the System delivers
to you
iv. notify you if the System design has to be materially changed so that you can review any
such changes;
v. clean up after ourselves during the construction of the System;
vi. insure the System against all damage or loss unless (A) that damage or loss is caused by
your gross negligence; (B) that damage or loss is caused by ball strikes; or (C) you
intentionally damage the System. Upon such damage or loss to the System, you will not be
entitled to receive or retain any insurance proceeds;
vii. repair the System and your roof pursuant to the Limited Warranty; and
viii. not put a lien on your Home or Property.
c. Home
Renovations or Repairs
If you want to make any repairs or improvements to the Property that could interfere with the
System (such as repairing the roof where the System is located), you may only have the
System removed and replaced pursuant to the Limited Warranty.
d. Automatic Payment, Late Charges
In addition to the other amounts you agree to pay in this Power Purchase Agreement, you
agree to pay the following:
i. Returned Check Fee: $25 (or such lower amount as required by law) for any check or
withdrawal right that is returned or refused by your bank; and

ii. Late payments: $25 (or such lower amount as required by law) for any payment that is
not received within ten (10) days after the due date on the invoice.
e. Taxes
Your Provider electricity rate of$0.079 per kWh is composed of an electricity rate of$0.079
plus current taxes of$0.00. You agree to pay any changes in the applicable taxes related to
this PPA. Thus, if tax rates change, your Upfront Payment and/or Install Payment will change to
reflect this rate change. If this PPA contains a purchase option, you agree to pay any applicable
tax on the purchase price for the System. You also agree to pay any applicable property taxes
on the System that your local jurisdiction may levy. This PPA is intended to be a service contract
for purposes of Section 7701(e) of the Internal Revenue Code of 1986, as amended.
f. No Alterations
You agree that you will not make any modifications, improvements, revisions or additions to the
System or take any other action that could void the Limited Warranty on the System without
Provider's prior written consent. If you make any modifications, improvements, revisions or
additions to the System, they will become part of the System and shall be Provider's property.
g. Access to the System
i. You grant to Provider or other financing parties the right to reasonably access all of the
Property as necessary for the purposes of(A) installing, constructing, operating,
maintaining, owning, repairing, removing and replacing the System or making any
additions to the System or installing complementary technologies on or about the location
of the System; (B) enforcing Provider's or other financing parties' rights as to this Power
Purchase Agreement and the System; (C) installing, using and maintaining electric lines
and inverters and meters, necessary to interconnect the System to your electric system at
the Property and/or to the utility's electric distribution system; or (D) taking any other
action reasonably necessary in connection with installing, constructing, operating,
maintaining, owning, repairing, removing and replacing the System. This access right shall
continue for up to ninety (90) days after this Power Purchase Agreement expires to
provide Provider with time to remove the System at the end of the Power Purchase
Agreement. Provider shall provide you with reasonable notice of its need to access the
Property whenever commercially reasonable.
ii. During the time that Provider has access rights you shall ensure that its access rights are
preserved and shall not interfere with or permit any third party to interfere with such
rights or access. You agree that the System is not a fixture, but Provider has the right to
file any UCC-1 financing statement or fixture filing that confirms its interest in the System.
Neither this PPA nor any UCC-1 financing statement we may file in connection with this
PPA constitutes or imposes a consensual lien on your Home or Property.
h. Indemnity
To the fullest extent permitted by law, you shall indemnify, defend, protect, save and hold
harmless Provider, its employees, officers, directors, agents, financing partners, service
providers, successors and assigns from any and all third party claims, actions, costs, expenses
(including reasonable attorneys' fees and expenses), damages, liabilities, penalties, losses,

obligations, injuries, demands and liens of any kind or nature arising out of, connected with,
relating to or resulting from your negligence or willful misconduct; provided, that nothing herein
shall require you to indemnify Provider for its own negligence or willful misconduct. The
provisions of this paragraph shall survive termination or expiration of this Power Purchase
Agreement.
i. Payments
SUBJECT TO SECTION 4(e) ABOVE, YOU AGREE THAT THE OBLIGATION TO PAY ALL PAYMENTS
AND ALL OTHER AMOUNTS DUE UNDER THIS PPA SHALL BE ABSOLUTE AND UNCONDITIONAL
UNDER ALL CIRCUMSTANCES AND SHALL NOT BE SUBJECT TO ANY ABATEMENT, DEFENSE,
COUNTERCLAIM, SETOFF, RECOUPMENT OR REDUCTION FOR ANY REASON WHATSOEVER, IT
BEING THE EXPRESS INTENT OF THE PARTIES THAT ALL AMOUNTS PAYABLE BY YOU
HEREUNDER SHALL BE, AND CONTINUE TO BE, PAYABLE IN ALL EVENTS INCLUDING BY YOUR
HEIRS AND ESTATE AND, EXCEPT AS SET FORTH BELOW IN SECTIONS 6, 22 AND 23, YOU
HEREBY WAIVE ALL RIGHTS YOU MAY HAVE TO REJECT OR CANCEL THIS PPA, TO REVOKE
ACCEPTANCE OF THE SYSTEM, OR TO GRANT A SECURITY INTEREST IN THE SYSTEM.
j. Credit Check
Provider may have prescreened your credit. Prescreening of credit does not impact your credit
score. You can choose to stop receiving "prescreened" offers of credit from us and other
companies by calling toll-free, 1-888-5-OPTOUT (1-888-567-8688).
You authorize Provider or its designee to obtain your credit report now and in the future, check
your credit and employment history, and to answer questions others may ask regarding your
credit information with Provider's financing partners. You certify that all information you provide
to us in checking your credit will be true and understand that this information must be updated
upon request if your financial situation changes. Credit inquiries may be reported to credit
bureaus and may affect your credit score.
6. Conditions Prior to Installation of the System.
a. Provider's Obligation to Install and Sell Power
Provider's obligation to install the System and sell you the power it produces is conditioned on
the following items having been completed to its reasonable satisfaction:
i. completion of(A) the engineering site audit (a thorough physical inspection of the
Property, including, if applicable, geotechnical work) (the "Home Visit"), (B) the final
System design, and (C) real estate due diligence to confirm the suitability of the Property
for the construction, installation and operation of the System;
ii. approval of this PPA by Provider's financing partners;
ill. your meeting the applicable credit criteria;
iv. receipt of any Upfront Payment or Install Payment;
v. confirmation of rebate, tax credit and renewable energy credit payment availability in the
amount used to calculate the Monthly Payments set forth in this Power Purchase

Agreement;
vi. confirmation that Provider will obtain all applicable benefits referred to in Section 9;
vi1. receipt of all necessary zoning, land use and building permits; and
viii. completion of any renovations, improvements or changes reasonably required at your
Home or on the Property (e.g., removal of a tree or necessary roof repairs to enable us to
safely install the System).
Provider may terminate this Power Purchase Agreement without liability if, in its reasonable
judgment, any of the above listed conditions (i) through (viii) will not be satisfied for reasons
beyond its reasonable control. Once Provider starts installation, however, it may not terminate
this Power Purchase Agreement for your failure to satisfy conditions (i) through (viii) above.
b. Amendments
i. Change Orders
If Provider determines after the Home Visit that we have misestimated the Year One
Production Estimate, such that the adjusted Year One Production Estimate is at least 10%
more or less than Provider's initial Year One Production Estimate, then we will provide you
with an amendment in the form of a change order ("Change Order"). The Change Order
will reflect the adjusted Year One Production Estimate and/or the Performance Guarantee
set forth in Exhibit 2 (the "Performance Guarantee") as well as any adjustments to your
Upfront Payment, Install Payment, or Electricity Rate. You may choose to either cancel this
Agreement without penalty or fees or sign the Change Order within ten (10) business
days of receiving such Change Order; if you do not terminate or sign the Change Order
within this period, then we may cancel this Agreement. Upon signing of such Change
Order by both parties, this Agreement shall be amended as set forth in such Change Order.
You authorize Provider to make corrections to the utility paperwork to conform to any
such Change Order to this Agreement that we both sign.
ii. Effect of Change Orders
A Change Order will result in a change in your Year One Production Estimate and
Performance Guarantee and may result in changes to your Upfront Payment, Install
Payment and/or Electricity Rate. If your Upfront Payment or Install Payment is increased
by a Change Order, you will pay such additional amount when due. If the Change Order
results in a decrease in the Upfront Payment or Install Payment, and such payment has
already been made, we will refund you the amount of the decreased payment.
7. Warranty,
YOU UNDERSTAND THAT THE SYSTEM IS WARRANTED SOLELY UNDER THE LIMITED WARRANTY
ATTACHED AS EXHIBIT 2 AND THAT THERE ARE NO OTHER REPRESENTATIONS OR WARRANTIES,
EXPRESS OR IMPLIED, AS TO THE MERCHANTABILITY, FITNESS FOR ANY PURPOSE, CONDITION,
DESIGN, CAPACITY, SUITABILITY OR PERFORMANCE OF THE SYSTEM OR ITS INSTALLATION.
8. Transfer,

Provider may assign this PPA to one of its financing partners after midnight of the fifth business day
following the date this PPA was signed. You agree that Provider may assign, sell or transfer the
System and this Power Purchase Agreement, or any part of this Power Purchase Agreement or the
exhibits, without your consent. This assignment does not change Provider's obligation to repair your
System as set forth in the Limited Warranty. Any assignment of Provider's rights and/or obligation
under this Agreement shall not result in any change to your rights and obligations under this
Agreement.
9. Ownership of the System* Tax Credits and Rebates
You agree that the System is Provider's personal property under the Uniform Commercial Code. You
understand and agree that this PPA is not a contract to sell or lease the System to you. Provider
owns the System for all purposes, including any data generated from the System. You shall at all
times keep the System free and clear of all liens, claims, levies and legal processes not created by
Provider, and shall at your expense protect and defend Provider against the same.
YOU UNDERSTAND AND AGREE THAT ANY AND ALL TAX CREDITS, INCENTIVES, RENEWABLE
ENERGY CREDITS, GREEN TAGS, CARBON OFFSET CREDITS, UTILITY REBATES OR ANY OTHER
NON-POWER ATTRIBUTES OF THE SYSTEM ARE THE PROPERTY OF AND FOR THE BENEFIT OF
PROVIDER, USABLE AT ITS SOLE DISCRETION. PROVIDER SHALL HAVE THE EXCLUSIVE RIGHT TO
ENJOY AND USE ALL SUCH BENEFITS, WHETHER SUCH BENEFITS EXIST NOW OR IN THE FUTURE.
YOU AGREE TO REFRAIN FROM ENTERING INTO ANY AGREEMENT WITH YOUR UTILITY THAT
WOULD ENTITLE YOUR UTILITY TO CLAIM ANY SUCH BENEFITS. YOU AGREE TO REASONABLY
COOPERATE WITH PROVIDER SO THAT IT MAY CLAIM ANY TAX CREDITS, RENEWABLE ENERGY
CREDITS, REBATES, CARBON OFFSET CREDITS OR ANY OTHER BENEFITS FROM THE SYSTEM. THIS
MAY INCLUDE TO THE EXTENT ALLOWABLE BY LAW, ENTERING INTO NET METERING
AGREEMENTS, INTERCONNECTION AGREEMENTS, AND FILING RENEWABLE ENERGY/CARBON
OFFSET CREDIT REGISTRATIONS AND/OR APPLICATIONS FOR REBATES FROM THE FEDERAL,
STATE OR LOCAL GOVERNMENT OR A LOCAL UTILITY AND GIVING THESE TAX CREDITS,
RENEWABLE ENERGY/CARBON CREDITS, REBATES OR OTHER BENEFITS TO PROVIDER, YOU
AUTHORIZE US TO MAKE CORRECTIONS TO THE REBATE AND OTHER ENVIRONMENTAL INCENTIVE
PAPERWORK DESCRIBED IN THIS SECTION AND EXHIBIT 2 TO CONFORM TO THIS AGREEMENT OR
ANY CHANGE NOTICE OR CHANGE ORDER TO THIS AGREEMENT.
10. Purchase Prior to the End of the Initial Term,
In addition to having the option to purchase the System at the end of the Initial Term and Renewal
Term (if applicable), you have the option to purchase the System prior to the end of the Initial Term
as detailed below. To exercise this option you must be in good standing under this Power Purchase
Agreement and you need to give us at least thirty (30) days, but not more than ninety (90) days
prior written notice. You can purchase this System:
i. on the six (6) year anniversary of the beginning of the Initial Term;
ii. when you sell your Home, as set forth in Section 12; or
iii. if Provider ever ceases its operations and fails to provide for a substitute provider or materially
fails to perform its obligations and such failure is not corrected within ninety (90) days of
written notice from you describing the material failure.
In each of(i), (ii) and (iii) above, the price you will pay for the System will be the System's fair
market value ("FMV"). Provider will determine the System's FMV by hiring an independent appraiser

to estimate the value of a comparable in-service solar system. This valuation will take into account
market characteristics including but not limited to equipment type and System age, as well as any
applicable solar incentives and available warranties. In the event that you do not agree to the FMV,
you will not be required to purchase the System.
If you exercise the option to purchase the System, you will be purchasing it on an "AS IS, WHERE IS"
basis with two limited exceptions: we will assign you any product and/or workmanship warranties
still in effect for the System and Provider's maintenance and repair obligations under the Limited
Warranty (Exhibit 2) will continue when you purchase the System until what would have been the
end of the warranty period.
11. Options at the End of Initial Term.
a. Renewal
If you are in compliance with your PPA, you and Provider have the option to renew your PPA for
up to five (5) years in one (1) year renewal periods (the "Renewal Term"). We will send you
renewal forms at least ninety (90) days prior to the expiration of the Initial Term and each
subsequent Renewal Term, which forms shall set forth the new price per kWh due under the
renewal PPA, based on our assessment of the then current fair market value of solar-generated
electricity. If you want to renew, complete the renewal forms and return them to us at least
thirty (30) days prior to the end of the Initial Term or Renewal Term, as applicable. You must
inform us in writing if you do not agree to the new price per kWh, or otherwise do not want to
renew your PPA, in which case this PPA shall expire by its terms on the termination date.
If you don't send us anything in writing after we send you the renewal forms referenced above,
then this PPA shall automatically renew for an additional one (1) year term at ten percent
(10%) less than the then-current average rate charged by your local utility (which amount
shall, in no event, be greater than the amount offered to you in the renewal forms referenced
above) and shall continue to renew for one (1) year term at the same rate as your first renewal
until: (i) you give us notice at least thirty (30) days prior to the start of a new renewal term

that you do not wish to renew; or (ii) we send you a notice terminating the PPA.
b. Purchase the System
You may purchase the System pursuant to Section 10, above.
c. Removal
If you choose not to renew this PPA or purchase the System, then there are two (2)
possibilities:
i. We may, at our choosing, remove the System at no cost to you; or
ii. You may request to have the System removed at no cost to you by notifying us as
described in Section 20.
12. Selling Your Home,
a. If you sell your Home you can:

i. Transfer this Power Purchase Agreement
Because you are prepaying this PPA, the person buying your Home will only need to sign a
transfer agreement to assume your rights and obligations under this PPA. The System
stays at your Home; the person buying your Home does not make any payments and has
only to comply with the non-payment portions of this PPA.
ii. Purchase the System
You may purchase the System pursuant to Section 10, above.
b. You agree to give Provider at least thirty (30) days but not more than ninety (90) days prior
written notice if you want someone to assume your PPA obligations. In connection with this
assumption, you, your approved buyer and Provider shall execute a written transfer of this PPA.
c. If you, your estate or your heirs sell your Home and fail to comply with this Section, you will be
in default under this PPA.
d. EXCEPT AS SET FORTH IN THIS SECTION, YOU MAY NOT ASSIGN, SELL, PLEDGE OR IN ANY
OTHER WAY TRANSFER YOUR INTEREST IN THIS PPA WITHOUT OUR PRIOR WRITTEN
CONSENT, WHICH SHALL NOT BE UNREASONABLY WITHHELD.
13. Loss or Damage,
a. Unless you, your guests, contractors or agents are grossly negligent or intentionally damage
the System or damage or loss is caused by ball strikes, Provider will bear all the risk of loss,
damage, theft, destruction or similar occurrence to any or all of the System.
b. Except as expressly provided in this PPA, no loss, damage, theft or destruction will excuse you
from your obligations under this PPA, including Monthly Payments.
14. Limitation of Liability,
a. No Consequential Damages
PROVIDER'S LIABILITY TO YOU UNDER THIS POWER PURCHASE AGREEMENT SHALL
BE LIMITED TO DIRECT, ACTUAL DAMAGES ONLY. YOU AGREE THAT IN NO EVENT
SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR CONSEQUENTIAL,
INCIDENTAL, PUNITIVE, EXEMPLARY, SPECIAL OR INDIRECT DAMAGES.
b. Actual Damages
Except for claims under Section 5(H), NEITHER PARTY'S LIABILITY TO THE OTHER
WILL EXCEED AN AMOUNT THAT COULD BE PAYABLE BY YOU UNDER SECTION
16(H). DAMAGES TO YOUR HOME, BELONGINGS OR PROPERTY RESULTING FROM
THE INSTALLATION OR OPERATION OF THE SYSTEM ARE COVERED IN SECTION
7(C) OF THE LIMITED WARRANTY.
15. Default.

You will be in default under this Power Purchase Agreement if any one of the following occurs:
a. you fail to make any payment when it is due and such failure continues for a period of ten (10)
days;
b. you fail to perform any material obligation that you have undertaken in this PPA (which
includes doing something you have agreed not to do, like alter the System) and such failure
continues for a period of fourteen (14) days after written notice;
c. you or your guarantor have provided any false or misleading financial or other information to
obtain this Power Purchase Agreement;
d. you assign, transfer, encumber, sublet or sell this PPA or any part of the System without
Provider's prior written consent; or
e. you make an assignment for the benefit of creditors, admit in writing your insolvency, file or
there is filed against you a voluntary petition in bankruptcy, are adjudicated bankrupt or
insolvent or undertake or experience any substantially similar activity.
16. Remedies in Case of Default.
If this Power Purchase Agreement is in default, we may take any one or more of the following
actions. If the law requires us to do so, we will give you notice and wait any period of time required
before taking any of these actions. We may:
a. terminate this PPA;
b. suspend our performance under this PPA;
c. take any reasonable action to correct your default or to prevent our loss; any amount we pay
will be added to the amount you owe us and will be immediately due;
d. require you, at your expense, to return the System or make it available to us in a reasonable
manner;
e. proceed, by appropriate court action, to enforce performance of this PPA and to recover
damages for your breach;
f. disconnect, turn off or take back the System by legal process or self-help, but we may not
disturb the peace or violate the law;
g. report such non-operational status of the System to your utility, informing them that you are
no longer net metering;
h. charge you a reasonable reconnection fee for reconnecting the System to your utility or turning
your System back on after we disconnect or turn off the System due to your default;
L recover from you (i) a payment equal to the purchase price as set forth in Section 10 of this PPA

plus (ii) all taxes, late charges, penalties, interest and all or any other sums then accrued or due
and owing; and (iii) seek a pre or post judgment lien or similar security interest on or against
your Home;
j. recover from you (i) all accrued but unpaid Monthly Payments, taxes, late charges, penalties,
interest and all or any other sums then accrued and due and owing, plus (ii) the unpaid balance
of the aggregate value of the estimated production for the remainder of the Initial Term,
discounted to present value at 5% per annum, plus (ii!) reasonable compensation, on a net after
tax basis assuming a tax rate of 35%, for the loss or recapture of(A) the investment tax credit
equal to thirty percent (30%) of the System cost, including installation; and (6) accelerated
depreciation over five (5) years equal to eighty-five percent (85%) of the System cost, including
installation, and for the loss of any anticipated benefits pursuant to Section 9 of this PPA
(Provider shall furnish you with a detailed calculation of such compensation if such a claim is
made); amounts owed by you pursuant to this Section 160) shall not be considered
consequential damages for purposes of Section 14 of this PPA; or
k. use any other remedy available to us in this PPA or by law.
We may submit to credit reporting agencies (credit bureaus) negative credit reports that would be
reflected on your credit record if you do not pay any amounts due under this PPA as required.
You agree to repay us for any reasonable amounts we pay to correct or cover your default. You also
agree to reimburse us for any costs and expenses we incur relating to the System's return resulting
from early termination. By choosing any one or more of these remedies, Provider does not give up its
right to use another remedy. By deciding not to use any remedy should this Power Purchase
Agreement be in default, Provider does not give up our right to use that remedy in case of a
subsequent default.
17, Photographs,
You agree that Provider has the right to obtain photographic images of the System and the Property
for internal and quality control purposes. Provider will not use photographic images of the System or
the Property in its marketing and promotional materials without first obtaining your express written
approval. You agree that during the installation of your System, we can place reasonable signage at
your Home identifying Provider as the project contractor.
18. Applicable Law: Arbitration,
PLEASE READ THIS SECTION CAREFULLY. ARBITRATION REPLACES THE RIGHT TO GO TO COURT,
INCLUDING THE RIGHT TO A JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR
SIMILAR PROCEEDING. IN ARBITRATION, A DISPUTE IS RESOLVED BY AN ARBITRATOR INSTEAD OF
A JUDGE OR JURY.
The laws of the state where your Home is located shall govern this PPA without giving effect to
conflict of laws principles. We agree that any dispute, claim or disagreement between us (a
"Dispute") shall be resolved exclusively by arbitration.
The arbitration, including the selecting of the arbitrator, will be administered by JAMS Inc. ("JAMS"),
under its Streamlined Arbitration Rules (the "Rules") by a single neutral arbitrator agreed on by the
parties within thirty (30) days of the commencement of the arbitration. The arbitration will be
governed by the Federal Arbitration Act (Title 9 of the U.S. Code). Either party may initiate the
arbitration process by filing the necessary forms with JAMS. To learn more about arbitration, you can
call any JAMS office or review the materials at www.jamsadr.com. The arbitration shall be held in the

location that is most convenient to your Home. If a JAMS office does not exist within 50 (fifty) miles
of your Home, then we will use another accredited arbitration provider with offices close to your
Home.
If you initiate the arbitration, you will be required to pay the first $125 of any filing fee. We will pay
any filing fees in excess of$125 and we will pay all of the arbitration fees and costs. If we initiate
the arbitration, we will pay all of the filing fees and all of the arbitration fees and costs. We will each
bear all of our own attorney's fees and costs except that you are entitled to recover your attorney's
fees and costs if you prevail in the arbitration and the award you receive from the arbitrator is
higher than Provider's last written settlement offer. When determining whether your award is
higher than Provider's last written settlement offer your attorney's fees and costs will not be
included.
Only Disputes involving you and Provider may be addressed in the arbitration. Disputes must be
brought in the name of an individual person or entity and must proceed on an individual (non-class,
non-representative) basis. The arbitrator will not award relief for or against anyone who is not a
party. If either of us arbitrates a Dispute, neither of us, nor any other person, may pursue the
Dispute in arbitration as a class action, class arbitration, private attorney general action or other
representative action, nor may any such Dispute be pursued on your or our behalf in any litigation in
any court. Claims regarding any Dispute and remedies sought as part of a class action, class
arbitration, private attorney general or other representative action are subject to arbitration on an
individual (non-class, non-representative) basis, and the arbitrator may award relief only on an
individual (non-class, non-representative) basis. This means that the arbitration may not address
disputes involving other persons with disputes similar to the Disputes between you and Provider.
The arbitrator shall have the authority to award any legal or equitable remedy or relief that a court
could order or grant under this agreement. The arbitrator, however, is not authorized to change or
alter the terms of this agreement or to make any award that would extend to any transaction other
than yours. All statutes of limitations that are applicable to any dispute shall apply to any arbitration
between us. The arbitrator will issue a decision or award in writing, briefly stating the essential
findings of fact and conclusions of law.
BECAUSE YOU AND WE HAVE AGREED TO ARBITRATE ALL DISPUTES, NEITHER OF US WILL HAVE
THE RIGHT TO LITIGATE THAT DISPUTE IN COURT, OR TO HAVE A JURY TRIAL ON THAT DISPUTE,
OR ENGAGE IN DISCOVERY EXCEPT AS PROVIDED FOR IN THE RULES. FURTHER, YOU WILL NOT
HAVE THE RIGHT TO PARTICIPATE AS A REPRESENTATIVE OR MEMBER OF ANY CLASS PERTAINING
TO ANY DISPUTE. THE ARBITRATOR'S DECISION WILL BE FINAL AND BINDING ON THE PARTIES
AND MAY BE ENTERED AND ENFORCED IN ANY COURT HAVING JURISDICTION, EXCEPT TO THE
EXTENT IT IS SUBJECT TO REVIEW IN ACCORDANCE WITH APPLICABLE LAW GOVERNING
ARBITRATION AWARDS. OTHER RIGHTS THAT YOU OR WE WOULD HAVE IN COURT MAY ALSO NOT
BE AVAILABLE IN ARBITRATION.
19. Waiver,
Any delay or failure of a party to enforce any of the provisions of this PPA, including but not limited
to any remedies listed in this PPA, or to require performance by the other party of any of the
provisions of this PPA, shall not be construed to (i) be a waiver of such provisions or a party's right to
enforce that provision; or (ii) affect the validity of this PPA.
20. Notices.
All notices under this PPA shall be in writing and shall be by personal delivery, electronic mail,
overnight courier, or certified or registered mail, return receipt requested, and deemed received upon
personal delivery, acknowledgment of receipt of electronic transmission, the promised delivery date

after deposit with overnight courier, or five (5) days after deposit in the mail. Notices shall be sent to
the person identified in this PPA at the addresses set forth in this PPA or such other address as
either party may specify in writing. Each party shall deem a document sent via PDF as an original
document.
21. Entire Agreement: Changes.
This PPA contains the parties' entire agreement regarding the sale and purchase of power generated
by the System. There are no other agreements regarding this PPA, either written or oral. Any
change to this PPA must be in writing and signed by both parties. If any portion of this PPA is
determined to be unenforceable, the remaining provisions shall be enforced in accordance with their
terms or shall be interpreted or re-written so as to make them enforceable.
22. NOTICE OF RIGHT TO CANCEL,
YOU MAY CANCEL THIS PPA AT ANY TIME PRIOR TO MIDNIGHT OF THE THIRD BUSINESS
DAY AFTER THE DATE YOU SIGN THIS PPA. SEE EXHIBIT 1. THE ATTACHED NOTICE OF
CANCELLATION FORM FOR AN EXPLANATION OF THIS RIGHT.
23. Additional Rights to Cancel.
IN ADDITION TO ANY RIGHTS YOU MAY HAVE TO CANCEL THIS PPA UNDER SECTIONS 6
AND 22, UNLESS INSTALLATION OF YOUR SYSTEM HAS ALREADY COMMENCED, YOU
MAY ALSO CANCEL THIS PPA AT NO COST AT ANY TIME PRIOR TO MIDNIGHT OF THE
TENTH CALENDAR DAY AFTER YOU SIGN THIS PPA.
I have read this Power Purchase Agreement and the Exhibits in their entirety and I acknowledge that I
have received a complete copy of this Power Purchase Agreement.

NOTICE OF CANCELLATION
(PROVIDER COPY)
Date of Transaction: The date you signed the Power Purchase Agreement.
You may cancel this transaction, without any penalty or obligation, within THREE (3)
BUSINESS DAYS from the above date.
If you cancel, any property traded in, any payments made by you under the Contract or
sale, and any negotiable instrument executed by you will be returned within TEN (10)
BUSINESS DAYS following receipt by the seller (Provider) of your cancellation notice, and
any security interest arising out of the transaction will be canceled.
if you cancel, you must make available to the seller (Provider) at your residence, in
substantially as good condition as when received, any goods delivered to you under this
Contract or sale; or you may, if you wish, comply with the instructions of the seller
(Provider) regarding the return shipment of the goods at the seller's expense and risk.
If you do make the goods available to the seller (Provider) and the seller (Provider) does
not pick them up within twenty (20) days of the date of your notice of cancellation, you

20-YEAR PERFORMANCE GUARANTEE AND LIMITED WARRANTY
1. INTRODUCTION
This 20 Year Performance Guarantee and Limited Warranty (the "Limited Warranty") sets forth
Provider's warranties on the System you are hosting pursuant to our PPA. The System will be
professionally installed by Provider at the address you listed in the PPA. We will refer to the
installation location as your "Property" or your "Home." This Limited Warranty begins when we start
installing the System at your Home.
2. 20 YEAR PERFORMANCE GUARANTEE
a. Performance Guarantee
Provider guarantees that the System will generate the guaranteed annual kilowatt-hours
("kM") of energy during each of the 20 successive Production Years (the " Performance
Guarantee Term") as set forth in the Table of Guaranteed Annual kWh attached in Annex I to
this Limited Warranty (the "Guaranteed Annual kWh") subject to the terms of this Limited
Warranty.
b. Production Year Deficit Payment
If at the end a Production Year (defined below), the Actual Annual kWh (defined below)
generated by the System is less than the Guaranteed Annual kWh (a "Production Year
Deficit"), then we will send you a refund equal to the difference between that Production
Year's Actual Annual kWh and Guaranteed Annual kWh (minus any previous years' surpluses),
multiplied by that Production Year's Guaranteed Energy Price per kWh (as set forth in the Table
of Guaranteed Annual kWh attached in Annex I to this Limited Warranty). We will make that
payment within thirty (30) days of the end of the calendar year in which the Production Year
Deficit occurred.
For example, if a Production Year commenced on October 1, 2014 and ended on September 30,
2015, and had a Guaranteed Annual kWh of 5,000 kWh, and the Actual Annual kWh for that
Production Year was only 4,500 kWh, and the Guaranteed$/kWh Price for that Production Year
was $0.10, then assuming no prior Production Year Surpluses or payments for System Failures
applied(as defined below), we would send you a refund for$50.00 within thirty (30) days after
December 31, 2015.
c. Production Year Surplus Carried Over
If at the end of a Production Year the Actual Annual kWh is greater than the Guaranteed
Annual kWh for that Production Year, there will be no additional cost to you for this surplus
energy. However, this surplus will be carried over and used by Provider to offset any future
Production Year Deficits.
d. Monitoring
During the Performance Guarantee Term, Provider will provide you at no additional cost a
monitoring service ("Monitoring"), which is a third party proprietary monitoring system that
records and displays historical energy generation data and consists of hardware installed by
Provider on site and software accessed by Provider. If your System is not operating within
normal ranges, Monitoring will tell us and we will notify you promptly at the notice address set

forth in Section 8, by email (provided by you) or at a telephone number (provided by you).
e. Definitions
i. "Actual Annual kWh." means the AC electricity produced by your System in kWh measured
and recorded by Provider during each Production Year. Provider uses its Monitoring Service
described below to measure the Actual Annual kWh. To the extent such service is not
available, we will estimate the Actual Annual kWh by reasonable means, subject to the
requirements of Section 3(b) below.
ii. "Production Year." means the twelve (12) month period beginning on the 1st day of the
month following the date on which your System commenced operation, and each
successive twelve (12) month period thereafter during the Performance Guarantee Term.
For example, if the original interconnection date for your System occurred on March 15,
each Production Year would run from April 1 to March 31.
3. LIMITED WARRANTIES
a. Limited Warranties
Provider warrants the System as follows:
i. System Warranty. During the entire Warranty Period, under normal use and service
conditions, the System will be free from defects in workmanship or defects in, or a
breakdown of, materials or components ("System Warranty"). To the extent there are
defects in the workmanship or defects in any part, material or component of your System
during the Warranty Period, Provider will honor the System Warranty and agree to re-
perform such work or repair or replace such equipment, at no cost or expense to you
(including all labor costs) to correct such defective workmanship or equipment, when you
submit a valid claim to us under this System Warranty. If Provider damages your Property
or your belongings, Provider will repair the damage or pay you for the damage that we
caused in accordance with the provisions of Section 7 below. Provider may use new or
reconditioned parts when making repairs or replacements. The Warranty Period is not
extended if we repair or replace a warranted product or any parts. Provider may also, at
no additional cost to you, upgrade or add to any part of the System to ensure that it
performs according to the guarantees set forth in the 20 Year Performance Guarantee
above and Output Warranty below.
ii. Roof Warranty. If we penetrate your roof during System installation, we will warrant roof
damage that we cause due to such roof penetrations. This roof warranty will last for the
longer of (a) five (5) years following the completion of the System installation or (b) the
remainder of any then-existing installation warranty on your roof(the "Roof Warranty
Period").
ill. Output Warranty_. The System's electrical output shall not decrease by more than fifteen
percent (15%) during the period starting on the date the System commences operation
until the tenth (loth) anniversary of such date.
iv. Warranty Period Defined. The "Warranty Period" commences on the date your System is
inspected by the authority having jurisdiction and runs through the 20th anniversary of

such day.
b. Maintenance and Operation
i. General. When the System is installed, Provider will provide you with a link to its Solar
Operation and Maintenance Guide (the "Guide"). This Guide provides you with System
operation instructions, answers to frequently asked questions, troubleshooting tips and
service information. Provider will perform all required System maintenance.
ii. Monitoring Connectivity. Monitoring requires a high speed Internet line to operate.
Therefore, during the Initial Term of the Power Purchase Agreement, you agree to
maintain the communication link between the on-site monitoring hardware, the System
and the Internet. You agree to maintain and make available, at your cost, a functioning
indoor Internet connection with one available wired Ethernet port and standard AC power
outlet within eighty (80) feet of the System's AC/DC inverter(s) (which shall not require
trenching to access). This communication link must be a 10/100 Mbps Ethernet connection
that supports common Internet protocols (TCP/IP and DHCP). If you do not have and
maintain a working high speed Internet line we will not be able to monitor the System and
provide you with a performance guarantee. Further, if the on-site monitoring hardware is
not operational, Provider will be required to estimate your power usage as set forth in the
PPA.
iii. Module Cleaning. The Guide contains certain recommendations concerning periodically
cleaning the solar modules, especially during the summer. If monitoring indicates a drop in
actual energy production by the System, Provider may ask for your cooperation in cleaning
the solar modules. This may include arranging for a visit to the System by Provider, which
would be at no charge to you unless one of the Exclusions in Section 3(d) applies.
If your System becomes covered by snowfall, the modules will often be able to heat up
sufficiently for the snow to slide off. AS WITH REGULAR SNOW ACCUMULATION ON YOUR
ROOF, PLEASE BE AWARE OF FALLING SNOW FROM THE TILTED PANELS AND EXERCISE
CAUTION WHEN STANDING OR WALKING UNDER THE EDGE OF YOUR ROOF. PLEASE TRY
TO AVOID PARKING YOUR CAR, OR KEEPING OTHER VALUABLES, UNDER THE EDGE OF
YOUR ROOF. WE STRONGLY RECOMMEND THAT YOU NEVER CLIMB ONTO YOUR ROOF
UNLESS YOU HAVE APPROPRIATE AND PROFESSIONAL SAFETY TRAINING AND
MEASURES IN PLACE. UNDER NO CIRCUMSTANCES SHOULD YOU CLIMB ON YOUR ROOF
OR OTHERWISE ATTEMPT TO REMOVE SNOW FROM THE PANELS. SUCH ACTIONS COULD
RESULT IN SERIOUS BODILY INJURY AND/OR DAMAGE TO THE SYSTEM.
c. Making a Claim; Transferring this Warranty
i. Claims Process.
You agree to give us timely notice of all warranty claims. You can make a claim by:
A. emailing us at the email address in Section 8 below; or
B. writing us a letter and sending it overnight mail with a well-known service.
Warranty service will be performed promptly and typically on site. If the affected

equipment requires off site warranty service, Provider will arrange for its transportation
under warranty.
ii. Transferable Limited Warranty.
Provider will accept and honor any valid and properly submitted Warranty claim made
during the Warranty Period by any person who either purchases the System from you or
to whom you properly transfer the PPA. If you have assumed an existing PPA, or
purchased the System during the Initial Term, then this Limited Warranty will cover the
System for the remaining balance of the Initial Term.
d. Exclusions and Disclaimer
The limited warranties and guarantee provided in this Limited Warranty do not apply to any
lost power production or any repair, replacement or correction required due to the following:
i. someone other than Provider or its approved service providers installed, removed, re-
installed or repaired the System;
ii. destruction or damage to the System or its ability to safely produce power not caused by
Provider or its approved service providers while servicing the System (e.g., if a tree falls on
the System we will replace the System per the Power Purchase Agreement, but we will
not repay you for power it did not produce);
iii. your failure to perform, or breach of, your obligations under the Power Purchase
Agreement (e.g., you modify or alter the System);
iv. your breach of this Limited Warranty, including your being unavailable to provide access or
assistance to us in diagnosing or repairing a problem or failing to maintain the System as
stated in the Guide;
v. water ponding or puddling on your roof(i.e. standing water that fails to drain) not caused
by Provider or its approved service providers;
vi. damages resulting from mold, fungus and other organic pathogens, regardless of the
cause;
vii. superficial changes in the appearance of the System components due to exposure to
weather and atmospheric conditions (e.g. chalking or blemishes) that do not impact System
performance;
viii. any Force Majeure Event (as defined below);
ix. shading from foliage that is new growth or is not kept trimmed to its appearance on the
date the System was installed;
x. any system failure or lost production not caused by a System defect (e.g., the System is
not producing power because it has been removed to make roof repairs or you have
required us to locate the inverter in a non-shaded area); and

xi, theft of the System (e.g., if the System is stolen we will replace the System per the Power
Purchase Agreement, but we will not repay you for the power it did not produce).
This Limited Warranty gives you specific rights, and you may also have other rights which vary
from state to state. This Limited Warranty does not warrant any specific electrical performance
of the System other than that described above.
THE LIMITED WARRANTIES DESCRIBED ABOVE ARE THE ONLY EXPRESS WARRANTIES MADE
BY PROVIDER WITH RESPECT TO THE SYSTEM. PROVIDER HEREBY DISCLAIMS, AND ANY
BENEFICIARY OF THIS LIMITED WARRANTY HEREBY WAIVES, ANY WARRANTY WITH RESPECT
TO ANY COST SAVINGS FROM USING THE SYSTEM.
4. PROVIDER'S STANDARDS
For the purpose of this Limited Warranty the standards for our performance will be (i) normal
professional standards of performance within the solar photovoltaic power generation industry in the
relevant market; and (ii) Prudent Electrical Practices. "Prudent Electrical Practices" means those
practices, as changed from time to time, that are engaged in or approved by a significant portion of
the solar power electrical generation industry operating in the United States to operate electric
equipment lawfully and with reasonable safety, dependability, efficiency and economy.
5. SYSTEM REPAIR, RELOCATION OR REMOVAL
a. Repair
You agree that if(i) the System needs any repairs that are not the responsibility of Provider
under this Limited Warranty or (ii) the system needs to be removed and reinstalled to facilitate
remodeling of your Home, you will have Provider, or another similarly qualified service provider
approved by Provider, approval to not be unreasonably withheld, perform such repairs, removal
or reinstallation at your expense.
b. Removal
Provider will remove and replace the System from your roof while roof repairs are being made
for a payment of one-thousand dollars ($1,000.00). You will need to provide storage space for
the System during such time.
c. Return
If at the end of the Initial Term you want to return the System to Provider under Section 11 of
the PPA then Provider will remove the System at no cost to you. If we penetrated your roof
during a System installation, Provider will remove the posts, waterproof the post area and
return the roof as close as is reasonably possible to its original condition before the System was
installed (e.g. ordinary wear and tear and color variances due to manufacturing changes are
expected). Provider will warrant the waterproofing for the longer of one (1) year after it
removes the System or (2) the remainder of any then-existing installation warranty on your
roof. You agree to reasonably cooperate with Provider in removing the System including
providing necessary space, access and storage, and we will reasonably cooperate with you to
schedule removal in a time and manner that minimizes inconvenience to you.
6. FORCE MAJEURE
If Provider is unable to perform all or some of its obligations under this Limited Warranty because of

a Force Majeure Event, Provider will be excused from whatever performance is affected by the Force
Majeure Event, provided that:
a. Provider, as soon as is reasonably practical, gives you notice describing the Force Majeure
Event;
b. Provider's suspension of its obligations is of no greater scope and of no longer duration than is
required by the Force Majeure Event (i.e., when a Force Majeure Event is over, we will make
repairs); and
c. No Provider obligation that arose before the Force Majeure Event that could and should have
been fully performed before such Force Majeure Event is excused as a result of such Force
Majeure Event.
"Force Majeure Event" means any event, condition or circumstance beyond the control of and not
caused by Provider's fault or negligence. It shall include, without limitation, failure or interruption of
the production, delivery or acceptance of power due to: an act of god; war (declared or undeclared);
sabotage; riot; insurrection; civil unrest or disturbance; military or guerilla action; terrorism; economic
sanction or embargo; civil strike, work stoppage, slow-down, or lock-out; explosion; fire; earthquake;
abnormal weather condition or actions of the elements; hurricane; flood; lightning; wind; drought;
the binding order of any governmental authority (provided that such order has been resisted in good
faith by all reasonable legal means); the failure to act on the part of any governmental authority
(provided that such action has been timely requested and diligently pursued); unavailability of power
from the utility grid, equipment, supplies or products (but not to the extent that any such availability
of any of the foregoing results from Provider's failure to have exercised reasonable diligence); power
or voltage surge caused by someone other than Provider including a grid supply voltage outside of
the standard range specified by your utility; and failure of equipment not utilized by Provider or
under its control.
7. LIMITATIONS ON LIABILITY
a. No Consequential Damages
YOU MAY ONLY RECOVER DIRECT DAMAGES INCLUDING THOSE AMOUNTS DUE PURSUANT
TO SECTIONS 3 AND 5 UNDER THIS LIMITED WARRANTY, AND IN NO EVENT SHALL PROVIDER
OR ITS AGENTS OR SUBCONTRACTORS BE LIABLE TO YOU OR YOUR ASSIGNS FOR SPECIAL,
INDIRECT, PUNITIVE, EXEMPLARY, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY
NATURE. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR
CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
b. Limitation of Duration of Implied Warranties
ANY IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF FITNESS FOR A
PARTICULAR PURPOSE AND MERCHANTABILITY ARISING UNDER STATE LAW, SHALL IN NO
EVENT EXTEND PAST THE EXPIRATION OF ANY WARRANTY PERIOD IN THIS LIMITED
WARRANTY. SOME STATES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED
WARRANTY LASTS, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
c. Limit of Liability
Notwithstanding any other provision of this Limited Warranty to the contrary, Provider's total
liability arising out of relating to this Limited Warranty shall in no event exceed:

i. For System Replacement: the greater of(a) the sum of the Monthly Payments over the
Initial Term of the Power Purchase Agreement or (b) the original cost of the System; and
ii. For Damages to your Home. Property or Belongings: two million dollars ($2,000,000).
8. NOTICES
All notices under this Limited Warranty shall be in writing and shall be provided by (a) personal
delivery, (b) overnight courier, or (c) certified or registered U.S, mail (return receipt requested). A
notice shall be deemed received upon personal delivery, confirmation of receipt of facsimile
transmission, the promised delivery date after deposit with a reputable overnight courier, or five (5)
days after deposit in the mail. Notices shall be sent to the address set forth below or such other
address as either Party may specify in writing.

9. APPLICABLE LAW; ARBITRATION
The governing law and arbitration procedures under this Limited Warranty will be as provided for in
the Power Purchase Agreement and are incorporated herein by reference.
10. Assignment and Transfer of this Limited Warranty
Provider may assign its rights or obligations under this Limited Warranty to a third party without
your consent, provided that any assignment of Provider's obligations under this Limited Warranty
shall be to a party professionally and financially qualified to perform such obligation. This Limited
Warranty protects only the person who hosts the System. Your rights and obligations under this
Limited Warranty will be automatically transferred to any person who purchases the System from
you or to whom you properly transfer the Power Purchase Agreement.
11. ENTIRE AGREEMENT; CHANGES
This Limited Warranty contains the Parties' entire agreement regarding the limited warranties and
guarantees of the System and supersedes any prior or contemporaneous agreement, either written
or verbal. There are no other agreements regarding the Limited Warranty, either written or spoken.
Any change to this Limited Warranty must be in writing and signed by both Parties.

3. Homeowner's Rights
A homeowner's rights under the Homeowner's Improvement Contractor Law (MGL chapter 142A)
and other consumer protection laws (i.e. MGL chapter 93A) may not be waived in any way, even by
agreement. However, homeowners may be excluded from certain rights if the contractor they
choose is not properly registered as prescribed by law. Homeowners who secure their own building
permits are automatically excluded from all Guaranty Fund provisions of the Home Improvement
Contractor Law. The contractor is responsible for completing the work as described, in a timely and
workmanlike manner. Homeowners may be entitled to other specific legal rights if the contractor
guarantees or provides an express warranty for workmanship or materials. In addition to guarantees
or warranties provided by the contractor, all goods sold in Massachusetts carry and implied warranty
of merchantability and fitness for a particular purpose. An enumeration of other matters on which

4. Disclosures
Massachusetts' law may consider this Power Purchase Agreement to be a home improvement
contract. Therefore, we are including the provisions and notices contained in this section, which you
acknowledge by your signature below.
(a) Arbitration
THE LANGUAGE IN SECTION 20 OF THE POWER PURCHASE AGREEMENT REQUIRING ALL

We will start work on the System as soon as the Power Purchase Agreement is signed. We
estimate that construction and installation of the System at the Property will begin on or about
06/01/2017 and will be substantially complete on or about 06/11/2017.
(d) It is the obligation of Provider and/or its contractor or subcontractor to inform you of any
and all necessary permits and to obtain all necessary permits for installation of the system.
Homeowners who secure their own permits are ineligible for the guaranty program available to
consumers suffering losses from home installation contracts under state law.
5. Rebates; Tax Credits
(a)Provider is the owner of all renewable energy credits associated with the System and will
claim the environmental incentives and tax benefits available with respect to the System,
including, without limitation, (a) depreciation deductions, investment tax credits and any cash
grant in lieu of investment tax credits and (b) any utility rebates (including up front and
performance based incentives) available, including, but not limited to, those offered in exchange
for the renewable energy credits, and any other environmental attributes associated with the
electricity output from the System.
(b)You agree to cooperate with us so we may apply for or claim any such incentives and
benefits. Cooperation may include your filing or consent to filing applications with the federal,

state or local government or a local utility and assigning these benefits to us.
(c)You agree not to claim any tax benefit, grant or other incentive that the owner of a solar
system might be able to claim. You also agree not to hinder our ability to claim any of these tax
benefits, grants or other incentives.
(d)A state rebate program may require that in order for the full rebate to be paid, you must
assign any "renewable energy certificates" or "greentags" ("RECs") or other environmental
attributes associated with the energy produced by the System during a specified period of years
to the rebate program, or the utility or a government agency. In such event, you agree that you
assign the RECs for the required time-period, and you agree to complete any paperwork
necessary to complete the assignment.

achieve, (b) estimated insolation (sun hours) for the PV Solar System, and (c) changes in the future cost
of electricity from my local electric utility. I have reviewed these projections and acknowledge that I have
been given an opportunity to compare them with other public estimates, including estimates from the
National Renewable Energy Laboratories (available at http://www.nrel.ciov/rredctpvwatts/) and the U.S.
Energy Information Administration (available at www.eia.aov).
By signing below, I expressly acknowledge that (1) future electricity costs may not rise as projected and
my energy usage patterns may vary over time; (2) my actual savings may vary from amounts estimated
in the Materials, and that my savings are not guaranteed; and (3) actual power production may vary from
the amount estimated in the Agreement.
By signing below, I further acknowledge that: (A) I have received, reviewed and understood all of the
Materials provided to me by Provider and/or one of its trusted partners including all Assumptions,
disclosures and disclaimers; (B) I have been provided with sufficient time to ask for clarification of any

A field observation and design check of the subject property was conducted to determine
the suitability of the existing roof structure to support the installation of solar panels.
From the field observation of the property, the existing roof structure was observed as
follows:
The existing roof structure consists of composition shingles over plywood sheathing that
is supported by 2x8 roof rafters spaced at 20" on center. The rafters are sloped at
approximately 36 degrees and have a maximum projected horizontal span of 15'-6"at
Array 1 between load bearing walls.
Utilizing the information determined from the field observation, the attached structural
calculations have been prepared for the subject property in accordance with the following
design criteria:
• Applicable Codes: 2009 IBC,ASCE 7-05 and 2005 NDS
• Basic Wind Speed = 100 mph
• Exposure Category= B
• Ground Snow Load =40 psf
As a result of the completed field observation and design checks:
• Array 1 is inadequate to support the loading imposed by the installation of solar
panels and modules. New 2x8 SPF No. 2 rafters are required to be sistered to
the existing roof rafters to support the additional loading for rafters with a greater
horizontal span of 14'-0". See drawing sheet PV-2.0& S1.0 for structural
upgrades.
